WHEREAS, the City proposes to construct Wa1l1? and Wall 18 on the south side of South 332nd Street between Pacific Highway South and 15th Avenue South (see Exhibit "A") in fulfillment of the required improvements to South 332nd Street as part of the Pacific Highway South HOV Lanes Phase II Project (South 324th Street to South 340th Street) (hereinafter "Project"); and WHEREAS, the District provides water service via a lO-inch diameter water main located within a lS-foot wide easement along South 332nd Street. The existing water main is located next to the proposed location of Walll? and Wall 18; and WHEREAS, Chapter 39.34 (Interlocal Cooperation Act) permits local governmental units to make the most efficient use of their powers by enabling them to cooperate with other entities to provide services in a manner best serving the needs and development of their local communities; and WHEREAS, the Parties agree that in this instance relocation of the water main is an unnecessary expense to the Public; and WHEREAS, in connection with the roadway improvements being undertaken by the City, the District will not be required to relocate the above-mentioned water main; NOW, THEREFORE, it is hereby covenanted and agreed by and between the Parties hereto as follows: I. WALL RECONSTRUCTION/RESTORATION. A. The City agrees to either reconstruct/restore at City's expense using City personnel, or reimburse the District to reconstruct/restore (at the City's option) any reasonable disturbance to Wa1l1? or Wall 18 necessitated solely by District maintenance or repair of the water main located next to the walls. District shall use best efforts to avoid damaging the walls during all maintenance. B. The District shall retain ownership and usual maintenance responsibility for the water main and all other appurtenances related thereto, and shall pay for all costs of restoration of City facilities other than Walll? and Wall 18. Page 1 II. INDEMNIFICATION AND HOLD HARMLESS. A. The City agrees to indemnify and hold the District, its elected officials, officers, employees and agents harmless from any and all claims, demands, losses, actions and liabilities (including costs and all attorney fees) to or by any and all persons or entities, including, without limitation, their respective agents, licensees, or representatives, arising or resulting from, or connected with, this Agreement to the extent caused by the negligent acts, errors or omissions of the City, its agents or employees, or by the City's breach of this Agreement. B. The District agrees to indemnify and hold the City, its elected officials, officers, employees and agents harmless from any and all claims, demands, losses, actions and liabilities (including costs and all attorney fees) to or by any and all persons or entities, including, without limitation, their respective agents, licensees, or representatives, arising or resulting from, or connected with, this Agreement to the extent caused by the negligent acts, errors or omissions of the District, its agents or employees, or by District's breach of this Agreement. The provisions of this paragraph shall survive the expiration or termination of this Agreement with respect to any event occurring prior to such expiration or termination. III. DURATION. This agreement shall become effective immediately upon execution by both parties and shall continue in force as long as Wall 17 and Wall 18 remain in place and the water main remains in its current location as depicted on Exhibit A. Abandonment or relocation of any of the above-mentioned facilities shall immediately terminate this Agreement. IV. OTHER PROVISIONS. A. This Agreement contains the entire written agreement of the Parties and supersedes all prior discussion. This Agreement may be amended only in writing, signed by both Parties. B. Any provision of this Agreement, which is declared invalid, void or illegal shall in no way affect, impair, or invalidate any other provision hereof and such other provisions shall remain in full force and effect. IN CONSIDERATION of the mutual benefit accruing herein, the Parties hereto agree that the work, as set forth herein, will be performed by the Parties under the terms of this Agreement.
