SUPPLEMENT NO. 1
TO
INTERLOCAL AGREEMENT
FOR
MAINTENANCE OF STATE ROUTES
SUPPLEMENT No. 1 is dated effective this 26th day of February, 1995, and is entered
into by and between the City of Federal Way, a Washington municipal corporation ("City"), and
the State of Washington Department of Transportation ("State").
WHEREAS, the City incorporated on February 28, 1990, and since the date of
incorporation the State has been operating and maintaining state routes SR-99, SR-161, and SR-
509 (collectively, "State Routes") within the corporate limits of the City; and
WHEREAS, the City and State entered into an Agreement dated October 9, 1990,
providing for the State's continued operation and maintenance of the State Routes and the City's
compensation to the State for such services; and
WHEREAS, the parties desire to supplement the Agreement to extend the term of the
Agreement.
NOW THEREFORE, the parties agree to the following terms and conditions:
1. Term. The Agreement provided for a five (5) year term commencing on the City's date of
incorporation and terminating on February 27, 1995. The Agreement shall be supplemented to
provide that the Agreement shall renew automatically on February 26th of each year unless either
party provides three (3) months written notice to the other party of its intent to terminate the
Agreement ("Term"). Prior to the expiration of the Term, this Agreement may be terminated by
the City for just cause upon a five (5) day written notification to the State. Just cause shall mean
the failure of the State to perform its obligations pursuant to the Agreement.

AGREEMENT
THIS AGREEMENT, made and entered into this day of
19 Q , between the State of Washington,
Department of Transportation, acting by and through the Secretary
of the Department of Transportation, hereinafter called the "State"
and the City of Federal Way, 31132 - 28th Avenue South, Federal
Way, Washington, 98003, hereinafter called the "City";
WHEREAS, the City of Federal Way was incorporated on February
28, 1990 within King County, and
WHEREAS, the State has been operating and maintaining State
Routes SR-99, SR-161, and SR-509 within the corporate limits of the
City, and
WHEREAS, the City must assume certain maintenance and
operational responsibilities for State Routes SR-99, SR-161, and
SR-509 by virtue of RCW-47.24.010 and RCW 47.24.020, and
WHEREAS, a transitional period will be required by the City to
add staff, personnel, and equipment to accomplish said respon-
sibilities, and
WHEREAS, it is in the best interest of the traveling public to
maintain the integrity of said State Routes during this
transitional period.
NOW, THEREFORE, in consideration of the terms, conditions,
covenants, and performance contained herein, or attached hereto and
incorporated and made a part hereof,
IT IS MUTUALLY AGREED AS FOLLOWS:

The City and State have mutually agreed the transitional
period required by the City to add staff, personnel, equipment, or
alternate arrangements shall be limited to five (5) years. In the
event the City accomplishes the required actions prior to the five
(5) year period, the City shall notify the State in writing of its
intent to cancel this maintenance and operation agreement.
II
The City agrees to assume the responsibility to reimburse
Puget Sound Power and Light for electrical power costs for the
Traffic Signal -Systems and Illumination System on State Route.99,
SR-161, SR-509, and South 320th Street within the corporate limits
as of March 1, 1990. The State agrees to transfer all service
agreements executed between the State and Puget Sound Power and
Light for electrical service to the City on March 1, 1990.
III
The State agrees to perform the maintenance and operational
responsibilities at City expense outline in Exhibit "A" Estimate of
Cost during the transitional period. Exhibit "A" Estimate of Cost
attached hereto and by this reference shall become a part of this
agreement.
Iv
The City and State have executed a "Letter of Understanding"
on February 13, 1990 to accommodate reimbursement by the
city to the State for costs of maintenance and operational

responsibilities performed by the State for the time period of
March 1, 1990 to the fully executed date of this agreement. The
"Letter of Understanding" is attached hereto and by this reference
made a part of this agreement.

Each party of this agreement shall be responsible for injury
to persons or damage to property resulting from negligence on the
part of itself, its employees, its agents, or its officers.
Neither party assumes any responsibility to the other party for the
consequences of any act or omission of any third party.
No liability shall attach to the State or the City by reason
of entering into this agreement except as expressly provided
herein.
IN WITNESS WHERE OF, the parties hereto have executed this
agreement as the day and year first above written.

FIRST AMENDMENT
TO
INTERLOCAL AGREEMENT
THIS FIRST AMENDMENT TO THE INTERLOCAL AGREEMENT ("Amendment")
between the City of Federal Way ("City") and the State of
Washington Department of Transportation ("State") is dated
effective the 1st day of November, 1993.
A. The City incorporated on February 28, 1990, and since the
date of incorporation, the State has been operating and maintaining
state routes SR-99, SR-161, and SR-509 (collectively "State
Routes") within the corporate limits of the City; and
B. The City and the State entered into an Interlocal
Agreement dated October 9, 1990, providing for the State's
continued operation and maintenance of the State Routes and the
City Is compensation to the State for such services ("Interlocal");
and
C. The Interlocal provided for a five (5) year term
commencing on the date of incorporation and terminating on February
27, 1995; and
D. The City and the State desire to amend the scope of the
operational and maintenance services to be performed by the State.
NOW, THEREFORE, in consideration of the terms, conditions and
covenants contained herein,
IT IS MUTUALLY AGREED AS FOLLOWS:
I. TERM
The term of this Amendment shall be for a period of
approximately 1 year and 4 months commencing on the effective date
of November 1, 1993, and terminating on February 27, 1995.
II. SCOPE OF WORK
2.1 State Responsibilities. The scope of work the State has
agreed to perform is set forth in Exhibit "A" "Estimate of Cost",
attached to the Interlocal ("Scope of Work"). The Scope of Work
shall be amended by deleting paragraph E, "Permit, Franchise &
Access Approaches" in its entirety and as follows:
The. State represents that the projects listed on Exhibit "B"
attached to this Amendment and incorporated by this reference
constitute all permits, franchises and access approaches on the

State Routes submitted to the State as of the effective date of
this Amendment. The State shall remain responsible for the
completion of the processing and approval of all projects listed in
Exhibit "S" even if such completion occurs after the effective date
of this Amendment.
2.2 City Responsibilities. The City agrees that it shall be
responsible for processing, reviewing, and issuing all future
permits, franchises, and access approaches to the State Routes
filed with the State or City on or after the effective date of
November 1, 1993.
III. INDEMNIFICATION
3.1 State Indemnification. The State agrees to indemnify and
hold the City, its elected officials, officers, employees, agents;
and volunteers harmless from any and all claims, demands, losses,
actions and liabilities (including costs and all attorney fees) to.
or by any and all persons or entities, including, without
limitation, their respective agents, licensees, or representatives,
arising from, resulting from, or connected with this Amendment or
the Interlocal to the extent caused by the negligent acts, errors
or omissions of the State, its partners, shareholders, agents,
employees, or by the State's breach of this Amendment or the
Interlocal.

3.2 City Indemnification. The City agrees to indemnify and
hold the State, its officers, directors, shareholders, partners,
employees, and agents harmless from any and all claims, demands,
losses, actions and liabilities (including costs and attorney fees)
to or by any and all persons or entities, including without
limitation, their respective agents, licensees, or representatives,
arising from, resulting from or connected with this Amendment or
the Interlocal to the extent caused by the negligent acts, errors,
or omissions of the City, its employees or agents or by the City's
breach of this Amendment or the Interlocal.
3.3 Survival. The provisions of this Section shall survive
the expiration or termination of this Amendment with respect to any
event occurring prior to such expiration or termination.
IV. NONDISCRIMINATION
The City and the State certify that they are equal opportunity
employers, and in all hiring and employment made possible by or
resulting from this Amendment or the Interlocal, there will be no
discrimination by either the State or the City or their employees,
agents, subcontractors or 'representatives against any person
because of sex, age (except minimum age and retirement provisions),
race, color, creed, national origin, marital status or physical
disabilities, unless based upon a bona fide occupational
qualification in relationship to hiring and employment. This

requirement shall apply, but not be limited to the following:
employment, advertising, layoff or termination, rates of pay or
other forms of compensation, and selection for training, including
apprenticeship. The State and the City will not violate any of the
terms of Chapter 49.60 RCW, Title VII of the Civil Rights Act of
1964, the Americans With Disabilities Act, Section 504 of the
Rehabilitation Act of 1973 or any other applicable federal, state
or local law or regulation regarding non-discrimination. Any
material violation of this provision shall be grounds for
termination of this Amendment and Interlocal by either party.
V. GENERAL PROVISIONS
5.1 Amendments. The Interlocal may be amended at any time by
mutual written agreement of the parties.
5.2 Entire Agreement. The parties agree that this Amendment
and the Interlocal are the complete expression of the terms hereto
and all oral representations or understandings not incorporated
herein are excluded.
5.3 Administration. This Amendment shall be administered on
behalf of the City by the City Manager, or his or her designee and
on behalf of the State by the Secretary of the State Department of
Transportation, or his or her designee.

5.4 Invalid Provisions. If any provision of this Amendment
or the Interlocal shall be held invalid, the remainder of the
Amendment shall not be affected and shall remain in full force and
effect.

AGREEMENT
THIS AGREEMENT, made and entered into this day of
, 19 , between the State of Washington,
Department of Transportation, acting by and through the Secretary
of the Department of Transportation, hereinafter called the "State"
and the City of Federal Way, 31132 - 28th Avenue South, Federal
Way, Washington, 98003, hereinafter called the "City";
WHEREAS, the City of Federal Way was incorporated on February
28, 1990 within King County, and
WHEREAS, the State has been operating and maintaining State
Routes SR-99, SR-161, and SR-509 within the corporate limits of the
City, and
WHEREAS, the City must assume certain maintenance and
operational responsibilities for State Routes SR-99, SR-161, and
SR-509 by virtue of RCW-47.24.010 and RCW 47.24.020, and
WHEREAS, a transitional period will be required by the City to
add staff, personnel, and equipment to accomplish said respon-
sibilities, and
WHEREAS, it is in the best interest of the traveling public to
maintain the integrity of said State Routes during this
transitional period.
NOW, THEREFORE, in consideration of the terms, conditions,
covenants, and performance contained herein, or attached hereto and
incorporated and made a part hereof,
IT IS MUTUALLY AGREED AS FOLLOWS:

I
The City and State have mutually agreed the transitional
period required by the City to add staff, personnel, equipment, or
alternate arrangements shall be limited to five (5) years. In the
event the City accomplishes the required actions prior to the five
(5) year period, the City shall notify the State in writing of its
intent to cancel this maintenance and operation agreement.
II
The City agrees to assume the responsibility to reimburse
Puget Sound Power and Light for electrical power costs for the
Traffic Signal Systems and Illumination System on State Route 99,
SR-161, SR-509, and South 320th Street within the corporate limits
as of March 1, 1990. The State agrees to transfer all service
agreements executed between the State and Puget Sound Power and
Light for electrical service to the City on March 1, 1990.
III
The State agrees to perform the maintenance and operational
responsibilities at City expense outline in Exhibit "A" Estimate of
Cost during the transitional period. Exhibit "A" Estimate of Cost
attached hereto and by this reference shall become a part of this
agreement.
IV
The City and State have executed a "Letter of Understanding"
on to accommodate reimbursement by
the City to the State for costs of maintenance and operational

responsibilities performed by the State for the time period of
March 1, 1990 to the fully executed date of this agreement. The
"Letter of Understanding" is attached hereto and by this reference
made a part of this agreement.
V
Each party of this agreement shall be responsible for injury
to persons or damage to property resulting from negligence on the
part of itself, its employees, its agents, or its officers.
Neither party assumes any responsibility to the other party for the
consequences of any act or omission of any third party.
No liability shall attach to the State or the City by reason
of entering into this agreement except as expressly provided
herein.
IN WITNESS WHERE OF, the parties hereto have executed this
agreement as the day and year first above written.

The City of Federal Way will officially become incorporated on
February 28, 1990. City officials and State representatives
(WSDOT) have been meeting to determine resolution of
responsibilities for SR-99, SR-161, and SR-509 to assure this
transportation facilities will continue to serve the public. It is
further understood the City will require an interim period of time
for staffing of personnel, acquisition of equipment, and
arrangement for material suppliers. It has been mutually agreed by
the City and the State that the State will continue to perform the
required maintenance and operation functions on these state
highways between the northerly and southerly corporate limits of
Federal Way. Division of the responsibilities of costs to the
State and the City are outlined in Exhibit "A" -- Estimate of Cost
as a result of our discussions.
The City and State mutually agree this "Letter of Understanding" is
an interim document to handle costs of maintenance and operation of
SR-99, SR-161, and SR-509, which will officially begin on March 1,
1990. It is further agreed the two agencies will faithfully
without prejudice process and execute a maintenance and operation
agreement which will super -cede this "Letter of Understanding" upon
full execution of said agreement.
The State has set up JA Account (No. 3255) to accumulate charges
for labor, equipment, and materials and will bill the City monthly
as expended up to, but not to exceed $ 70,000 without written
approval from the City to increase said expenditures.
It is further mutually agreed the "window" of this interim time for
the State to assist the City in the maintenance and operation of
SR-99 may extend for five (5) years. However, the City can and

required maintenance and operation functions on these state
highways between the northerly and southerly corporate limits of
Federal Way. Division of the responsibilities of costs to the
State and the City are outlined in Exhibit "A" - Estimate of Cost
as a result of our discussions.
The City and State mutually agree this "Letter of Understanding" is
an interim document to handle costs of maintenance and operation of
SR-99, SR-161, and SR-509, which will officially begin on March 1,
1990. It is further agreed the two agencies will faithfully
without prejudice process and execute a maintenance and operation
agreement which will super --cede this "Letter of Understanding" upon
full execution of said agreement.
The State has set up JA Account (No. 3255) to accumulate charges
for labor, equipment, and materials and will bill the City monthly
as expended up to, but not to exceed $ 70,000 without written
approval from the City to increase said expenditures.
It is further mutually agreed the "window" of this interim time for
the State to assist the City in the maintenance and operation of
SR-99 may extend for five (5) years. However, the City can and

shall assume their responsibilities using their own staff and
forces anytime during the five (5) year "window".
Exhibit "A" Estimate of Cost by this reference is made a part of
this "Letter of Understanding" and shall become a part of the above
noted agreement as clarification of costs to be borne between the
State and the City.
The City of Federal Way, by countersigning in the space provided
below, acknowledges and agrees to the terms and conditions of this
"Letter of Understanding" as outlined above.
We are transmitting the original and one (1) copy of this document.
