FOR VALUABLE CONSIDERATION, the receipt and sufficiency of which are
hereby acknowledged, CITY OF FEDERAL WAY, a Washington municipal corporation
("Seller") does hereby sell, transfer, and convey to the FEDERAL WAY SCHOOL
DISTRICT No. 210, a Washington municipal corporation ("Purchaser"), all the personal
property, fixtures, furnishings, and equipment identified on Exhibit A attached hereto and
by this reference incorporated herein (collectively, the "Property") located on the real
property legally described on Exhibit B attached hereto and by this reference
incorporated herein.
Seller hereby represents and warrants to Purchaser that Seller has title to and
holds the entire interest in the Property and that the Property is hereby transferred free
and clear of any and all liens, exceptions and encumbrances whatsoever.
