INTERLOCAL AGREEMENT
(Relating to road improvement districts affecting City real property)
THIS INTERLOCAL AGREEMENT ("Agreement") , is entered into
between King County, a home rule charter county, a political
subdivision of the State of Washington ("County") , and the City of
Federal Way, a municipal corporation of the State of Washington
("City") .
A. The City incorporated effective February 28, 1990, at
12 : 01 a.m;
B. Upon incorporation, local governmental authority and
jurisdiction with respect to certain real property owned by the
public transferred from the County to the City;
C. Prior to the date of the City's incorporation, by
Ordinance Number 7193, the County created Road Improvement District
Number 99 ("RID No. 99") for street lights in the plat of Twin
Lakes Park and by Ordinance Number 8001, the County created Road
Improvement District Number 100 ("RID No. 100") for street lights
in the plat of Dumas Bay Estates Number 3 (collectively the
"RIDS") .
D. By Ordinance Number 7314, the County levied assessments
against the property within RID No. 99 and by Ordinance Number
8152, the County levied assessments against property within RID No.
100 ("Assessments") .
E. The RIDS affect property located within the city limits
and the City and the County desire an orderly transfer of authority
and jurisdiction with respect to the RIDS, subject to this
Agreement.
F. The construction of the street lights have been
completed. Accordingly, the remaining Assessments to the property
owners are for power and other maintenance charges as authorized by
the ordinances passed by the King County Council.
G. The County has submitted billing statements to all of the
property owners with property within the RIDS for the 1992
Assessments.
NOW, THEREFORE, the parties mutually agree as follows:
1. City responsibilities. The City shall:
A. Notify the property owners who are subject to
the Assessments that the City is assuming the
responsibility for processing and
administering the Assessments and the RIDS.

B. Effective January 1, 1993, assume all
inspection, enforcement, and administrative
responsibilities for administrating the RIDS,
including foreclosing on all Assessments which
become a lien on the property pursuant to RCW
36.88. 120 on or after February 28, 1990,
except as otherwise provided in this
Agreement.
C. The City has the authority to administer the
RIDS and to foreclose on the Properties, as
authorized by this Agreement.
2 . County Responsibilities. The County shall:
A. Provide the City, upon execution of this
Agreement, with a list of all property owners
covered by the RIDS ("Property Owners") ,
specifically setting forth the status of each
Property Owner as to whether or not the 1992
annual Assessment has been billed to the
Property Owner and whether or not the Property
Owner has paid the same, which list is
attached to this Agreement as Exhibit A and
incorporated herein by this reference.
B. Notify Puget Sound Power & Light Company
("Puget") that the RIDS have been transferred
to the City and instruct Puget to deliver to
the City all 1993 maintenance and power
charges covering the affected property within
the RIDS.
C. Remain responsible for the billing of all 1992
Assessments through December 31, 1992 and
responsible for the collection and foreclosure
of all Assessments and all Assessment liens
pursuant to RCW 36.88. 120 through February 27,
1990.
D. Cease accepting inquiries or performing other
tasks in administrating the RIDS except as
specified in this Agreement and refer all
such inquiries and tasks to the City.
E. Cooperate with the City in the orderly
transition of the RIDS, including without
limitation, agreeing to the following:

(i) Being available to the City for phone
consultations to discuss any questions
arising out of or relating to the
RIDS;
(ii) Delivering the City complete files
covering any of the RIDs including
copies of the fully executed
ordinances confirming the RIDS and
authorizing the Assessments, the
Maintenance Assessment Rolls for the
RIDS and any correspondence, notes or
other documents relating to the RIDS,
the Assessments or the Property
Owners; and
(iii) At all reasonable times, providing the
City with access to its books and
records relating to the RIDS in any
way.
3 . Indemnification.
A. The City shall indemnify, defend and hold
harmless the County and its officers, agents
and employees, or any of them, from and
against any and all claims, actions, suits,
liability, loss, costs, expenses, and damages
of any nature whatsoever, which are caused by
or result from a negligent act or omission of
the City, its officers, agents and employees,
or any other action in regard to foreclosure
proceedings implemented by the City.
In the event that a suit by a third party
based upon such a claim, action, loss, or
damage is brought against the County, or the
City and the County, the City shall defend the
same at its sole cost and expense; and if
final judgment be rendered against the County,
and its officers, agents, and employees or
jointly against the County and the City and
their respective officers, agents, and
employees, the City shall satisfy the same.
In executing this Agreement, the County does
not assume liability or responsibility for or
in any way release the City from any liability
or responsibility which arises in whole or in
part from the existence, validity or effect of
City ordinances, rules or regulations. In any
such cause, claim, suit, action or

administrative proceeding commenced, the City
shall defend the same at its sole expense and
if judgment is entered or damages are awarded
against the City, the County or both, the City
shall satisfy the same, including all
chargeable costs and attorney's fees.
B. The County shall indemnify, defend and hold
harmless the City and its officers, agents,
and employees, or any of them, from and
against any and all claims, actions, suits,
liability, loss, costs, expenses and damages
of any nature whatsoever, which are caused by

employees in performing services pursuant to
the Agreement, or any other action in regard
to foreclosure proceedings implemented by the
County.

4 . Duration.
This Agreement is effective upon execution and
will continue in effect un til the expiration
of the RIDS or after all Assessments have been
satisfied, whichever is later.
5. Administration.
This Agreement shall be administered on behalf
of the County by the Director of the Public
Works Department, or his or her designee, and
on behalf of the City by the City Manager, or
his or her designee.
