MEMORANDUM OF AGREEMENT
Meals on Wheels Satellite Site:
This Memorandum of Agreement is between Sound Generations (also referred to as "the program ") and the
City of Federal Way (also referred to as "the site ").
In recognition of the need to provide home- delivered meal service to homebound elders in the Federal Way
area through the use of community /senior center facilities and volunteer delivery staff, and in recognition that
Sound Generations has been granted funds to contribute to the cost of such activities, it is hereby agreed that
the City of Federal Way and Sound Generations Meals on Wheels Program will work together to achieve
these ends for the greater good of the community, with emphasis on the most vulnerable and underserved
citizens in the community. This includes, however is not limited to, those with very low income, those who
have difficulty with or do not speak English, and members of ethnic /cultural groups who are more likely to
experience food and nutritional insecurity.
1. It is agreed that this satellite home- delivered meal distribution site shall be located at the Federal Way
Community Center.
2. The site will supply adequate freezer space for storage of the meals. In the case the site is aware of a
freezer malfunction, the site will notify the program main office as soon as reasonably practical.
3. Client meal delivery will occur on Thursdays, unless there is a schedule change due to a holiday or
emergency situation. The site will make reasonable effort to provide free access to the Meals on Wheels
area for the delivery day and any other days where packing and ordering may need to take place at the
site.
4. The site may help recruit volunteers to operate the meal delivery system with the help of program staff
located at Sound Generations' downtown administrative offices. Background checks are required for all
volunteers with access to Meals on Wheels clients and /or their information. These checks shall be
conducted by staff at the downtown office at the start of volunteer service and every two years thereafter.
Sound Generations reserves the right to terminate a volunteer's service with Meals on Wheels at any
time, with or without cause.
5. The site may support service provision in accordance with all program guidelines and contracts.
6. Meals and'oiher inventory items at the site shall be kept to a minimum, and are the property of the
program until distributed.
7. Sound Generations desires an environment that is welcoming and culturally sensitive for everyone. Site
staff are requested to make reasonable efforts to assure this is the case. Racial and sexual harassment will
not be tolerated and will be grounds for termination of this agreement.
8. Sound Generations will keep all program and client information confidential in accordance with the
Meals on Wheels Confidentiality Policy. Client data is considered the property of Sound Generations.
This data must not be used for any purpose other than for the Meals on Wheels program.
Under Washington State Law (reference RCW Chapter 42.56, the Public Records Act) all information
shared with the site is considered a public record. The Public Records Act requires that public records

must be promptly disclosed by the site upon request unless that RCW or another Washington State statute
specifically exempts records from disclosure. Exemptions are narrow and explicit (See RCW 42.56 and
RCW 19.108).
9. Any program information intended to be distributed through the Meals on Wheels program must first be
approved by Sound Generations prior to distribution.
10. The site shall provide space sufficient for the storage, handling and packing of meals, as well as
unobstructed pathways for delivery of meals, space for the use of a computer and printer, a phone line,
and internet access if possible.
11. The site shall allow access to the Meals on Wheels area for monitoring visits by staff from Sound
Generations or our funding agencies, including Aging and Disability Services and COPES, to ensure
compliance with program standards.
12. This Memorandum of Agreement may be terminated with thirty (30) days written notice by either party.
13. The term of this Agreement shall begin May 16, 2017. It may be amended thereafter by mutual agreement
of the parties in writing.
14. Release of Liability. The undersigned hereby agrees to indemnify and hold the City of Federal Way, its
elected officials, officers, employees, agents and volunteers harmless from any and all claims, demands,
losses, actions and liabilities (including costs and all attorney fees) to or by any and all persons or entities
including, without limitation, their respective agents, licenses and representatives, arising from, resulting
from, or connected with the use of the premises, or from any error or omission of the undersigned, its
partners, shareholders, officers, agents, employees, invitees, volunteers, or by the breach of this Facility
Rental Agreement, unless such injury or damage is caused by the sole negligence of the City of Federal
Way.
15. Use. The undersigned agrees to use the premises for the above referenced activity and not use or permit
the premises to be used for any other activity or purpose without the City of Federal Way's prior written
consent. The undersigned agrees to reimburse the City in full for damages incurred to the facility or City
equipment by any member of the rental party.
16. Compliance with Law. The undersigned shall not use the premises or permit anything to be done in the
premises which will conflict with any applicable local, state or federal law, ordinance, rule or regulation,
as now existing or hereafter adopted or amended. This will include but not be limited to, illegal parking
in fire zones, destruction of property (either City property or Private property surrounding City property),
or public urination. Upon recognition of illegal activity, the rental will be immediately stopped and the
rental group will forfeit all rental fees and damage deposit.
