CANCELLATION You may cancel any time so long as we receive written notice 60-days or more prier to your scheduled event, and we will retain only the non-refundable deposit If you fail to notify us 60-days prior to your event as required and we are unable to rent the facility, then you will be responsible for the full rent cost. If we are able to rent the facility,you will only be required to pay the non-refundable deposit,the difference between the new rent price and your scheduled rent price, and an administration fee of $500. Unexpected events,weather,conditions and other matters beyond our control can occur so we reserve the right to cancel at any time and close the track. We will notify you promptly if this occurs and return your deposit. 5. OPERATING RULES RACING IS INHERENTLY DANGEROUS. USER ASSUMES ALL RISK. USER SHALL INSPECT THE TRACK, ITS SURFACE AND SURROUNDING AREAS PRIOR TO ALL USE. THE RENT PREMISES ARE AVAILABLE ONLY ON AN "AS-IS" BASIS WITH ALL DANGERS, DEFECTS, FAULTS, HAZARDS AND PROBLEMS, WHETHER HIDDEN OR APPARENT, AND WITH NO WARRANTY OF ANY TYPE OR NATURE WHATSOEVER. ALL DRIVERS ON THE ROAD COURSE MUST WEAR HELMETS AT ALL TIMES. ALL USE OF THE RENT PREMISES IS STRICTLY SUBJECT TO TRMP GENERAL RULES AND REGULATIONS. User shall require each of its participants to learn and comply with each of TRMP General Rules and Regulations. User shall spend sufficient time and incur sufficient expense to ensure that all participants, whether Users employees, personnel, guests, invitees, spectators, contractors, visitors and others, strictly comply with each and every TRMP General Rules and Regulations. In addition, User must strictly comply with the following: 5.1 3 weeks prior to your event, User will provide an hourly schedule for the event and description of all event activities, including your event coordination sheet for each confirming all event needs. 5.2 Use of TRMP road course("Track")shall be confined to daylight hours not exceeding 8-hours including a 1-hour lunch break. Generally, Track access starts at 9:00 am and ends at 5:00 pm. Exceptions must be negotiated and approved in advance with additional fees paid. 5.3 No group,organization or individual may sell gate admissions to TRMP events and amenities without executing a separate agreement with TRMP.The separate agreement will specify the terms, conditions and distribution of proceeds from any gate admission sales. Unless otherwise agreed to in writing,TRMP will initiate,collect and retain gate/admission fees to any event at the track. 5.4 User shall take all steps necessary in connection with each User and User's employees, personnel,guests,invitees,spectators,contractors,visitors, participants and others on TRMP Property and the Rent Premises in connection with User's event, including, but not limited to, the following: Performance Motorsports Management,Inc.DBA Z�E THE RIDGE MOTORSPORTS PARK 116 T'ac0igeni's4nitials 2021 Rental Contract-Page 2 of 15 usc-r's?RNLrf IR�t'JL71�`� a) Provide each of User's employees, personnel, guests, invitees, spectators, contractors, visitors, participants and others a copy of TRMP General Rules and Regulations and have controls in place to make sure the TRMP General Rules and Regulations are followed; b) Practice and enforce environmentally sound and clean practices at all times in, on or around TRMP Property and the Rent Premises; c) Not make or publish, or allow User's employees, personnel, guests, invitees, spectators, contractors, visitors, participants and others to make or publish, statements, in printed, electronic or other form, that infringes on the copyright and intellectual property of TRMP; d) Verify the parent or guardian signatures on the Waiver and Release form for all minor participants before any minor enters the Track; and e) Inspect the Rent Premises and accept their present,AS-IS condition prior to allowing drivers to use the Track. 6. USER RESPONSIBLE FOR CLEANUP; DAMAGE TO FACILITIES User shall at User's sole risk and expense,he responsible for each of the following acts and expenses: 6.1 Any and all damage to TRMP's electronic equipment,the racing surface,fencing, guardrails, buildings, utility vehicles and all other equipment, and improvements occurring in connection with or during User's event. 6.2 Cleanup, removal and disposal of trash,tires, mud, and other debris left on TRMP Property. Note: Fuel barrels and tires cannot be left on the Rent Premises or TRMP Property for any reason. 6.3 Cleanup or other remediation of any fuel or chemical spills or damage in or to any portion of the Rent Premises during the term of this Contract, whether caused by User or by User's employees, personnel, guests, invitees, spectators, contractors, visitors, participants and others. 6.4 TRMP specifically prohibits the disposal of waste oil,fuel,tires or any other hazardous items on the Rent Premises or TRMP Property. If unauthorized materials are left or improperly disposed of at TRMP,the User will pay for disposal and related charges. 7. PUBLICITY User agrees that all advertising and publicity of the event shall contain a reference to the name"The Ridge Motorsports Park", all rights to which are reserved by TRMP and which TRMP hereby licenses non-exclusively to User for such express and limited purpose. Official logos will be provided if requested. 8. VENDORS AND SERVICE PROVIDERS Performance Motorsports Management,Inc.DBA THE RIDGE MOTORSPORTS PARK MCC aae+�'s Initials 2021 Rental Contract-Page 3 of 15 Users Initial 8.1 One (1) week prior to User's event, User must give written assurance to TRMP that all vendors contractors and service providers attending Users event(s) have provided TRMP with n certificate of insurance that clearly states what each vendor, contractor and/or service provider is insured for and that coverage required by TRMP is in place. Vendors,contractors and/or service providers without satisfactory coverage will not be allowed on TRMP Property or the Rent Premises. Examples include but are not limited to tire vendors,food vendors and merchandise vendors. 8.2 No souvenir or apparel vendors shall be permitted on TRMP Property or the Rent Premises without prior written approval of TRMP. 8.3 No fuel or other vendors shall be permitted on TRMP Property or the Rent Premises without prior written approval of TRMP. 8.4 Prior written approval must be obtained from TRMP before selling or giving away any food or beverage products. TRMP catering and concession vendors has exclusive rights to supply all food and catering needs during all events. User has the option to request a concession/catering buyout if agreed upon between TRMP and User. 9. ADVERTISING PARTNERS TRMP has contractual agreements with our advertising partners. To insure no conflicts of interest prior written approval of any event promotional tie-in or advertising partner will need to be approved priorto User's event. Under no circumstance may User cover up any signage on.TRMP's property. If Users event requires signage re-location or signage cover-up; this must be approved in writing by TRMP. 10. SECURITY. TRMP requires a minimum of one(1)security guard on the main gate during all open hours. Either the gate has a security guard on duty or it is to be locked. For larger events or when circumstances dictate,an additional security guard may be required on TRMP Property and the Rent Premises. User shall pay the cost of all security as noted on Attachment"B". In addition to the above, the User may request additional security personnel. 11. USE OF SUPPORT STAFF. TRMP has available a wide range of specialty services for the User and encourages the User to help TRMP develop these resources for the mutual benefit of both parties. 12. ADDITIONAL SERVICES. Attachment"B"contains a list of available Track services. Other personnel,such as fire and safety or other technical persons may be obtained under contract with TRMP at rates set forth in Attachment "B" 13. PARTICIPANT RELEASES User shall be responsible for requiring that waiver & release forms are signed by all participants, parents or guardians of all minor participants, all workers, employees, personnel, guests, invitees, spectators,contractors,visitors and any other persons having access to TRMP Property and the Rent Premises Including, but not limited to,the pit lane,the race track, and worker statlons.TRMP require all attendees sign the TRMP waiver at the front gate prior to the start of the event. INDEMNIFICATION User agrees that TRMP shall not be liable for damage or injury to User, User's employees,personnel, guests, invitees, spectators, contractors,visitors, participants and others,from any cause and for any reason. Whether User provides the liability release required herein, User agrees and covenants to indemnify,defend and hold harmless TRMP and its officers,directors, members and employees from and against any and all claims, demands, losses, expenses, liabilities and damages arising from the use of the Rent Premises and the TRMP facilities by User and User's employees,personnel, guests, invitees,spectators,contractors,visitors, participants and others. Upon notice from TRMP, User shall defend all such claims at User's expense by counsel satisfactory to TRMP. User, as a material part of the consideration of this Contract,hereby assumes all risk of damage to property or injury,including death, to persons in, upon or about TRMP Property,the Rent Premises and related facilities arising from any cause,and User hereby waives all claims in respect thereof against TRMP. 15. PARTICIPANT INSURANCE User shall provide, at User's sole expense, participant accident insurance,in form, limits and with an insurer acceptable to TRMP,with a minimum of ten-thousand dollars($10,000.00)accident medical expense benefits per person per incident covering every participant in the event. User shall deliver to TRMP a certificate of insurance in compliance with this provision not later than one(1)week prior to the event. No participant shall be allowed on TRMP's Property and the Rent Premises, unless and until such insurance coverage is in effect as reflected by the effective date and time on the insurance certificate.TRMP reserves the right to accept or reject User's insurance. 16. GENERAL LIABILITY INSURANCE User will provide to TRMP a Commercial General Liability insurance policy with a combined single limit and general aggregate in the minimum amount of five-million dollars ($5,000,000.00) per occurrence including public liability,participant liability,products and completed operations,personal injury, damage to TRMP Property and the Rent Premises rented to you, incidental medical expense coverage and other coverage that is specifically required by this Contract. Said insurance will specifically reference providing coverage for any legal action arising from User events including all TRMP legal fees, responses and court costs.The policies must be endorsed to be the primary and non-contributory to any other insurance available to the additional insured.The following entities must be listed as additional insured using the exact wording below: "Performance Motorsports Management, Inc.", dba The Ridge Motorsports Park, "The Ridge Motorsport Group LLC and all Its affiliates", "All Owners, Directors, Members, Officials, Employees, Contractors, Sub-Contractors and any person or organization engaged in operating, managing, sanctioning, or sponsoring the event,including any medical personnel". 17. INSURANCE REQUIREMENTS User shall, at User's sole cost and expense,comply with all requirements of all participant and User general liability insurance policies, including, but not limited to, certification, training and licensing of all equipment,ambulances,medical personnel,corner workers,fire safety personnel,other personnel, assistants, invitees,etc. required or supplied by User. 18. COMPLIANCE User shall, at User's sole cost and expense, at all times comply with, and cause User's employees, Performance Motorsports Management,Inc.DBA THE RIDGE MOTORSPORTS PARK Tr6ck Ageni's Initials 2021 Rental Contract-Page 5 of 15 users initial RIL7�S�,-� personnel,guests, invitees, spectators,contractors,visitors, participants and others to comply with all city, county, state, and federal laws, ordinances, rules, regulations and requirements pertaining to User's occupancy and use of TRMP Property and the Rent Premises and conduct of the event, including without limitation such things as workers compensation insurance, reporting of income, payment of employee taxes, W-2's, 1099's, sound restrictions, hours of use, curfews, use and disposal Of fue! and other chemicals, clean up and condition of Rent Premises, and all other laws, regulations, rules and codes that apply. User shall indemnify,defend and hold TRMP harmless from any failure of User or User's employees, personnel,guests, invitees,spectators,contractors,visitors, participants and others to comply with such laws. 19. RENTAL CONTRACT CHANGES Whenever any notice, approval, consent, request or election is given or made pursuant to this Contract, it shall be in writing. Communication and payments shall be addressed to TRIMP andior User at the addresses indicated on the signature page of this Contract Any communication .90 addressed shall be deemed duly served when personally served,or if mailed as ref 72-hours from the time such notice was deposited in the U.S. mail, by registered or certified mail, return receipt requested. 20. MISCELLANEOUS 20.1 The receipt by TRMP of rent with knowledge of the breach of any covenant of this Contract shall not be deemed a waiver of such breach. No provision of this Contract shall be deemed to have been waived by TRMP or by User, unless such waiver is in writing signed by each party. 20.2 If any term of this Contract shall, to any extent, be invalid or unenforceable,the remainder of this Contract shall not be affected, and such term of this Contract shall be valid and enforceable to the fullest extent permitted by law. 20.3 Except as expressly provided in this Contract, any amount due from one party to the other and not paid when due,shall bear interest at th a maximum rate allowable by law from the date due or 18% per annum,whichever is less. Payment of such interest shall not excuse or cure any other default under this Contract. 20.4 This Contract contains all the agreements of the parties with respect to any matter mentioned in this Contract. No prior agreement or understanding pertaining to any such matter shall be affected.This Contract may be modified in writing only,signed by the parties in interest at the time of the modification. 20.5 In any action to enforce the terms of this Contract, the prevailing party shall be entitled to an award of reasonable attorneys'fees and litigation expenses in addition to other relief. 20.6 TRMP reserves for itself, its agents and employees,the right to enter the Rent Premises at any time without notice to User. 20.7 TRMP reserves the right to close or limit Track use for safety, environmental, regulatory or critical reasons. 20.8 The parties have had an independent opportunity to evaluate this Rental Contract, rely solely on its own conclusions, and are not relying on the other's representations. The parties have Performance Motorsports Management,Inc.DBA �_�� THE RIDGE MOTORSPORTS PARK 1f�a Track Agent's Initials 2021 Rental Contract-Page 6 of 15 User's Initial negotiated the risk that either party may suffer economic loss and have allocated the risk according to the terms of this Rental Contract. 20.9 Riding, driving and racing are inherently dangerous activities, each participant's skill and experience impacts overall Track safety,and the User represents and warrants to TRMP that it will take all necessary steps to adopt and enforce policies designed to minimize risk to User's employees, personnel, guests, invitees, spectators, contractors, visitors, participants, TRMP Property and others. 20.10 Time is of the essence for each and every provision of this Contract requiring performance within a specified time. 21. SIGNED RENTAL CONTRACTS All signed Contracts must include a deposit that's received by the noted date on page 1,section 3.of the 2021 Rental Contract. Deposits are for the Base Track Rental fee only. Remaining Track Rental; including any agreed upon fee's as outlined in Attachment"A", must be paid 30 days prior to each event. 22. DBA THE RIDGE MOTORSPORTS PARK Attachment A—The Ridge Motorsports Park General Rules and Regulations 1. EACH PERSON who enters through The Ridge Motorsports Park(herein, "TRMP") gates MUST sign the TRMP Track Waiver and MUST display the TRMP Wristband-NO EXCEPTIONS. Event registration may take place in the paddock or the classroom. User shall be responsible for requiring that,TRMP Track Waiver & release forms are signed and the TRMP wristband is displayed by all participants, parents or guardians of all minor participants, all workers, employees, personnel, guests, invitees, spectators, contractors, visitors and any other persons having access to TRMP Property and the Rent Premises including, but not iimited to,the pit lane, the race track,and worker stations.TRMP security personnel require all attendees sign the TRMP Waiver at the front pate prior to the start of the event. 2. At any time the front gate is open, User must have a TRMP security guard in position checking for correct credentials and signing the Track Waiver. 3. TRMP gates open at 7:00 am and close at 7:00 pm. If different access is desired, User must notify TRMP at least forty-five (45) days prior to the event. Early opening and late closing requires gate security be in place and will result in additional fees. Please do not allow your customers to arrive before the gates are scheduled to open. 4. All used or wasted oil, antifreeze, brake fluid, and other used chemicals must be removed from TRMP Property and Rent Premises by User or by User's employees, personnel, guests, invitees, spectators, contractors, visitors, participants and others. User will pay for all clean up, remediation and other costs in the event of discarded or spilled fuels,chemicals and contaminants on or about TRMP Property and Rent Premises. 5. All vehicles must have mufflers! No vehicle may exceed 103 db 50 feet from the side of the road course.TRMP will monitor sound periodically and will require modification of participant vehicles that exceed 103 db. 6. In the event of a gas or oil spill on any asphalt surface, time is of the essence. Quickly notifying TRMP track personnel will minimize the damage. In the case of a fuel spill, dousing the spill with water can prevent severe damage. User shall pay all TRMP damage, loss and clean- up costs related to all spills. 7. No outside fuel vending of any kind is permitted. Participants may bring fuel onto the property for personal use provided they comply with all federal, state, and local regulations for transporting such materials. S. UPS, FED EX or other deliveries will be accepted at TRMP's front office and advance arrangements with TRMP are encouraged. TRMP is not responsible for lost, misplaced or damaged items drop-shipped to TRMP property. Please make sure your name is clearly noted on any package or delivery. 9. No outside catering services,worker lunches and concessions. All food services must be organized through TRMP. Speed limit on track before 9:00am and after 5:00pm is 25MPH. No motorized vehicles are allowed on track after 5pm, individuals may walk the track after 5:00pm. 27. Facility Access. Access to the facility prior to your event will be available based on the agreed time. Access is unavailable prior to this time. 28. Users are responsible to ensure that all of User's employees, personnel, guests, invitees, spectators, contractors, visitors, participants and others leave the TRMP Property and Rent Premises at the time stated in their Contract. Users are responsible to stay on premises until all event attendees have left the facility.Any violation will result in an additional charge of$500 per hour to the User. 29. TRMP reserves the right to change these General Rules and Regulations and such changes shall be effective upon adoption. Please help us be good neighbors and ask your clients to be courteous when leaving the property. Ambulance service is mandatory for high speed, automotive, motorcycle and other high- risk activities. 11. Track service vehicles may not be driven by anyone but TRMP employees. 12. No race engines may be started before 8:00 am or after 7:00 pm. 13. Cost to repair all damage including paddock damage caused by heavy pedestals and/or fuel and oil spills is the responsibility of User. 14. Use of alcohol in the paddock is strictly forbidden during the "hot track" hours of User's event. Any violation of this policy could be cause for termination of the event and/or User's future use of TRMP property and facilities. Alcohol is permitted only through TRMP catering and beer garden. Not outside alcohol is permitted on the property. 15. Please respect and obey all local, state and federal laws along with TRMP General Rules and Regulations and track guidelines. 16. TRMP prohibits firearms, pyrotechnics, and use of drugs on TRMP property. 17. Participants will be allowed to walk or bike the track once the track is cold. NO MOTORIZED VEHICLES ALLOWED. This access will be allowed until dusk. 18. Facility entrance road speed is 15 MPH, paddock speed limit is 10 MPH. Pit Road speed 40 MPH. NO SPECTATORS/MINORS/ANIMALS ALLOWED IN HOT PIT LANE. Officials and crew members only. 19. Train horns, bands, or any other non-motorized noise impact is not permitted on the property unless approved by TRMP. 20. Drones are prohibited on the property. 21. Riders of motorcycles and all-terrain vehicles must wear an approved helmet at all times on property. 22. All pets must be on a leash at all times. You are required to clean up after your pets and be courteous of the property and facility structures. A FEE MAY BE INCURRED IF WE NEED TO CLEAN UP AFTER PETS. PETS ARE NOT ALLOWED IN THE PERFORMANCE CENTER. 23. Marked fire lanes must be clear at all times. 24. Please note: User will be charged a garbage fee for all garbage that is unable to be contained in a garbage can. Garbage service will be handled nightly,any additional service needs outside of our coordinated clean-up will be charged an additional fee. 25. One authorized photographer is allowed on track per group/event day. All other photographers must remain in the designated public photography area. All photographers must sign the Ridge photography waiver and wear Ridge photography vests. 26. Road course is to remain cold till 9:00am (no motorized vehicles or people on track).
