THIS AGREEMENT by and between Lakehaven Utility District, a
municipal corporation of King County, Washington, hereinafter termed
"Grantee" and City of Federal Way, a municipal corporation of the State
of Washington I hereinafter termed "Grantor".

That Grantor, for and in consideration of one Dollar or other
valuable considerationl the receipt and sufficiency of which is hereby
acknowledged, hereby conveys to the Grantee;

for Grantee' s* negligence in so doing, provided that such shall be
accomplished in a manner that existing private improvements shall not be
disturbed or destroyed or in the event that they are disturbed or
destroyedl they will be replaced or repaired, to as good a condition as
they were immediately before the property was entered upon by the

Grantor hereby agrees that no building, wall, fence, rockery, trees
or structure of any kind shall be erected or planted, nor shall any fill
material be placed within the boundaries of said easement areas without
prior approval of the Grantee, which approval shall not be denied where
the location of any such structure or fill material will not mat~ally~-/
interfere with Grantee's rights hereunder nor cause Grantee to incur
additional expense related thereto.**No excavation shall be made within

The parties acknowledge that Grantee may have a need to expand its
facilities described herein for benefit of the public water system.
Grantor may agree to, by execution of any amendment to the easement
agreement herein, enlarge the easement area as necessary for such
expansion, provided however that Grantor reserves the right to receive
just compensation for same, and reserves the right not to elect to permit such
expansion.
This Agreement and each of the terms I provisions I conditions and
covenants herein shall be binding upon and apply to the benefit of the
parties hereto and their respective successors and assigns.

EXHIBIT "C"
DESCRIPTION OF PORTION OF WATER INFILTRATION
GALLERY FACILITIES AND APPURTENANCES WITHIN
THE CITY OF FEDERAL WAY PROPERTY
A stainless steel drum screen intake structure is centered within
a steel-bar trash rack that is mounted in a concrete foundation and
slab structure. The slab is further surrounded on three sides by
rock-filled Gabion baskets forming a retaining wall. A ditch is in
place that directs the water from Panther Lake to the intake
structure. A 36-inch ductile iron pipeline delivers the flow from
the drum screen intake and directs it underneath the Panther Lake
Dam.
