For and in consideration of One Dollar ($1.00) and other valuable consideration, the receipt of which is
hereby acknowledged, the CITY OF FEDERAL WAY, a WashingtDn municipal corpDration (oGrantorO)
grants, conveys and warrants tD WELLINGTON-MORRIS CORPORATION, a Washington corporation
(oGrantae.) for the purposes hereinafter set forth, a parpetual easement under, across and over certain
real property (the .Proparty.) located in Federal Way, WashingtDn, legally described as follows:
Legal DescriptiDn of Property attached heretD as Exhibit. A. and incorporated herein by
this reference.
Except as may be otherwise set fDrth herein, Grantee's rights shall be exercised upDn that portion of the
Property consisting of a utility easement ('Easement.) described as follDws:
Legal Description of Easement attached hereto as Exhibit °Bo and incorporated herein by
this reference.
1. Purpose. Grantee and its agents, designees andlor assigns shall have the right, with prior notice to
Grantor, at such times as deemed necessary by Grantee, tD enter upon the Property to inspect, design,
construct, reconstruct, Dperate, maintain, repair, replace, remove and enlarge all sewer facilities
including, but not limited tD, underground facilities, all cDnnectors, manholes and all appurtenances
theretD (OFacilitieso,. Following the initial construction of the Facilities, Grantee may from time to time
construct such additiDnal facilities as it may require, with nDtice to and permission frDm Grantor,
2. Access. Grantee shall have the rigt\'t of access to the Easement Dver and across the Property to enable
Grantee to exercise its rights hereunder.
3. Obstructions: Landscaping. Grantee may from time tD time remove vegetation, trees, or other
obstructions within the Easement, and may level and grade the Easement to the extent reasonably
necessary tD carry out the purposes set forth in paragraph 1 hereof, provided, that following any such
work, Grantee shall, to the extent reasonably practicable, restore the Easement to a cDndition similar to

its condition prior to such wDllc, as determined by the Grantor, Following the instaliatiDn of the Facilities,
Grantor may undertake any OIdinary improvements to the landscaping of the Easement, provided that no
trees or other plants shall be placed thereon, which would be unreasonably expensive or impractical for
Grantee to remove and restore.
4. Grantor'l Uae of Easement. This Easement shall be exclusive to Grantee; provided, however I Grantor
reserves the right to use the Easement fDr any purpose not incDnsistent with Grantee's rights prDvided:
further, that Grantor shall not CDnstruCt or maintain any buildings or other structures on tha Easemant,
th8t Grantor shall not perform digging, tunneling or other form of construction activity on the PrDperty,
which wDuld disturb the compaction Dr unearth the Facilities; and that Grantor shall not blast within
fifteen (151 feet of the Easement.
5. Indemnification. Grantea agrees to indemnify and hold Grantor, its officers, employees, agents, and
volunteers hermless from any and all claims, demands, losses, actions and liabilities Cincluding costs and
all attornay faesl to or by any and all persons or entities, including, without limitation, their respective
agents, licensees, or representatives, arising from, resulting from, or connected with this Easement,
6. SUCC88IIOI'8 and A_gnl. The rights and obligations of the perties shall inure to the benefit of and ba
binding upon their respective successors in interest, heirs and assigns.
