The Agency shall perform the services more specifically described in Exhibit A, attached hereto and incorporated by this reference ("Services"), in a manner consistent with the accepted professional practices for other similar services within the Puget Sound region in effect at the time those services are performed to the City's satisfaction, within the time period prescribed by the City and pursuant to the direction of the Mayor or his or her designee. The City will use the quantity of Services actually delivered, as reported on the Agency's reports, as a measure of satisfactory performance under this Agreement. The City shall review the Agency's reports to monitor compliance with the performance measures set forth in Exhibit A. Should the Agency fail to meet the performance measures for each quarter, the City reserves the right to adjust payments on a pro rata basis at any time during the term of this Agreement. Sue then introduced herself, spoke of how delighted she is to be asked to become the Interim ED at KYFS, and talked about what she hopes to accomplish. 2020 Fund Development Lily began by thanking board members who were able to attend the (virtual) KFYS All Staff Annual meeting two weeks ago. Members expressed appreciation for how good an event Lily organized over ZOOM and very much appreciated being able to chat with small group of staff in each ZOOM breakout room they were in. Lily reported a YTD total of $321,753 in funds raised with individual contributions equal to last year, net profit from the One Thing Experience and 50t" Anniversary annual event better than any other year. Also, with the COVID pandemic situation many, many unexpected RFPs for 1 of 4 grants have be submitted since spring, some months 10+ proposals going out. We have secured a number of those moving the unanticipated grant funds award beyond budget for the year. Upcoming events Lily pointed out include Giving Tuesday. She asked members to work on identifying and "asking" friends and acquaintances support donating and has set a goal of $5,050 for the Giving Tuesday (amount to honor our 50t" anniversary). Also, the holiday giving campaign and adopt a family are in the works. Shop with a Cop is not finalized as Lily and Chief Padilla still have to work out safety details. Seattle Times Fund For the Needy campaign coming up, Lily reported she has two possible KYFS stories for the FFTN KYFS feature. Members thanked Lily for her terrific work. Moving onto the next item: Interim Executive Director Authority Lesley referenced the resolution assigns authority to Sue Camou Arrant for signing all contracts and legal documents on behalf of the agency effective Monday. November 23, 2020. Alyson Flores motioned, and Brandy Reed seconded the resolution as presented. Motion Passed Unanimous. Lesley-moved--to-the -next-item: KYFS Check Signers There are two resolutions: 1. Updates the check signers on the Banner Bank KYFS accounts, removing Mike Heinisch and Tamara Sarroza and adding Sue Camou Arrant and Jane Prestbye as signers effective December 10, 2020. All other current signers on the account remain on the list. 2. Cynthia Boyd motioned, and Brandy Reed seconded of the two resolutions as presented. Motion Passed, 11 Yea, 1 Abstain of Mike Mathews. Vicki Foege asked if KYFS has other bank accounts. Lesley moved to the next item: Additional KYFS Staff Holidays Lesley reminded members the board typically provides KYFS staff with two additional holiday at eh end of the year holiday season. This year the suggested extra holidays would be Thursday December 24t" and Thursday December 31St.Mike Mathews_ motioned and Sam Chalfant seconded designation of those two dates as additional staff.:holidays in 2020. Motion Passed Unanimous. Lesley continued onto: Board of Director Holiday Party Lesley asked for how and if to have the annual board holiday_party. After discussion it was agreed the holiday part would be a virtual, ZOOM; event on,Thursday December 3rd at 5:30 p.m. with a possible board meeting from 5,00-5:30. The event will include the annual holiday exchange of names for gifts to non -profits of each members choice. Program Directors and spouses will be invited. Details to come. Lesley continued to: Strategic Plan/Goal Ongoing Assessment, Evaluation and Initiatives/Direction KYFS Equity and Social Justice Lesley directed members to the Program Director reports Mike H sent out earlier. Recalled for members the request from the board results from not having any updates since the KYFS Strategy Plan was adopted in February 2017; the desire from Program Directors to have more direct contact with the board; and the racial equity movement re -energized these past months. Vicki Foege began by commenting it was difficult to consume because the program reports seemed out or without context. Jane Prestbye that consuming the five reports was a lot and called to mind the Board Program Effectiveness Committee efforts that have been lacking the past few years. Rona Popp expressed that the reports, using Early Childhood Program report as the example, would be move helpful if board members talked directly to the Program Directors with questions. Alyson Flores followed up agreeing that maybe having at least one board member spend time discussing with individual Program Directors. Jane continued it would be more helpful if the board made it clear what was wanted from Program Directors and what the board wants each to bring to any reports. Additionally, in the past in person reports seemed to be less about program updates than requests from Program Directors for assistance in giving programs what they want, essentially "asks" of the board. Vicki, the board has a fiduciary need to know what's going on with programs more regularly. Rona, we need to guide Program Directors on questions the board wants answers to. Brandy Reed suggested a standard set of questions for the Program Directors presenting to the board of what exactly the board wants from them. Alyson suggested, it's not only what they want from us as the board but what we need/want from them. Jane suggested the board needs to affirm the Program Directors efforts and lay out next steps for communication with the board. To that end it was 3 of 4 determined to look towards a board retreat with Program Director involvement along with Sue as Interim early in 2021; invite Program Directors to the December 2020 board meeting to lay out plans and get feedback; begin a regular schedule in 2021 for Program Directors presentations to the board. Lesley continued to: Community Issues Roundtable • Discussion around homeless issues in Kent. • Raf announced for creations of a Kent PD Advisory Board on Race & Equity as part of the 2021-22 City budget proposal. • Raf also noted the inclusion of a Co Responders model. crisis mental health response team that will be implemented in the 2021-22 brrdget plan. At this point members shared various comments of appreciation for Mike H as this is his final KYFS board meeting at KYFS Executive Director. Mike thanked the members and reminded them of his previous comments of what a_priviege it has been over these East 2 with every KYFS board and lead KYFS on their oUlf: There being no other business Lesley reminded members to complete the Survey Monkey meeting evaluation form. Cynthia Boyd motioned, and Brandy Reed seconded adjourning the meeting. Motion Passed Unanimous. Next regular meeting of the KYFS board of directors will be on Thursday December 3, 2020, along with the virtual, ZOOM, board holiday party and gift giving.
