Dear Ms. Pompa:
The City of Federal Way's Department of Community Development has completed an administrative
review of the proposed eligible facilities request to modify an existing wireless facility located at 30911
Pacific Highway South. The proposal includes: antenna replacement on an existing 150-foot tall
monopole, and modify associated ground equipment for the existing Personal Wireless Facility (PWSF)
located at the above -mentioned address. The proposed modifications include: remove four antennas and
replace with three new antennas and remove and replace two equipment cabinets as detailed in your plans
and project description submitted to the City on October 16, 2017. Changes to ground equipment are all
occurring within a fenced enclosure.
The Process I application was submitted and determined to be complete on October 16, 2017. The eligible
facilities request is found to be consistent with the provisions of the Spectrum Act and does not exceed the
substantial change thresholds. The Process I proposal is hereby approved based on the following
statements of fact.
Criteria 1
For facilities outside of public rights -of -way, the modification does not increase the height of the tower by
more than 10%, or by the height of one additional antenna array with separation from the nearest existing
antenna not to exceed twenty feet, whichever is greater.
Staff Response — Based on the elevation plan, there is no height increase. This criterion is met.
Criteria 2
For structures outside of public rights -of -way, the modification does not protrude from the edge of the
structure more than 20 feet, or more than the width of the structure at the level of the appurtenance,
whichever is greater.
Staff Response — Based on the elevation and site plan there is no increase in the width of the structure.
This criterion is met.
Criteria 3
If the installation includes new equipment cabinets, the modification does not include the installation of
more than four equipment cabinets.

Staff Response — Two new equipment cabinets are proposed, and will replace two existing cabinets inside
an existing fenced enclosure area. This criterion is met.
Criteria 4
For all existing facilities, the modification does not include excavation or equipment installation outside
the current site of the structure or base station.
Staff Response — All proposed modifications are within the existing fenced enclosure area. No excavation
or equipment will be installed outside the existing base station. This criterion is met.
Criteria 5
If the facility requires screening methods, the proposed modification does not defeat the existing
concealment elements of the tower or base station.
Staff Response — There are no screening methods for the existing monopole. Screening methods for the
ground equipment will not change. Current screening methods are not defeated as a result of this
proposal. This criterion is inet.
Criteria 6
The modification may not violate any of the conditions of approval associated with prior approvals.
Staff Response — The proposal does not violate any known conditions associated with prior approvals of
the tower or site. This criterion is met.
PERMIT ISSUANCE REQUIRED
Prior to any site work, an electrical permit may be required from the City's Building Division. For further
information regarding the need for an electrical permit, please contact the department's Permit Center at

APPEALS
The effective date of this decision is November 16, 2017, or three days from the date of this letter.
Pursuant to FWRC 19.55.050, any person who received notice of the administrative decision may appeal
this decision to the Federal Way Hearing Examiner within 14 calendar days, or by November 30, 2017.
Any appeal must be in the form of a letter delivered to the Department of Community Development with
the established fee. The appeal letter must contain a clear reference to the matter being appealed and a
statement of the alleged errors in the director's decision, including the identification of specific findings
and conclusions made by the director, disputed by the person filing. You may waive your right to appeal,
if desired, by writing the city a letter to this effect.
APPROVAL DURATION
Unless modified or appealed, the Process I decision is valid for one year from the date of issuance of the
decision. A one-year time extension to the decision may be requested prior to the lapse of approval
following the provisions listed in FWRC 19.15.110. The improvements must be substantially completed
within the one-year time period, or the land use decision becomes void.

Project Description:
Sprint is proposing to modify an existing wireless facility located at 30911 Pacific Hwy S. Federal Way,
WA 98003. The proposal consists of the replacement of removing (4) € antennas and replacing with
(3) (N) Tri-Band antennas. Removing (4)(E) RRUs and replacing with (3) (N) 2500 MHz RRUs. Installing
(6) (N) 800 MHz RRUs with (3) (N) 1900 MHz RRUs. Removing (E) Cabinet. Installing (N) ECAB/BCAB
Modular Cabinet with (N) GPS Antenna. Installing (N) PPC and (N) Telco Cabinet on (N) H-Frame.
Removing (E) Cables and installing (4) (N) Hybrid Cable.
Eligible Facility Request
This project includes the collocation of new transmission equipment on an existing monopole
and the replacement of transmission equipment As such, it qualifies as an eligible facility
request under Section 6409(a) of the Middle Class Tax Relief and Job Creation Act of 2012.
Further, none of the scope of work exceeds the standards for a "substantial increase in size."
The definition of "substantial increase in size" can be found in the Nationwide Programmatic
Agreement for the Collocation of Wireless Antennas (47 C.F.R. Part 1, App. B), and has been
adopted by the FCC for use in interpreting Section 6409. The thresholds are the greater of:
• Height increases of more than 10% or 20 feet
• Horizontal equipment protrusions of 20 feet or the width of the structure
These standards are also recognized in state law, in the revision of SEPA to include these sorts
of collocations in the list of exemptions. See RCW 43.21C.0384.
SEC. 6409. WIRELESS FACILITIES DEPLOYMENT_
(a) FACILITY MODIFICATIONS.
(1) IN GENERAL. Notwithstanding section 704 of the Telecommunications Act of 1996 (Public
Law 104-104) or any other provision of law, a State or local government may not deny, and
shall approve, any eligible facilities request for a modification of an existing wireless tower or
base station that does not substantially change the physical dimensions of such tower or base
station.
(2) ) ELIGIBLE FACILITIES REQUEST. For purposes of this subsection, the term "eligible
facilities request" means any request for modification of an existing wireless tower or base
station that involves —
(A) collocation of new transmission equipment;
(B) removal of transmission equipment; or
(C) replacement of transmission equipment.

hereto if a structural analysis of the Site completed after the execution of this Agreement by

indicates that the Site is not suitable for Licensee's Approved Equipment unless Licensor and
Licensee mutually agree that structural modifications or repairs shall be made to the Site on
mutually agreeable terms.

RIDER # 1
RIDER FOR AiRTOUCH SUBLEASED SITES
(This Rider is non-negotiable)
Licensee and Licensor have entered into the attached license agreement to a master license agreement or
independent site license agreement, as applicable ("Agreement"). Licensee acknowledges that Licensor's
rights with respect to the use and further sublicense of the communication tower and site ('"Tower Site")
under the Agreement are subleased from AirTouch Communications, Inc. and/or its Affiliates
("Air Touch") and are subject to a sublease agreement (as amended from time to time) ("AirTouch
Sublease") between Licensor and AirTouch, pursuant to which Licensor subleases a portion of the Tower
Site from AirTouch as Licensor's overlandlord. Pursuant to the AirTouch Sublease, Licensor is obligated
to obtain Licensee's agreement to the following provisions, which provisions may not be superseded,
altered or amended by the Agreement (including any conflicting or inconsistent provisions in the
Agreement) or any attachment, exhibit, amendment, supplement, schedule, or other written instrument
associated with the Tower Site or the Agreement:
a) Ground Lease/AirTouch Sublease: The Agreement shall be subordinate to the terms and
conditions of any underlying easement, ground lease, license, permit, tight of way or similar use
right between the land owner or lessor and AirTouch ("Ground Lease") and any and all references
to the Ground Lease in the Agreement shall be deemed to refer only to (lie Ground Lease (a copy
of which Licensor shall provide to Licensee following a written request and redacted as Licensor
deems reasonably necessary) and not the AirTouch Sublease. In the event that a default or
non-compliance with a provision of the Ciround Lease is caused by Licensee, Licensee shall, upon
Licenser's written request at Licensee's sole expense, cure or otherwise Mmedy such default or
non-compliance within the tune period provided for pursuant to the Ground Lease. Licensor may
not be able to cause AirTouch or any underlying landowner or lessor to record a copy of any
underlying ground lease, license, easement or other right of use associated with the Tower Site,
particularly where such recordation is prohibited under the terms of the Ground Lease. Licensor is
not authorized to provide Licensee with a copy of the AirTouch Sublease; provided, however,
Licensor (i) shall be obligated to exercise any renewal options available to it under the AirTouch
Sublease and to cause AirTouch to exercise any renewal options available under the Ground Lease
during the initial and all renewal terms under the Agreement, and (ii) agrees not to take any action
with respect to the AirTouch Sublease which will cause the AirTouch Sublease to be prematurely
terminated.
b) Interference: In addition to the rights and obligations of Licensor and Licensee as set forth in
interference section of the Agreement, in the event that equipment operated by Licensee at tite
Tower Site as permitted under the Agreement ("Licensee's Equipment') is suspected to be causing
interference with AirTouch's then -current use of the Tower Site, Licensee may be required to
conduct a transmit test jointly with AirTouch (and shall notify AirTouch in writing five (5)
business days prior to such transmit test as to the date and time such test will commence) to
measure:
i. The signal transmit levels at the output after the final filter stage on Licensee's
transmit line with all transmitters keyed up at maximum power;
ii. Antenna isolation between the output of the final filter stage on Licensee's
transmit line and input line to Ah Tottch's multicoupler in AirTouch's frequency
band of operation; and
iii. The combination of (i) worst case level measured out of Licensee's transmit line
added to (ii) worst case antenna isolation. Such value shall be no greater than -
120dBm.
c) If AirTouch determines that it is experiencing interference as a result of such tests, AirTouch or
Licensor shall notify Licensee to immediately cease the transmit test and Licensee shall cease such
test. Licensee shall be responsible for ensuring that proper filtering and isolation are in place for

the transmit test and operation of Licensee's antenna system. Licensee may not install or change,
alter or improve the frequency, power, type of Licensee's Equipment such that it (i) interferes with
or might interfere with the pre-existing operation of AirTouch's equipment on or about the Tower
Site, (ii) is not authorized by any applicable federal, state, or local law, tole, regulation, ordinance
or order, or (iii) is not made or installed in accordance with good engineering practices. In no
event may the initial curative time periods set forth in the interference section of [lie Agreement be
more or less than 72 hours. If Licensee doem not cease any interfering operation within such
seventy-two (72) hour period, Licensor shall have the right, in addition to any other rights that it
may have, to seek to enjoin such interference.
d) Termination: Licensor shall have the right to disapprove any proposed installation, modification
and/or use of the Licensee's Equipment in the event that any of the permits, authorizations and/or
approvals obtained by AirTouch or Licensor from governmental or quasi -governmental agencies
for use of any portion of the Tower Site would be adversely affected now or in the future by such
installation, modification and/or use, in AirTouch's sole judgement.
e) RF Exposure & Testing. Licensee shall be responsible for its compliance with guidelines and
procedures for evaluating environmental effects of RF emissions on or from the Tower Site, in
strict compliance with FCC OET Bulletin 65, entitled Evaluating Compliance with FCC
Guidelines For Human Exposure to Radio frequency Electromagnetic Fields, Edition 97-01,
released August 1991 ("OET Bulletin 65"), including the completion of RF worksheets showing
compliance with the guidelines set forth in OET Bulletin 65 and all existing and future laws, rules
and regulations related thereto (collectively, "EMF Rules"). Licensee agrees to indemnity and
hold harmless Licensor and AirTouch in connection with any failure by Licensee to comply with
the EMP Rules. At the time of any installation, modification or replacement of equipment by
Licensee, Licensee shall notify Licensor prior to any such change or installation and, unless
Licensor reasonably determines that such Tower Site is categorically excluded from the
requirements of routine or initial environmental evaluations under the EMF Rules, Licensor shall
evaluate compliance will! the EMF Rules utilizing the most currently marketed version of the
UNIsite, Inc. UNlstar RF power density prediction software ("UNlstar Software"), at Licensee's
sole cost and expense based on then -current market rates for the UniStar Software services,
together with the cost of RF data collection from other subtenants (if necessary) at Licensor's
then -current rate. In the event that any remedial or corrective measures are required as a result of
an evaluation associated with Licensee's installation, modification or replacement of equipment,
Licensee shall perform such remedial or corrective measure at Licensee's sale expense.
f) Environmental: Licensee and Licensor each, respectively, covenant and agree that: (i) it shall
not conduct or allow to be conducted upon any Tower Site any business operations or activities, to
generate, manufacture, refine, transport, treat, store, handle, dispose of, transfer, produce, or
process hazardous substances; provided that Licensee shall have the right to bring and keep at
each Tower Site (in compliance with all applicable laws) batteries, generators and associated fuel
tanks and other substances commonly used in the industry and necessary for the operation and
maintenance of the Licensee's Equipment or the Tower Site; (ii) it shall comply in all material
respects with all applicable environmental laws; (iii) it shall not create or permit to be created any
Lien against any Tower Site for the costs of any response, removal or remedial action or clean-up
of hazardous substances; (iv) it shall, to the extent Licensee or Licensor, respectively, is legally
obligated therefor, promptly conduct and complete all investigations, studies, sampling and
testing, and all remedial, removal, and other actions necessary to clean up and remove all
hazardous substances on, from or affecting each Tower Site in accordance with all applicable
environmental laws, in all material respects; and (v) Licensee shall promptly notify AirTouch and
Licensor in writing if Licensee receives any notice, letter, citation, order, warning, complaint,
injury, claim or demand that: (w) Licensee has violated, or is about to violate, any environmental
law, (x) there has been a release or there is a threat of release, of hazardous substances at or from
the applicable Tower Site, (y) Licensee may be or is liable, in whole or in part, for the costs of
cleaning up, remediating, removing or responding to a release of hazardous substances, or (z) a
Tower Site is subject to a lien favor of any governmental entity for any liability, cost or damages
under any environmental law. Notwithstanding anything in the Agreement to the contrary,
Licensor shall have no obligation to indemnify Licensee for a breach of the foregoing covenants
(including with respect to claims for damages or other liabilities due to any necessary

investigation, remediation or cleanup of hazardous substances at any Tower Site for which
Licensor would otherwise have an obligation to indemnify Licensee) unless Licensee first notifies
Licensor of such Tower Site contamination or condition and offers Licensor an opportunity to
conduct any necessary response or perform any required remediation work and Licensor refuses to
do so. Such notice and opportunity to respond shall be given to Licensor in writing prior to any
expenditure or commitment by Licensee or any of its Affiliates. Licensor shall reply to the notice
and opportunity to respond in writing within forty (40) calendar days of receipt of Licensee's
notice, unless Licensee is required to act sooner under applicable environmental laws or by the
appropriate governmental authorities. If Licensor elects to respond, Licensor shall perform all
work in a workmanlike manner in material compliance with all applicable environmental laws to
the satisfaction of the appropriate governmental Authority. Except as required by applicable law,
Licensee and its representatives and agents will not initiate any communication or make comments
or submissions to any governmental authority or third parties with respect to environmental
conditions at any Tower Site to which Licensor has responded. Nothing herein contained shall
affect a Party's legal duty to mitigate damages.
Subordination: The Agreement and all supplements, amendments, modifications, renewals,
replacements and extensions thereof, shall unconditionally be and remain at all times subordinate
to all mortgages placed on the Tower Site by AirTouch, and to any replacements, renewals,
amendments, modifications, extensions and refinancing thereof, and shall unconditionally be and
remain a lien or charge on the Tower Site junior and subordinate to AirTouch's and Licensoe's
interest in the Tower Site. Licensee agrees that in the event that the Agreement is assigned to
AirTouch, AirTouch shall not: (i) be liable for any damages or other relief attributable to any act
or omission of Licensor, or any successor to Licensor (other than AirTouch), under the
Agreement; (ii) be liable for any damages or other relief attributable to any latent or patent defects
in the construction with respect to the property which is the subject of the Agreement; (iii) be
liable for any consequential damages to Licensee attributable to any act or omission of Licensor
under the Agreement; (iv) be subject to any offsets or defense not specifically provided for in the
Agreement and which Licensee may have against Licensor, or (v) be bound by any prepayment by
Licensee of more than one month's installment of rent or for any security deposit not actually
delivered to AirTouch.
Miscellaneous:
i. In no event may Licensee share use of any power meter at any Tower Site with AirTouch.
ii. Licensor reserves the right to freely assign the Agreement to AirTouch or any of its Affiliates
at any time.
iii. Upon expiration or earlier termination of the Agreement or the AirTouch Sublease with
respect to the Tower Site, Licensee shall, at its sole cost and expense and upon instructions
from Licensor, remove Licensee's Equipment from the Tower Site within a reasonable period
of time, but in no event less than thirty (30) days (except as otherwise required by the Ground
Lease).
iv. Licensee recognizes and agrees that AirTouch is a third party beneficiary under the
Agreement with direct rights of enforcement against Licensee of the rights of Licensor
hereunder, including, without limitation, the right to cause Licensee to comply with the
interference provisions of the Agreement and to enter any of the space licensed by Licensee
under the Agreement.
v. If Licensee intends to sublease or sublicense available space at the Tower Site, Licensee
acknowledges and understands that Licensor must send a copy of Licensee's bona fide offer
(containing all of the terms and conditions for such offer to sublease or sublicense, and which
must include the specific Tower Site(s) and available space which are the subject of the offer)
to AirTouch and that AirTouch may elect, in its sole discretion, to sublease or sublicense such
available space from Licensor on the same terms and conditions as Licensee's bona fide offer,
or to exercise its right of substitution pursuant to the AirTouch Sublease. AirTouch must
notify Licensor in writing of its intent to either sublicense such available space or to exercise
its right of substitution with respect to such space within ten (10) business days of receipt of
the bona fide offer.
vi. If Licensee intends to install Licensee's Equipment (or any subsequent modification) within
the area that is ten (10) feet above or below the highest and lowest point of AirTouch's

equipment on the Tower (with full horizontal clearance), Licensee acknowledges and
understands that AirTouch shall have a right to approve Licensee's plans and specifications.
Licensee shall submit such plans and specifications to AirTouch and Licensor simultaneously
and, in addition to any rights of Licensor under the Agreement, AirTouch will have five (5)
business days after receipt (or any revisions thereof as hereinafter set forth) to respond to in
writing with comments in reasonable detail concerning Licensee's plans and specifications. If
AirTouch fails to give such notice of its objections to Licensee's plans and specifications
within such period it shall be deemed to have approved such plans and specifications. If
Licensee's plans and specifications are not approved by AirTouch, Licensee may revise its
plans and specifications to meet the objections thereto set forth in the AirTouch's disapproval.
No construction, installation, testing, or operation of Licensee's Equipment shall be permitted
unless and until AirTouch approves Licensee's plans and specifications or such approval is
deemed granted as set forth above.
vii. Licensee shall not create or permit any form of lien to be imposed against any Tower Site or
any part thereof. Licensee shall cause any such lien to be discharged by payment,
satisfaction or posting of bond within thirty (30) days after the earlier of (i) the date Licensee
has obtained knowledge of such lien, or (ii) written notice from Licensor or AirTouch. If
Licensee fails to cause any lien to be discharged within the permitted time, Licensor may
cause it to be discharged and may pay the amount of such lien in order to do so, which
amount and any other costs incurred by Licensor shall be promptly paid to Licensor by
Licensee.
viii. Any term which is defined in this Rider has been defined herein only for the purposes of this
Rider and shall applicable only to this Rider and not to the Agreement.

FIFTH AMENDMENT TO SCHEDULE LICENSE OF SPACE
This Fifth Amendment (the "Fifth Amendment") to that certain Schedule License
of Space dated May 12, 2006 by and between American Tower Delaware Corporation
and Clearwire LLC (the "License"), as amended by that certain First Amendment to
Schedule License of Space dated August 5, 2008 (the "First Amendment"), as amended
by that certain Second Amendment to Schedule License of Space dated June 30, 2009
(the "Second Amendment"), as amended by that certain Third Amendment to Schedule
License of Space dated January 26, 2010 (the "Third Amendment"), as amended by that
certain Fourth Amendment to Schedule License of Space dated October 16, 2012 (the
"Fourth Amendment") (collectively, the "Agreement") is made and entered into as of the
latter signature date hereof, by and between American Tower Delaware Corporation, a
Delaware corporation (the "Licensor") and Clear Wireless LLC, a Nevada limited
liability company, as successor -in -interest to the Agreement (the "Licensee")
(collectively, the "Parties").
RECITALS
WHEREAS, Licensor owns a certain communications tower and leases a certain
parcel of land located at 30911 Pacific Hwy S, Federal Way, WA 98003-4950 more
commonly known to Licensor as the FEDERAL WAY #2, WA tower site (the "Tower
Facility"); and
WHEREAS, Licensor and Licensee entered into the Agreement for the use of a
certain portion of the Tower Facility; and
WHEREAS, Licensee desires to modify its equipment at the Tower Facility
("Modified Equipment"); and
WHEREAS, the Parties agree that as consideration for Licensee's Modified
Equipment, the current License Fee payable under the Agreement shall be increased as
set forth herein.
NOW THEREFORE, in consideration of the foregoing promises and for other
good and valuable consideration, the receipt and sufficiency of which is hereby
acknowledged, the Parties hereto agree as follows:
1) Licensor and Licensee agree and acknowledge that Licensee shall modify its
equipment for a final installed configuration pursuant to Exhibit A-5.
2) Licensor and Licensee agree and acknowledge that Exhibit A-4 to the Agreement
is hereby deleted in its entirety as of the date this Fifth Amendment is fully
executed and shall be replaced with Exhibit A-5 attached hereto and incorporated
by this reference. In the event of inconsistency or discrepancy between the
Exhibit A-5 and Licensee's equipment information set forth in the Agreement, the
Exhibit A-5 shall control.

3) Effective upon the earlier to occur of. i) the issue date of the NTP by Licensor; or
ii) 180 days from execution ("Commencement Date"), the License Fee shall be
increased by Three Hundred Fifteen and 38/100 Dollars ($315.38) per month
("Increased Fee"). The Increased Fee for any fractional month at the beginning or
end of the period shall be appropriately prorated.
4) Notwithstanding anything to the contrary in the Agreement, the offer to Licensee
expressed in this Fifth Amendment shall automatically become null and void with
no further obligation by either party hereto if a structural analysis of the Tower
Facility completed after the execution of this Fifth Amendment by Licensor but
before the Commencement Date of the installation of Licensee's Modified
Equipment indicates that the Tower Facility is not suitable for Licensee's
Modified Equipment unless Licensor and Licensee mutually agree that structural
modifications or repairs shall be made to the Tower Facility on mutually
agreeable terms.
5) Licensor and Licensee agree and acknowledge that this Fifth Amendment is
contingent upon AirTouch Communications, Inc. and/or its Affiliates' Right of
First Refusal.
6) Licensor and Licensee agree and acknowledge that all future payments of the
License Fee shall be made to the Licensor at the following remittance address:

7) Capitalized terms contained herein, unless otherwise defined, are intended to have
the same meaning and effect as that set forth in the Agreement.

It has come to my attention that there may exist some confusion as to when a building permit is required for the
modification of equipment on existing towers. Per my discussion with the Building Official we are not requiring a
building permit for modifications to exiting towers ( adding or removing antennas, adding ground equipment cable
boxes ) unless they are modifying the footings and stabilization of the tower or they are installing equipment on a
building in which case they are adding additional loads to the buildings and we would want a permit for that. I can't
speak for the electrical portion of these projects so I do not know if an electrical permit is always required. I hope this
clears this matter up....
