Documentation and analysis submitted with this permit application demonstrate that facility design and siting is consistent with FWCC development standards that stipulate antennae and ground -equipment configurations and location priorities. 9. The project will not result in additional security fence, sign, or screening requirements. Conclusions Based on this review and the findings of fact above, the proposal is consistent with the Federal Way Comprehensive Plan, FWCC, and with the public health, safety, and welfare. This decision shall not waive compliance with future City of Federal Way codes, policies, and standards relating to this development. "PWSFs mounted on existing buildings and structures not located in a public right-of-way shall conform to the following development standards: a. The PWSF shall consist only of the following types of facilities: i. A microcell or a minor facility; or". The proposed facility will only require 3 antennas, space for 1 future antenna and 2 small microwave dishes. The dimensions of the antennas are 36" x 6" x 4", and the dimensions of the microwave dishes are 24" x 24". The equipment shelter will occupy roughly 4' x 4' of the 7' x 7lease area. ii. A PWSF that exceeds the minor facility thresholds. N/A 3. Section 22-967.4.: Screening Standards. "PWSFs shall be screened or camouflaged through employing the best available technology and design, as determined by the city. This may be accomplished by use of compatible materials, location, landscaping, color, stealth techniques such as, but not limited to, artificial trees and hollow flag poles, and/or other methods or techniques to achieve minimum visibility of the facility as viewed from public streets or residential properties. In addition, the provision for landscaping as outlined in the use zone charts." The antennas will be flush -mounted within 8" to the existing monopole and will be painted to match the color of the pole to minimise visual impact. The equipment shelter will be placed inside the existing compound to screen the shelter from view. 4. Section 22-967.5.a.: Standards for Electronics Eq2jpment Enclosures. "The following shall be the required order of locations for proposed electronic equipment enclosures for all PWSFs. Pursuant to the AirTouch Sublease, Licensor is obligated to obtain Licensee's agreement to the following provisions, which provisions may not be superseded, altered or amended by the Agreement (including any conflicting or inconsistent provisions in the Agreement) or any attachment, exhibit, amendment, supplement, schedule, or other written instrument associated with the Tower Site or the Agreement: a) Ground Lease/AirTouch Sublease: The Agreement shall be subordinate to the terms and conditions of any underlying easement, ground lease, license, permit, right of way or similar use right between the land owner or lessor and AirTouch ("Ground Lease") and any and all references to the Ground Lease in the Agreement shall be deemed to refer only to the Ground Lease (a copy of which Licensor shall provide to Licensee following a written request and redacted as Licensor deems reasonably necessary) and not the AirTouch Sublease. In the event that a default or non-compliance with a provision of the Ground Lease is caused by Licensee, Licensee shall, upon Licensor's written request at Licensee's sole expense, cure or otherwise remedy such default or non-compliance within the cure period provided for pursuant to the Ground Lease. licensor may not be able to cause AirTouch or any underlying landowner or Iessor to record a copy of aaty underlying ground lease, license, easement or other right of use associated with the Tower Site, particularly where such recordation is prohibited under the terms of the Ground Lease. Licensor is not authorized to provide Licensee with a copy of the AirTouch Sublease; provided, however, Licensor (i) shall be obligated to exercise any renewal options available to it under the AirTouch Sublease and to cause AirTouch to exercise any renewal options available under the Ground Lease during the initial and all renewal terms under the Agreement, and (ii) agrees not to take any action with respect to the AirTouch Sublease which will cause the AirTouch Sublease to be prematurely terminated. b) interference: In addition to the rights and obligations of Licensor and Licensee as set forth in interference section of the Agreement, in the event that equipment operated by Licensee at the Tower Site as permitted under the Agreement ("Licensee's Equipment") is suspected to be causing interference with AirTouch's then -current use of the Tower Site, Licensee may be required to conduct a transmit test jointly with AirTouch (and shall notify AirTouch in writing five (5) business days prior to such transmit test as to the date and time such test will commence) to measure: i. The signal transmit levels at the output after the final filter stage on Licensee's transmit line with all transmitters keyed up at maximum power; ii. Antenna isolation between the output of the final filter stage on Licensee's transmit line and input line to AirTouch's multicoupler in AirTouch's fi•equency band of operation; and The combination of (i) worst case level measured out or Licensee's transmit line added to (ii) worst case antenna isolation. Such value shall be no greater than - 120dBm. c) If AirTouch determines that it is experiencing interference as a result of such tests, AirTouch or Licensor shall notify Licensee to immediately cease the transmit test and Iicensee shall cease such test. Licensee shall be responsible for ensuring that proper faltering and isolation are in place for Licensor Site Namtber: Ceejay WA, WA/ 82935 Licensee Site Name/Number: American Ceejay/ WA - TAC: 160 the transmit test and operation of Licensee's antenna system. Licensee may not install or change, alter or improve the frequency, power, type of Licensee's Equipment such that it (i) interferes with or might interfere with the pre-existing operation of AirTouch's equipment on or about the `Power Site, (ii) is not authorized by any applicable federal, state, or local law, rule, regulation, ordinance or order, or (iii) is not made or installed in accordance with good engineering practices. In no event may the initial curative time periods set forth in the interference section of the Agreement be more or less than 72 hours. If Licensee does not cease any interfering operation within such seventy-two (72) hour period, Licensor shall have the right, in addition to any other rights that it may have, to seek to enjoin such interference. d) Termination: Licensor shall have the right to disapprove any proposed installation, modification and/or use of the Licensee's Equipment in the event that any of the permits, authorizations and/or approvals obtained by AirTouch or Licensor from governmental or quasi -governmental agencies for use of any portion of the Tower Site would be adversely affected now or in the future by such installation, modification and/or use, in AirTouch's sole judgement. e) RF Exposure & Testing: Licensee shall be responsible for its compliance with guidelines and procedures for evaluating environmental effects of RF emissions on or from the Tower Site, in strict compliance with FCC OET Bulletin 65, entitled Evaluating Compliance with FCC Guidelines for Human Exposure to Radio frequency Electromagnetic Fields, Edition 97-01, released August 1997 ("OET Bulletin 65"), including the completion of RF worksheets showing compliance with the guidelines set forth in OET Bulletin 65 and all existing and future laws, rules and regulations related thereto (collectively, "EMF Rules"). Licensee agrees to indemnity and hold harmless Licensor and AirTouch in connection with any failure by Licensee to comply with the EMF Rules. At the time of any installation, modification or replacement of equipment by Licensee, Licensee shall notify Licensor prior to any such change or installation and, unless Licensor reasonably determines that such Tower Site is categorically excluded from the requirements of routine or initial environmental evaluations under the EMF Rules, Licensor shall evaluate compliance with the EMF Rules utilizing the most currently marketed version of the UNIsite, Inc. UNlstar RF power density prediction software ("ITNistar Software"), at Licensee's sole cost and expense based on then -current market rates for the UniStar Software services, together with the cost of RF data collection from other subtenants (if necessary) at Licensor's then -current rate. In the event that any remedial or corrective measures are required as a result of an evaluation associated with Licensee's installation, modification or replacement of equipment, Licensee shall perform such remedial or corrective measure at Licensee's sole expense. f) Environmental: Licensee and Licensor each, respectively, covenant and agree that: (i) it shall not conduct or allow to be conducted upon any Tower Site any business operations or activities, to generate, manufacture, refine, transport, treat, store, handle, dispose of, transfer, produce, or process hazardous substances; provided that Licensee shall have the right to bring and keep at each Tower Site (in compliance with all applicable laws) batteries, generators and associated fuel tanks and other substances commonly used in the industry and necessary for the operation and maintenance of the Licensee's Equipment or the Tower Site; (ii) it shall comply in all material respects with all applicable environmental laws; (iii) it shall not create or permit to be created any Lien against any Tower Site for the costs of any response, removal or remedial action or clean-up of hazardous substances; (iv) it shall, to the extent Licensee or Licensor, respectively, is legally obligated therefor, promptly conduct and complete all investigations, studies, sampling and testing, and all remedial, removal, and other actions necessary to clean up and remove all hazardous substances on, from or affecting each Tower Site in accordance with all applicable environmental laws, in all material respects; and (v) Licensee shall promptly notify AirTouch and Licensor in writing if Licensee receives any notice, letter, citation, order, warning, complaint, injury, claim or demand that: (w) Licensee has violated, or is about to violate, any environmental law, (x) there has been a release or there is a threat of release, of hazardous substances at or from the applicable Tower Site, (y) Licensee may be or is liable, in whole or in part, for the costs of cleaning up, remediating, removing or responding to a release of hazardous substances, or (z) a Tower Site is subject to a lien favor of any governmental entity for any liability, cost or damages under any environmental law. Such notice and opportunity to respond shall be given to Licensor in writing prior to any expenditure or commitment by Licensee or any of its Affiliates. Licensor shall reply to the notice and opportunity to respond in writing within forty (40) calendar days of receipt of Licensee's notice, unless Licensee is required to act sooner under applicable environmental laws or by the appropriate governmental authorities. if Licensor elects to respond, Licensor shall perform all work in a workmanlike manner in material compliance with all applicable environmental laws to the satisfaction of the appropriate governmental Authority. Except as required by applicable law, Licensee and its representatives and agents will not initiate any communication or make comments or submissions to any governmental authority or third parties with respect to environmental conditions at any Tower Site to which Licensor has responded. Nothing herein contained shall affect a Party's legal duty to mitigate damages. Subordination: The Agreement and all supplements, amendments, modifications, renewals, replacements and extensions thereof, shall unconditionally be and remain at all times subordinate to all mortgages placed on the Tower Site by AirTouch, and to any replacements, renewals, amendments, modifications, extensions and refinancing thereof, and shall onconditionatly be and remain a lien or charge on the Tower Site junior and subordinate to AirTouch's and Licenser's interest in the Tower Site. Licensee agrees that in the event that the Agreement is assigned to AirTouch, AirTouch shall not; (i) be liable for any damages or other relief attributable to any act or omission of Licensor, or any successor to Licensor (other than AirTouch), under the Agreement; (ii) be liable for any damages or other relief attributable to any latent or patent defects in the construction with respect to the property which is the subject of the Agreement; (iii) be liable for any consequential damages to Licensee attributable to any act or omission of Licensor under the Agreement; (iv) be subject to any offsets or defense not specifically provided for in the Agreement and which Licensee may have against: Licensor, or (v) be bound by any prepayment by Hcensee of more than one month's installment of rent or for any security deposit not actually delivered to Aifl'ouch. Miscellaneous: i. In no event may Licensee share use of any power meter at any Tower Site with AirTouch. ii. Licensor reserves the right to freely assign the Agreement to Aif (ouch or any of its Affiliates at any time. iii. upon expiration or earlier termination of the Agreement or the AirTouch Sublease with respect to the Tower Site, Licensee shall, at its sole cost and expense and upon instructions from Licensor, remove Licensee's Equipment from the Tower Site within a reasonable period of time, but in no event less than thirty (30) days (except as otherwise required by the Ground Lease). iv. Licensee recognizes and agrees that AirTouch is a third party beneficiary under the Agreement with direct rights of enforcement against Licensee of the rights of Licensor hereunder, including, without limitation, the right to cause Licensee to comply with the interference provisions of the Agreement and to enter any of the space licensed by Licensee under the Agreement. v. if Licensee intends to sublease or sublicense available space at the Tower Site, Licensee acknowledges and understands that Licensor must send a copy of Licensee's bona fide offer (containing all of the terms and conditions for such offer to sublease or sublicense, and which must include the specific Tower Site(s) and available space which are the subject of the offer) to AirTouch and that AWrouch may elect, in its sole discretion, to sublease or sublicense such available space from Licensor on the same terms and conditions as Licensee's bona tide offer, or to exercise its right of substitution pursuant to the AirTouch Sublease. Licensee shall submit such plans and specifications to AirTouch and Licensor simultaneously and, in addition to any rights of licensor under the Agreement, AirTouch will have five (5) business days after receipt (or any revisions thereof as hereinafter set forth) to respond to in writing with comments in reasonable detail concerning Licensee's plans and specifications. if Aiffouch fails to give such notice of its objections to Licensee's plans and specifications within such period it shall be deemed to have approved such plans and specifications. if Licensee's plans and specifications are not approved by AirTouch, Licensee may revise its plans and specifications to meet the objections thereto set forth in the AirTouch's disapproval. No construction, installation, testing, or operation of Licensee's Equipment shall be permitted unless and until AirTouch approves Licensee's plans and specifications or such approval is deemed granted as set forth above. vii. Licensee shall not create or permit any form of lien to be imposed against any Tower Site or any part thereof. Licensee shall cause any such lien to be discharged by payment, satisfaction or posting of bond within thirty (30) days after the earlier of (i) the date Licensee has obtained knowledge of such lien, or (ii) written notice from Licensor or AirTouch. If Licensee fails to cause any lien to be discharged within the permitted time, Licensor may cause it to be discharged and may pay the amount of such lien in order to do so, which amount and any other costs incurred by Licensor shall be promptly paid to Licensor by Licensee. viii.
