Jack in the Box Inc., a Delaware corporation, ("Jack in the Box"), was granted permission under 03-101001-00-CO to construct a 2100 - square foot restaurant with drive-thru at 2400 SW 336th Street in the City of Federal Way("City"). B. The building shell has been constructed, but the restaurant with drive-thru is not substantially complete, nor suitable for occupancy, and conditions for issuance of a Certificate of Occupancy set forth in the Uniform Building Cock Section 109.1 cannot be met at this time. C. Due to the size of the restaurant with drive-thru, Jack in the Box desires to obtain access to the building interior for cleaning, organizing supplies, office set-up & filing, cooking food not to be consumed to test & calibrate the kitchen equipment and order systems, to allow for prompt opening of the restaurant with drive-thru upon issuance of a Certificate of Occupancy. D. In consideration of being allowed temporary access to the building interior prior to issuance of a Certificate of Occupancy,Jack in the Box hereby covenants and agrees as follows: AGREEMENT 1. Permission for Access. Effective upon the City's and Jack in the Box 's signatures below,Jack in the Box may gain limited access to the restaurant with drive-thru building interior; PROVIDED, however, that until such time as a Certificate of Occupancy is issued by the City, Jack in the Box shall limit any activities conducted within the restaurant with drive-thru building to the following: 1.1 Completion of all work required by applicable law, including the Federal Way City Code; 1.2 Completion of all work permitted under 03-101001-00-CO; 1.3 Development of a construction or architectural punch list; 1.4 Construction or installation of office furniture or other equipment necessary for restaurant with drive-thru operation; and 1.5 cleaning, organizing supplies, office set-up & filing, cooking food not to be consumed to test & calibrate the kitchen equipment and order systems by Jack in the Box employees within the building from 7 AM to 9PM from November 17,2003 until issuance of a Certificate of Occupancy. 1 not utilize the interior of the restaurant with drive-thru building to conduct hiring or training of employees, conduct any other business, or permit public access, other than as expressly permitted in Paragraphs 1.1 — 1.5 above. 2. Termination of Permission for Access. The City, through its Building Official or her designee, may terminate at any time, with or without notice, the permission for access granted in Paragraph 1 above, if the City determines in its reasonable discretion that: 2.1 Conditions within the building create any risk to life,health,or safety; 2.2 Reasonable progress towards completion of the project is not being made; or 2.3 The conditions set forth in Paragraph 1 above have been violated. 3. Indemnification. Jack in the Box acknowledges that the City is not required by any provision of law to permit access to the building interior prior to issuance of a Certificate of Occupancy, and that any access taken pursuant to this Agreement is at Jack in the Box's sole risk. Jack in the Box agrees to indemnify, hold harmless and defend the City from any and all claims, damages, liability, costs, or expenses of any kind arising from or related to the grant of permission for access or the termination of permission for such access as provided for herein.
