' 116 9D- 7 (q) SUPPLEMENT NO.1 TO INTERLOCAL AGREEMENT FOR MAINTENANCE OF STATE ROUTES SUPPLEMENT No.1 is dated effective this 26th day of February, 1995, and is entered into by and between the City of Federal Way, a Washington municipal corporation ("City"), and the State of Washington Department of Transportation ("State"). WHEREAS, the City incorporated on February 28, 1990, and since the date of incorporation the State has been operating and maintaining state routes SR-99, SR-161, and SR- 509 (collectively, "State Routes") within the corporate limits of the City; and WHEREAS, the City and State entered into an Agreement dated October 9, 1990, providing for the State's continued operation and maintenance of the State Routes and the City's compensation to the State for such services; and WHEREAS, the parties desire to supplement the Agreement to extend the term of the Agreement. NOW THEREFORE, the parties agree to the following terms and conditions: 1. Term. The Agreement provided for a five (5) year term commencing on the City's date of incorporation and terminating on February 27, 1995. The Agreement shall be supplemented to provide that the Agreement shall renew automatically on February 26th of each year unless either party provides three (3) months written notice to the other party of its intent to tenninate the Agreement ("Term"). Prior to the expiration of the Term, this Agreement may be tenninated by the City for just cause upon a five (5) day written notification to the State. II The city agrees to assume the responsibility to reimburse Puget Sound Power and Light for electrical power costs for the Traffic signal 'systems and Illumination system on state Route ,99, SR-161, SR-509, and South 320th street within the corporate limits as of March 1, 1990. The state agrees to transfer all service agreements executed. between the state and Puget Sound Power and Light for electrical service to the city on March 1, 1990. '1'0 IN'1'ERLOCAL AGREEMENT THI S FIRST AMENDMENT TO THE INTERLOCAL AGREEMENT ("Amendment") between the city of Federal Way ("city") and the state of Washington Department lof Transportation (" state" ) is dated effective the 1st day of November, 1993. A. The city incorporated on February 28,1990, and since the date of incorporation, the State has been operating and maintaining state routes SR-99, SR-161, and SR-509 (collectively "State Routes") within the corporate limits of the City; and B. The city and the state entered into an Interlocal Agreement dated October 9, 1990, providing for the state's continued operation and maintenance of the state Routes and the City's compensation to the state for such services ("Interlocal"); and C. The Interlocal provided for a five (5) year term commencing on the date of incorporation and terminating on February 27, 1995; and D. The City and the state desire to amend the scope of the operational and maintenance services to be performed by the state. NOW, THEREFORE, in consideration of the terms, conditions and covenants contained herein, IT IS MUTUALLY AGREED AS FOLLOWS: I. TERM The term of this Amendment shall be for a period of approximately 1 year and 4 months commencing on the effective date of November I, 1993, and terminating on February 27, 1995. II. SCOPE OF WORK 2.1 state ResDonsibilities. The scope of work the State has agreed to perform is set forth in Exhibit "A" "Estimate of Cost", attached to the Interlocal ("Scope of Work"). The city agrees that it shall be responsible for processing, reviewing, and issuing all future permits, franchises, and access approaches to the state Routes filed with the state or city on or after the effective date of November 1, 1993. III. INDEMNIFICATION 3.1 state Indemnification. The state agrees to indemnify and hold the city, its elected officials, officers, employees, agents~ and volunteers harmless from any and all claims, demands, losses, actions and liabilities (including costs and all attorney fees) to or by any and all persons or entities, including, without limitation, their respective agents, licensees, or representatives, arising from, resulting from, or connected with this Amendment or the Interlocal to the extent caused by the negligent acts, errors or omissions of the state, its partners, shareholders, agents, employees, or by the state's breach of this Amendment or the Interlocal. 3 3.2 citv Indemnification. The city agrees to indemnify and hold the state, its officers, directors, shareholders, partners, employees, and agents harmless from any and all claims, demands, losses, actions and liabilities (including costs and attorney fees) to or by any and all persons or enti ties, including without limitation, their respective agents, licensees, or representatives, arising from, resulting from or connected with this Amendment or the Interlocal to the extent caused by the negligent acts, errors, or omissions of the City, its employees or agents or by the Cityls breach of this Amendment or the Interlocal. 3.3 Survival. The provisions of this Section shall survive the expiration or termination of this Amendment with respect to any event occurring prior to such expiration or termination. IV. NONDISCRIMINATION The City and the State certify that they are equal opportunity employers, and in all hiring and employment made possible by or resulting from this Amendment or the Interlocal, there will be no discrimination by either the State or the city or their employees, agents, subcontractors or representatives against any person because of sex, age (except minimum age and retirement provisions), race, color, creed, national origin, marital status or physical disabilities, unless based upon a bona fide occupational qualification in relationship to hiring and employment. This 4 requirement shall apply, but not be limited to the following: employment, advertising, layoff or termination, rates of payor other forms of compensation, and selection for training, including apprenticeship. The state and the city will not violate any of the terms of Chapter 49.60 RCW, Title VII of the civil Rights Act of 1964, the Americans with Disabilities Act, Section 504 of the Rehabilitation Act of 1973 or any other applicable federal, state or local law or regulation regarding non-discrimination. Any material violation of this provision shall be grounds for termination of this Amendment and Interlocal by either party. V. GENERAL PROVISIONS The Interlocal may be amended at any time by 5.1 Amendments. mutual written agreement of the parties. 5.2 Entire Agreement. The parties agree that this Amendment and the Interlocal are the complete expression of the terms hereto and all oral representations or understandings not incorporated herein are excluded. 5.3 Administration. This Amendment shall be administered on behalf of the city by the city Manager, or his or her designee and on behalf of the state by the Secretary of the state Department of Transportation, or his or her designee. 5 5.4 Invalid Provisions. If any provision of this Amendment or the Interlocal shall be held invalid, the remainder of the Amendment shall not be affected and shall remain in full force and effect.
