Fe d e ra I Way 33325 8th Avenue South Federal Way, WA 98003-6325 (253) 835-7000 www crryoffederalway com AMENDMENT NO. 3 TO � JANITORIAL MAINTENANCE SERVICES AGREEMENT FOR JANITORIAL SERVICES AT CITY HALL AND PARK MAINTENANCE SHOP This Amendment ("Amendment No. 3") is made between the City of Federal Way, a Washington municipal corporation ("City"), Seattle Best Services of America, a Washington Corporation ("Previous Contractor"), and Synergy Building Services, Inc., a Washington Corporation ("New Contractor"). The City, Previous Contractor, and New Contractor (together "Parties"), for valuable consideration and by mutual consent of the parties, agree to amend the original Agreement for Janitorial Services at City Hall, Police Department located at 33325 8�' Avenue South and the Steel Lake Maintenance Office located at 31132 28` Avenue South ("Agreement") dated effective January 1, 2008 as amended by Amendment No(s). 1, dated effective March 1, 2009 and 2, dated effective February 1, 2010, as follows: 1. ASSIGNMENT. Pursuant to Section 16.4 of the original Agreement, Previous Contractor hereby assigns all of its rights and obligations under the Agreement to New Contractor effective January 1, 2012. New Contractor agrees to be bound by all terms of the Agreement, together with any prior amendments thereto. City agrees to the assignment from Previous Contractor to New Contractor. 2. AMENDED TERM. The term of the Agreement, as referenced by Section 2 of the Agreement and any prior amendments thereto, shall be amended and shall continue until the completion of the Services, but in any event no later than December 31, 2013 ("Amended Term"). 3. CONTINUED SERVICES. The Services, as outlined in Section 1 of the Agreement, together with any prior amendments thereto, and the Scope of Work previously referred to as Exhibit "A-1," attached hereto and incorporated by this reference, shall continue through the Amended Term. 4. AMENDED COMPENSATION. The amount of compensation, as referenced by Section 4 of the Agreement and any prior amendments thereto, shall be amended to change the total compensation the City shall pay the New Contractor and the rate or method of payrnent, as delineated in Exhibit "B-3 ", attached hereto and incorporated by this reference. The New Contractor agrees that any hourly or flat rate charged by it for its services contracted for herein shall remain locked at the negotiated rate(s) for the Amended Term. Except as otherwise provided in an attached Exhibit, the New Contractor shall be solely responsible for the payment of any taxes imposed by any lawful jurisdiction as a result of the performance and payment of this Agreement. 5. AMENDED INSURANCE. The insurance requirements as outlined in Section 11 of the original agreement are hereby amended to read as follows: The New Contractor agrees to carry insurance for liability which may arise from or in connection with the performance of the services or work by the New Contractor, their agents, representatives, employees or subcontractors for the duration of the Agreement and thereafter with respect to any event occurring prior to such expiration or termination as follows: 5.1. Minimum Limits. The New Contractor agrees to carry as a minimum, the following insurance, in such forms and with such carriers who have a rating that is satisfactory to the City: a. Workers' compensation and employer's liability insurance in amounts sufficient pursuant to the laws of the State of Washington; c. Automobile liability insurance covering all owned, non-owned, hired and leased vehicles with a minimum combined single limits in the minimum amounts required to drive under Washington State law per accident for bodily injury, including personal injury ar death, and property damage. 5.2. No Limit of Liabilitv. New Contractor's maintenance of insurance as required by the agreement sha11 not be construed to limit the liabi�lity of the New Contractor to the coverage provided by such insurance, or otherwise limit the City's recourse to any remedy available at law or in equity. The New Contractor's insurance coverage shall be primary insurance as respect the City. Any insurance, self-insurance, or insurance pool coverage maintained by the City shall be excess of the New Contractor's insurance and shall not contribute with it. 5.3. Additional Insured. Verification. The City shall be named as additional insured on all commercial general liability insurance policies. Concurrent with the execution of this Agreement, New Contractor sha11 provide certificates of insurance for all commercial general liability policies attached hereto as Exhibit "D" and incorporated by this reference. At City's request, New Contractor shall furnish the City with copies of all insurance policies and with evidence of payment of premiums or fees of such policies. If New Contractor's insurance policies are "claims made," New Contractor shall be required to maintain tail coverage for a minimum period of three (3) years from the date this Agreement is actually terminated or upon project completion and acceptance by the City. 5.4 Survival. The provisions of this Section shall survive the expiration or termination of this Agreement. 6. AMENDED BOND. The bond requirements outlined in Section 12 of the original agreement are hereby amended as follows: New Contractor shall obtain a janitorial bond in the amount of not less than Twenty Five Thousand Dollars and no/100 ($25,000.00) to insure against any theftlmisappropriation of money or property during the Amended Term of this Agreement. A copy of this bond is attached hereto as Exhibit "C-1" and incorporated by this reference. 7. GENERAL PROVISIONS. All other terms and provisions of the Agreement, together with any prior amendments thereto, not modified by this Amendment, shall remain in full force and effect. Any and all acts done by the Parties consistent with the authority of the Agreement, together with any prior amendments thereto, after the previous expiration date and prior to the effective date of this Amendment, is hereby ratified as having been performed under the Agreement, as modified by any prior amendments, as it existed prior to this Amendment. The provisions of Section 16 of the Agreement shall apply to and govern this Amendment. Legal Expenses: This Bond will not pay for expenses related to any legal action. IV. GONDITIONS A. Consolidation-Merger. If any natural persons shall be taken into the regular service of the Obligee through merger or consolidation with some other concem, the Obligee shali give the Company written notice the�eof and shall pay an additional premium on any increase in the number of Employees covered under this Bond as a result of such merger or consolidation computed pro rata from the date of such merger or,consolidation to the end of the current premium period. B. Discavery. Loss is covered under this Bond only (a) if sustained through any act or acts committed by any Employee of Obligee while this Bond is in force as to such Employee, and (b) if discovered no later than one (1) year from the expiration or sooner cancellation of this Bond in its entirety as provided in Section V, or from its cancellation or termination in its entirety in any other manner, whichever shall first happen. C. Prior Fraud, Dishonesry or Cancellation. No Employee, to the best of the knowledge of the Obligee, or of any partner or officer the�eof not in collusion with such Employee, has committed any Fraudulent or Dishonest Act in the service of the Obligee or otherwise. If prior to the issuance of this Bond, any fidelity insurance in favor of the Obligee or any predecessor in interest of the Obligee and covering one or more of the Obligee's employees shall have been cancelled as to any of such Employees by reasan of (a) the discovery of any fraudulent or dishonest act on the part of such employees, or (b) the giving of written notice of cancellation by the Insurer issuing such fidelity insurance, whether the Company or not, and if such employees shall not have been reinstated under the coverage of such fidelity insurance or superseding fidelity insurance, the Company shall not be liable under this Bond on account of such Employees unless the Company shall agree in writing to include such Employees within the coverage of this Bond. D. Loss, Notice, Proof, Legal Proceedings. At the earliest practical moment, and at all events not later than fifteen days after discovery of any fraudulent or dishonest act on the part of any Employee by the Obligee, or by any partner or officer thereof not in collusion with such Employee, the Obligee shall give the Company written notice thereof and within four months after such discovery shall file with the Company affirmative proof of loss, itemized and duly swom to, and shall upon request of the Company render every assistance, not pecuniary, to facilitate the investigation and adjustment of any loss. No suit to recover on account of loss under this Bond shall be brought before the expiration of two months frorn the filing of proof as aforesaid on account of such loss, nor after the expiration of fifteen months from the discovery as aforesaid of the fraudulent or dishonest act causing such loss. F. Salvage. If the Obligee shali sustain any loss or losses covered by this Bond which exceed the amount of coverage provided by this Bond, the Obligee shali be entitied ta all recoveries, except from suretyship, insurance, reinsurance security and indemnity taken by or for the benefit of the Company, by whomsoever made, on account of such loss or losses under this Band untii fully reimbursed, less the actual cost of effecting the same; and less the amount of the deductible carriad on the Employee causing such loss or losses; and any remainder shall be applied to the reimbursement of the Company. G. Deductible. The Company shall not be liable under this Bond on account of any loss or losses through fraudulent or dishonest acts committed by any Employee of Obligee, unless the amount of such loss or losses, after deducting the net amount of all reimbursement and/or recovery, including any cash deposit taken by the Obligee, obtained or made by the Obligee or the Company on account thereof, prior to payment by the company of such loss or losses, shall be in excess of ONE HUNDRED DOI.LARS ($100.00), and then for such excess only, but in no event for more than the amount of insurance ca�ried on such Employee unde� this Bond. If more than one Employee is concerned or implicated in such loss or losses said deductible amount shall apply to each Employee concerned or implicated. H. Limit of Liability. Regardless of the number of years this Bond shall continue in force and the number of premiums which shall be payable or paid, the liability of the Surety under this Bond shall not be cumulative in amounts from year to year or from period to period. 1. Limit of Liability Under This Bond and Prior Insurance. With respect to loss or tosses caused by an Employee or which are chargeable to such Employee as provided in Gondition A and which accur partly under this Bond and partly under other bonds or policies issued by the Company to the Obligee or to any predecessor in interest of the Obligee and terminated or cancelled or allowed to expire and in which the period for discovery has not expired at the time any such loss or losses thereunder are discovered, the total liability of the Company under this Bond and under such other bonds or policies shall not exceed, in the aggregate, the amount carried under this Bond on such loss or losses or the amount available to the Obligee under such other bonds or policies, as limited by the terms and conditions thereof, for such loss or losses, if the latter amount be the larger. J. Part-Time or Temporary Emplayees. The named Obligee shall not at any time while this Bond is in force direct any temporary or part time Employee(s) to any subscriber's premises unless such Employee(s) is accompanied by a foreman who is in the regular employ of the Obligee. K. Valuation - Settlement. Subject to the applicable Limit of �iability provision we will pay for: (1) Lass of "money" but only up to and including its face value. (2) Loss of "securities" but only up to and including their value at the close of business on the day the loss was discovered. We may, at our option: (a) Pay the value of such "securities" or replace them in kind, in which event you must assign to us all your rights, title and interest in and to those "securities;" (b} Pay the cost of any Lost Securities Bond required in connection with issuing duplicates of the "securities." The City and Contractor (together "Parties"), for valuable consideration and by mutual consent of the parties, agree to amend the original Agreement for Providing Janitorial Services At City Hall, Police Department Located At 33325 8�' Avenue South, And The Steel Lake Maintenance Office Located At 31132 28 Avenue South ("Agreement") dated effective January l, 2008. As Amended By Amendment No. l, as follows: 1. AMENDED TERM. The term of the Agreement, as referenced by Section 1 of the Agreement and any prior amendments thereto, shall be amended and shall continue until the completion of the Services, but in any event no later than December 31, 2011 ("Amendment Term"). 2. AMENDED COMPENSATION. The amount of compensation, as referenced by Section 4 of the Agreement, shall be amended to change the total compensation the City shall pay the Contractor and the rate or method of payment, as delineated in Exhibit "B-2", attached hereto and incorporated by this reference. The Contractor agrees that any hourly or flat rate charged by it for its services contracted for herein shall remain locked at the negotiated rate(s) for a period of one (2) year from the effective date of this Agreement. Except as otherwise provided in an attached Exhibit, the Contractor shall be solely responsible for the payment of any taxes imposed by any lawful jurisdiction as a result of the performance and payment of this Agreemenf. 3. GENERAL PROVISIONS. All other terms and provisions of the Agreement, together with any prior amendments thereto, not modified by this Amendment, shall remain in full force and effect. Any and all acts done by either Party consistent with the authority of the Agreement, together with any prior amendments thereto, after the previous expiration date and prior to the effective date of this Amendment, is hereby ratified as having been performed under the Agreement, as modified by any prior amendments, as it existed prior to this Amendment. A. The City and Contractor entered into a Janitorial Maintenance Service Agreement dated effective January 1, 2008 whereby Contractor agreed to provide janitorial services at City Hall, Police Department located at 33325 8th Avenue South, and the Steel Lake Maintenance Office located at 31132 28th Avenue South ("Agreement"). B. Section 16.2 of the Agreement provided that the Agreement may only be amended by written agreement signed by the parties. C. The City and the Contractor desire to amend the Agreement to reduce the scope of work to be performed by the Contractor and to decrease the compensation paid to the Contractor. NOW, THEREFORE, the parties agree to the following terms and conditions: 1. Scope of Work. Section 1 ofthe Agreement and the Scope ofW ork attached as Exhibit "A" to the Agreement shall be amended to include those reduced services more particularly described in Exhibit "A-I" attached hereto and incorporated by this reference ("Reduced Services"). 2. Compensation. In consideration of Contractor providing reduced Services described in Section A-I of the Amendment, Section 4.1 shall be amended to reduce the compensation paid to the Contractor to an amount equal to the sum of Four Thousand and Noll 00 Dollars ($4,000.00) a month with no additional amount per year. The total amount payable to Contractor pursuant to the original Agreement and this First Amendment shall be an amount not to exceed One hundred Thirty Thousand Ninety Five and 721100 Dollars ($130,095.72). 3. Ratification. Any act done by either party consistent with the authority ofthe Agreement after the previous expiration date and prior to the effective date of this amendment, is hereby ratified as having been performed under the Agreement as it existed prior to this amendment. - 1 - 4. The Contractor has the requisite skill and experience necessary to provide such servIces. NOW, THEREFORE, the Parties agree as follows: 1. Services. Contractor shall provide the services more specifically described in Exhibit "A", attached hereto and incorporated by this reference ("Services"), in a manner consistent with the accepted practices for other similar services, performed to the City's satisfaction, within the time period prescribed by the City and pursuant to the direction ofthe City Manager or his or her designee. 2. Term. The term ofthis Agreement shall commence upon the effective date ofthis Agreement and shall continue for a period of two (2) years terminating on December 31, 2009 ("Term"). This Agreement may be extended for additional periods oftime upon the mutual written agreement of the City and the Contractor. 3. Termination. Prior to the expiration ofthe Term, this Agreement may be terminated immediately, with or without cause, by the City. 4. Compensation. 4.1 Total Compensation. Payment by the City for the Services will only be made after the Services have been performed, a voucher or invoice is submitted in the form specified by the City, and the same is approved by the appropriate City representative. Payment shall be made on a monthly basis, thirty (30) days after receipt of such voucher or InVOIce. 4.3 Contractor Responsible for Taxes. The Contractor shall be solely responsible for the payment of any taxes imposed by any lawful jurisdiction as a result of the performance and payment of this Agreement. 5. Compliance with Laws. Contractor shall comply with and perform the Services in accordance with all applicable federal, state, and City laws including, without limitation, all City codes, ordinances, resolutions, standards and policies, as now existing or hereafter adopted or amended. 6. Warranty. The Contractor warrants that it has the requisite training, skill and experience necessary to provide the Services and is appropriately accredited and licensed by all applicable agencies and governmental entities, including but not limited to being registered to.do business in the City of Federal Way by obtaining a City of Federal Way business registration. 7. Independent Contractor/Conflict of Interest. It is the intention and understanding of the Parties that the Contractor shall be an independent contractor and that the City shall be neither liable nor obligated to pay Contractor sick leave, vacation payor any other benefit of employment, nor to pay any social security or other tax which may arise as an incident of employment. The Contractor shall pay all income and other taxes as due. Industrial or any other insurance which is purchased for the benefit of the City, regardless of whether such may provide a secondary or incidental benefit to the Contractor, shall not be deemed to convert this Agreement to an employment contract. It is recognized that Contractor mayor will be performing professional services during the Term for other parties; provided, however, that such performance of other services shall not conflict with or interfere with Contractor's ability to perform the Services. Contractor agrees to resolve any such conflicts of interest in favor of the City. 8. Indemnification. 8.1 Contractor Indemnification. The Contractor agrees to indemnify, defend and hold the City, its elected officials, officers, employees, agel}ts, and volunteers harmless from any and all claims, demands, losses, actions and liabilities (including costs and all attorney fees) to or by any and all persons or entities, including, without limitation, their respective agents, licensees, or representatives, arising from, resulting from, or connected with this Agreement to the extent caused by the negligent acts, errors or omissions ofthe Contractor, its partners, shareholders, agents, employees, or by the Contractor's breach of this - 2 - Agreement. Contractor waives any immunity that may be granted to it under the Washington State Industrial Insurance Act, Title 51 RCW. Contractor's indemnification shall not be limited in any way by any limitation on the amount of damages, compensation or benefits payable to or by any third party under workers' compensation acts, disability benefit acts or any other benefits acts or programs. 8.2 City Indemnification. The City agrees to indemnify, defend and hold the Contractor, its officers, directors, shareholders, partners, employees, and agents harmless from any and all claims, demands, losses, actions and liabilities (including costs and attorney fees) to or by any and all persons or entities, including without limitation, their respective agents, licensees, or representatives, arising from, resulting from or connected with this Agreement to the extent solely caused by the negligent acts, errors, or omissions of the City, its employees or agents. 8.3 Survival. The provisions of this Section shall survive the expiration or termination ofthis Agreement with respect to any event occurring prior to such expiration or termination. 9. Equal Opportunity Employer. In all Contractor services, programs or activities, and all Contractor hiring and employment made possible by or resulting from this Agreement, there shall be no discrimination by Contractor or by Contractor's employees, agents, subcontractors or representatives against any person because of sex, age (except minimum age and retirement provisions), race, color, creed, national origin, marital status or the presence of any disability, including sensory, mental or physical handicaps, unless based upon a bona fide occupational qualification in relationship to hiring and employment. This requirement shall apply, but not be limited to the following: employment, advertising, layoff or termination, rates of payor other forms of compensation, and selection for training, including apprenticeship. Contractor shall not violate any ofthe terms of Chapter 49.60 RCW, Title VII of the Civil Rights Act of 1964, the Americans With Disabilities Act, Section 504 of the Rehabilitation Act of 1973 or any other applicable federal, state or local law or regulation regarding non-discrimination. Any material violation ofthis provision shall be grounds for termination of this Agreement by the City and, in the case of the Contractor's breach, may result in ineligibility for further City agreements. 10. Confidentiality. All information regarding the City obtained by Contractor in performance of this Agreement shall be considered confidential. Breach of confidentiality by Contractor will be grounds for immediate termination. 11. Insurance. The Contractor agrees to carry as a minimum, the following insurance, in such forms and with such carriers who have a rating which is satisfactory to the City: - 3 - 11.1 Workers' compensation and employer's liability insurance III amounts sufficient pursuant to the laws of the State of Washington; 11.2 Commercial general liability insurance with combined single limits of liability not less than $2,000,000 for bodily injury, including personal injury or death, products liability and property damage. 11.3 Automobile liability insurance with combined single limits of liability not less than $2,000,000 for bodily injury, including personal injury or death and property damage. The City shall be named as additional insured on all such insurance policies, with the exception of workers' compensation coverages. Contractor shall provide certificates of insurance as Exhibit "B", concurrent with the execution of this Agreement, evidencing such coverage and, at City's request, furnish the City with copies of all insurance policies and with evidence of payment of premiums or fees of such policies. All insurance policies shall contain a clause of endorsement providing that they may not be terminated or materially amended during the Term of this Agreement, except after thirty (30) days prior written notice to the City. If Contractor's insurance policies are "claims made" or "claims paid", Contractor shall be required to maintain tail coverage for a minimum period ofthree (3) years from the date this Agreement is actually terminated. Contractor's failure to maintain such insurance policies shall be grounds for the City's immediate termination of this Agreement. The provisions of this Section shall survive the expiration or termination ofthis Agreement with respect to any event occurring prior to such expiration or termination. 12. Bond. Contractor shall obtain a janitorial bond in the amount of not less than Ten Thousand Dollars and NOll 00 ($10,000.00) to insure against any theft/misappropriation of money or property during the Term of this Agreement as set forth in Exhibit "C". 13. Books and Records. The Contractor agrees to maintain books, records, and documents which sufficiently and properly reflect all direct and indirect costs related to the performance ofthe Services and maintain such accounting procedures and practices as may be deemed necessary by the City to assure proper accounting of all funds paid pursuant to this Agreement. These records shall be subject, at all reasonable times, to inspection, review or audit by the City, its authorized representative, the State Auditor, or other governmental officials authorized by law to monitor this Agreement. 14. Prevailing Wages. 14.1 Wages of Employees. This Agreement is subject to the minimum wage requirements of Chapter 39.12 of the Revised Code of Washington, as now existing or hereafter amended or supplemented. In the payment of hourly wages and fringe benefits to - 4 - be paid to any of Contractor's laborers, workpersons and/or mechanics, Contractor shall not pay less than the "prevailing rate of wage" for an hour's work in the same trade or occupation in the locality within the State of Washington where such labor is performed, as determined by the Industrial Statistician of the Department of Labor and Industries of the State of Washington, which "prevailing rates of wage" are attached hereto as Exhibit "D" and incorporated herein by this reference. Prevailing wages paid pursuant to this Agreement shall be the prevailing wage rates which are in effect on the date when the bids, proposals or quotes were required to be submitted to the City. 14.2 Agreements Exceeding One Year. Pursuant to WAC 296-127-023, or hereafter amended, the City agrees to pay any increase in the current prevailing wages if and when this Contract is extended provided that the term ofthe Contract exceeds one year. The City further agrees to pay the current prevailing wages at the time of additional yearly extensions, and the Contractor agrees to pay its employees the increased prevailing wage. 14.3 Exemptions to Prevailing Wage. The prevailing wage requirements of Chapter 39.12 RCW, and as required in this Agreement do not apply to: a. Sole owners and their spouses; b. Any partner who owns at least 30% of a partnership; c. The President, Vice President and Treasurer of a corporation if each one owns at least 30% ofthe corporation. 14.4 Reporting Requirements. Contractor shall comply with all reporting requirements of the Department of Labor and Industries of the State of Washington. Upon the execution ofthis Agreement, Contractor shall complete and file a Statement of Intent to Pay Prevailing Wages with the Department of Labor and Industries. Upon completion of the Services, Contractor shall complete and file an Affidavit of Wages Paid with the Department of Labor and Industries. Contractor shall deliver copies of both the Statement of Intent to Pay Prevailing Wages and the Affidavit of Wages Paid, certified by the Department of Labor and Industries, to the City. 14.5 Disputes. In the event any dispute arises as to what are the prevailing rates of wages for work of a similar nature and such dispute cannot be resolved by the City and the Contractor, the matter shall be referred for arbitration to the Director of the Department of Labor and Industries ofthe State of Washington and the decision therein shall be final and conclusive and binding on all parties involved in the dispute. 15. Non-Appropriation of Funds. If sufficient funds are not appropriated or allocated for payment under this Agreement for any future fiscal period, the City will not be obligated to make payments for Services or amounts incurred after the end of the current fiscal period, and this Agreement will terminate upon the - 5 - completion of all remaining Services for which funds are allocated. No penalty or expense shall accrue to the City in the event this provision applies. 16. General Provisions. 16.1 Entire Agreement. This Agreement contains all of the agreements of the Parties with respect to any matter covered or mentioned in this Agreement and no prior agreements shall be effective for any purpose. 16.2 Modification. No provision of this Agreement, including this provision, may be amended or modified except by written agreement signed by the Parties. 16.3 Full Force and Effect. Any provision of this Agreement which is declared invalid or illegal shall in no way affect or invalidate any other provision hereof and such other provisions shall remain in full force and effect. 16.4 Assignment. Neither the Contractor nor the City shall have the right to transfer or assign, in whole or in part, any or all of its obligations and rights hereunder without the prior written consent of the other Party. 16.5 Successors in Interest. Subject to the foregoing Subsections, the rights and obligations of the Parties shall inure to the benefit of and be binding upon their respective successors in interest, heirs and assigns. 16.6 Attorney Fees. In the event either ofthe Parties defaults on the performance of any terms of this Agreement or either Party places the enforcement of this Agreement in the hands of an attorney, or files a lawsuit, each Party shall pay all its own attorneys' fees, costs and expenses. The venue for any dispute related to this Agreement shall be King County, Washington. 16.7 No Waiver. Failure or delay of the City to declare any breach or default immediately upon occurrence shall not waive such breach or default. Failure of the City to declare one breach or default does not act as a waiver of the City's right to declare another breach or default. 16.8 Governing Law. This Agreement shall be made in and shall be governed by and interpreted in accordance with the laws of the State of Washington. 16.9 Authority. Each individual executing this Agreement on behalf of the City and Contractor represents and warrants that such individuals are duly authorized to execute and deliver this Agreement on behalf of the Contractor or the City. 16.10 Notices. Any notices required to be given by the Parties shall be delivered at the addresses set forth below. Any notices may be delivered personally to the addressee of the notice or may be deposited in the United States mail, postage prepaid, to the address set - 6 - forth below. Any notice so posted in the United States mail shall be deemed received three (3) days after the date of mailing. 16.11 Captions. The respective captions of the Sections of this Agreement are inserted for convenience of reference only and shall not be deemed to modify or otherwise affect any of the provisions of this Agreement. 16.12 Performance. Time is ofthe essence ofthis Agreement and each and all of its provisions in which performance is a factor. Adherence to completion dates set forth in the description of the Services is essential to the Contractor's performance of this Agreement. 16.13 Remedies Cumulative. Any remedies provided for under the terms of this Agreement are not intended to be exclusive, but shall be cumulative with all other remedies available to the City at law, in equity or by statute. 16.14 Counterparts. This Agreement may be executed in any number of counterparts, which counterparts shall collectively constitute the entire Agreement. 16.15 Compliance with Ethics Code. If a violation of the City's Ethics Resolution No. 91-54, as amended, occurs as a result of the formation and/or performance of this Agreement, this Agreement may be rendered null and void, at the City's option. The Company shall not be liable under this Bond on account of any loss or losses through fraudulent or dishonest acts committed by any Employee of Obligee, unless the amount of such Joss or losses, after deducting the net amount of all reimbursement and/or recovery, including any cash deposit taken by the Obligee, obtained or made by the Obligee or the Company on account thereof, prior to payment by the company of such loss or losses, shall be in excess of ONE HUNDRED DOLLARS ($100.00), and then for such excess only, but in no event for more than the amount of insurance carried on such Employee under this Bond. If more than one Employee is concerned or implicated in such loss or losses said deductible amount shall apply to each Employee concerned or implicated. H. limit of Liability. Regardless of the number of years this Bond shall continue in force and the number of premiums which shall be payable or paid, the liability of the Surety under this Bond shall not be cumulative in amounts from year to year or from period to period. I. Limit of Liability Under This Bond and Prior Insurance. With respect to loss or losses caused by an Employee or which are chargeable to such Employee as provided in Condition A and which occur partly under this Bond and partly under other bonds or policies issued by the Company to the Obligee or to any predecessor in interest of the Obligee and terminated or cancelled or allowed to expire and in which the period for discovery has not expired at the time any such loss or losses thereunder are discovered, the total liability of the Company under this Bond and under such other bonds or policies shall not exceed, in the aggregate, the amount carried under this Bond on such loss or losses or the amount available to the Obligee under such other bonds or policies, as limited by the terms and conditions thereof; for such loss or losses, if the latter amount be the larger. J. Part-Time or Temporary Employees. The named Obligee shall not at any time while this Bond is in force direct any temporary or part time Employee(s) to any subscriber's premises unless such Employee(s) is accompanied by a foreman who is in the regular employ of the Obligee. K. Valuation - Settlement. Subject to the applicable Limit of Liability provision we will pay for: (1) Loss of "money" but only up to and including its face value. (2) Loss of "securities" but only up to and including their value at the close of business on the day the loss was discovered. We may, at our option: (a) Pay the value of such "securities" or replace them in kind,in which event you must assign to us all your rights, title and interest in and to those "securities;" (b) Pay the cost of any Lost Securities Bond required in connection with issuing duplicates of the "securities." However, we will be liable only for the payment of so much of the cost of the bond as would be charged for a bond having a penalty not exceeding the lesser of the: (i) Value of the "securities" at the close of business on the day the loss was discovered; or (ii) Limit of liability. Indirect Loss: This Bond will not pay for a loss that is an indirect result of any act covered by this Bond including, but not limited to, loss resulting from: (1) Your inability to realize income that you would have realized had there been no loss of, or loss from damage to, covered property. (2) Payment of damages of any type for which you are legally liable; but, we will pay compensatory damages arising directly from a loss covered under this Bond. (3) Payments of costs, fees or other expenses you incur in establishing either the existence or the amount of loss under this Bond. C. Legal Expenses:This Bond will not pay for expenses related to any legal action. IV. CONDITIONS A. Consolidation-Merger. If any natural persons shall be taken into the regular service of the Obligee through merger or consolidation with some other concern, the Obligee shall give the Company written notice thereof and shall pay an additional premium on any increase in the number of Employees covered under this Bond as a result of such merger or consolidation computed pro rata from the date of such merger or consolidation to the end of the current premium period. B. Discovery. Loss is covered under this Bond only (a) if sustained through any act or acts committed by any Employee of Obligee while this Bond is in force as to such Employee, and (b) if discovered no later than one (1) year from the expiration or sooner cancellation. of this Bond in its entirety as provided in Section V, or from its cancellation or termination in its entirety in any other manner, whichever shall first happen. C. Prior Fraud, Dishonesty or Cancellation. No Employee, to the best of the knowledge of the Obligee, or of any partner or officer thereof not in collusion with such Employee, has committed any Fraudulent or Dishonest Act in the service of the Obligee or otherwise. If prior to the issuance of this Bond, any fidelity insurance in favor of the Obligee or any predecessor in interest of the Obligee and covering one or more of the Obligee's employees shall have been cancelled as to any of such Employees by reason of (a) the discovery of any fraudulent or dishonest act on the part of such employees, or (b) the giving of written notice of cancellation by the Insurer issuing such fidelity insurance, whether the Company or not, and if such employees shall not have been rernstated under the coverage of such fidelity insurance or superseding fidelity insurance, the Company shall not be liable under this Bond on account of such Employees unless the- Company shall agree in writing to include such Employees within the coverage of this Bond. D. Loss, Notice, Proof, Legal Proceedings. At the earliest practical moment, and at all events not later than fifteen days after discovery of any fraudulent or dishonest act on the part of any Employee by the Obligee, or by any partner or officer thereof not in collusion with such Employee, the Obligee shall give the Company written notice thereof and within four months after such discovery shall file with the Company affirmative proof of loss, itemized and duly sworn to, and shall upon request of the Company render every assistance, not pecuniary, to facilitate the investigation and adjustment of any loss. No suit to recover on account of loss under this Bond shall be brought before the expiration of two months from the filing of proof as aforesaid on account of such loss, nor after the expiration of fifteen months from the discovery as aforesaid of the fraudulent or dishonest act causing such loss. If any limitation in this Bond for giving notice, filing claim or bringing suit is prohibited or made void by any law controlling the construction of this Bond, such limitation shall be deemed to be amended so as to be equal to the minimum period of limitation permitted by such law. We may, at our option, pay the actual cash value of the property or repair or replace it. If we cannot agree with you upon the actual cash value or the cost of repair or replacement, the value or cost will be determined by arbitration. V. CANCELLATION This Bond shall be deemed cancelled as to any Employee; (a) immediately upon discovery by the Obligee, or by any partner or officer thereof not in collusion with such Employee. of any fraudulent or dishonest act on the part of such Employee; or (b) at 12:00 o'clock ~ig~!, standard time, ueon the ~ffective date specified in a written notice served upon the Insured or sent by mail.
