WHEREAS, the City is the owner of certain real property and improvements located at 1401 S. Dash Point Road, Federal Way, Washington ("Sacajawea Park"); and • WHEREAS, the City and District have joint use of the running track and associated adjacent soccer iield located at Sacajawea Park; WHEREAS, the City and the District have agreed to jointly maintain the running track and association adjacent soccer field located at Sacajawea Park; and WHEREAS, the City and District agree that the running track at Sacajawea Park is in need of improvements; and WHEREAS, the City and District have agreed that since the City took the lead on a recent adjacent soccer field improvement, that the District would take the lead on the running track improvement; NOW, THEREFORE, in consideration of the mutual agreements and covenants contained herein and for other good and valuable consideration, the receipt and sufficiency of which hereby are acknowledged, it is mutually agreed and covenanted, by and between the parties to this Agreement, as follows: 1. Improvement Details. The Sacajawea Park running track will be converted from a red cinder track to a new rubber surface. The project will included installing a new drain system around the two radius ends, removing the old red cinder, installing a new base with asphalt and installing a new L-2000 rubber surface with painted lines. 2. District's Responsibilities: a. The District shall design and manage all associated running track improvements. b. The District shall meet all State and Local requirements. c. The District shall coordinate all work with the City to reduce the impact of team sports on the soccer iield. The work cannot impact a City wide soccer tournament known as "Blast Off' which will use the facility the first two weekends in August (Aug. 2— 4& Aug. 9— 11). 3. City's Responsibilities: a. The City of Federal Way will provide access to the work site. b. The City of Federal Way will pay a portion of the project not to exceed $40,546.60. 4. Term. The term of this MOU shall commence upon the effective date written above and shall continue until the completion of all obligation under this MOU, but in any event, no later than December 31, 2013. ("Term") 5. Entire Agreement. This MOU contains all of the agreements of the City and the District with respect to any matter covered or mentioned in this MOU. IN WITNESS WHEREOF, the City and the District have executed this Memorandum of Understanding as of the day and year first written above by their duly authorized representatives.
