RE: Transfer of Recycling Bins to Sound Transit for Use at Federal Way Transit Center
Dear Mr. Szablya,
The City of Federal Way Solid Waste & Recycling Division is using grant funds from Department
of Ecology and/or King County Solid Waste Division to increase recycling diversion within the
City of Federal Way. As part of the grant program, the City is interested in providing free
recycling containers to the Central Puget Sound Transit Authority ("Sound Transit") for use at
the Federal Way Transit Center.
1. Sound Transit is interested in creating a pilot project to determine the effectiveness of
recycling collection at the Federal Way Transit Center to inform future recycling program
decisions. Recycling provides cost containment (as trash disposal costs increase and
recycling disposal is free). This pilot program will enable Sound Transit to assess the
costs of proactively complying with possible future recycling requirements.
The transfer of recycling containers to Sound Transit will provide mutual benefits to both parties.
The City will fulfill the terms of its grant agreement and Sound Transit will receive free recycling
collection containers that it can use to test as a pilot project at a transit station.
Under this letter agreement between the City of Federal and Sound Transit, the parties agree as
follows:
1. City's Procurement and Transfer of Bins.
a. Recycling Bins. As part of its grant program, the City agrees to procure and transfer to
Sound Transit four (4) recycling containers without charge. The City will be responsible
for the cost of containers including price and sales tax.

b. Transfer of Bins. In consideration of the benefits provided by Sound Transit under this
agreement, the City will transfer ownership of the containers to Sound Transit without
charge. The transfer will be evidenced by execution of the attached bill of sale.
2. Sound Transit's Installation and Use of Bins. Upon transfer of ownership, Sound Transit
may use and maintain the bins as follows:
a. Install the four recycling bins at the Federal Way Transit Center at specific locations to
be determined by Sound Transit. Sound Transit will secure the containers to their
locations at the Federal Way Transit Center.
b. Provide minor janitorial services for collection of the recycled materials at the Federal
Way Transit Center.
3. Sound Transit's Reporting.
a. During the first year that the recycling containers are installed at Federal Way Transit
Center, Sound Transit shall report to the City the estimated amounts or volumes
recycled via the containers (and the total waste disposed of from the Federal Way
Transit Center). In addition, Sound Transit shall seek assistance from the City as
needed to improve bin use or visibility.
4. Compliance with Law. The parties shall comply with all applicable federal, state and local
laws, regulations and resolutions applicable to the performance of their obligations under
this Agreement.
5. Designated Representatives. Sound Transit and the City designate the following
representatives ("Designated Representative") who will be responsible for coordination of
communications between the Parties and shall act as a central point of contact for the
performance of this Agreement. Each Parties' Designated Representative is named below
with the individual's contact information.

Recitals
The City of Federal Way ("City") and the Central Puget Sound Regional Transit Authority ("Sound
Transit") are parties to a letter agreement dated 6/23//c for the transfer of recycling containers
furnished to Sound Transit by the City pursuant to its grant agreement (Letter Agreement).
Now therefore in consideration of the promises, benefits and consideration recited in the Letter
agreement, the parties agree as follows:
Section 1. Transfer of Title
A. The City does grant, sell, transfer and deliver to Sound Transit all right and title to the Equipment
described in Section 2.
B. The City warrants that it is the lawful owner of the Equipment, that it has complete right to convey
the Equipment to Sound Transit, and that the Equipment is free from all liens and/or encumbrances.
The City will enforce on Sound Transit's behalf any warranties or guarantees that it has received from
the manufacturer or distributor of the Equipment.
Section 2. Description of Equipment
Four recycling containers (Ex-Cell Kaiser LLC, RC-34R DM COMINGLE RBL
34 gallon perforated recycle receptacle with retainer bands, laser RECYCLE in body, dome lid
with co-mingle openings, and Recyclables only graphics).
