AG 15-231MEMORANDUM OF UNDERSTANDING BETWEEN HISTORICAL SOCIETY OF FEDERAL WAY AND THE CITY OF FEDERAL WAY THIS MEMORANDUM OF UNDERSTANDING ( "MOU ") is made this 17th day of November 2015, by and between the undersigned representatives of the City of Federal Way ( "City"), a Washington Municipal Corporation, and Historical Society of Federal Way ( "Society"), a Washington Corporation. RECITALS: WHEREAS; the Society identified services and 2016 planned activities as identified in Attachment A, and WHEREAS; the Society provides important services and value of historical significance to the City of Federal Way, and WHEREAS; the Society will solicit and maintain records of historical significance within the City and be involved in community events, support tourism, and WHEREAS; The Society will ensure that documents are available and will provide visitor information to the public, and WHEREAS; The City received an anonymous donation of $10.000.00 in the name of Faye and Doug Clerget to be directed to the Historical Society of Federal Way, NOW, THEREFORE, in consideration of the mutual agreements and covenants contained herein and for other good and valuable consideration, the receipt and sufficiency of which hereby are acknowledged, it is mutually agreed and covenanted, by and between the parties to this MOU, as follows: 1. Commitment of Historical Society of Federal Way. The Society agrees to perform the services listed in Exhibit A for the sum of $20,000.00 from November 17, 2015 through December 31, 2016 2. Commitment of the City. The City agrees to pay the Society up to a total of $20,000.00 for the services listed in Exhibit A for the period of November 17, 2015 through December 31, 2016. The payment to the Society shall not exceed $20,000.00 and shall be comprised of the $10,000.00 donation received by the City in the name of Faye and Doug Clerget, and $10,000.00 from the City, which is contingent upon City Council approval of that appropriation in the 2016 City budget. Should the City Council not approve the $10,000.00 . appropriation in the 2016 City budget, the City's commitment under this MOU shall be limited to the payment of the $10,000.00 donation received by the City in the name of Faye and Doug Clerget. 3. Term and Termination. The terms of this MOU shall commence on the date written above and shall continue until terminated on December 31, 2016. The parties may agree to extend the term of this MOU in writing signed by both parties. 4. Indemnification. The Society shall indemnify and hold harmless the City and its officers, boards, commissions, employees, agents, attorneys, and contractors from and against any and all liability, damages, and claims, (including, without limitation, reasonable fees and expenses of attorneys, expert witnesses and consultants), which may be asserted by reason of any act or omission of the Society, its employees, agents, or contractors, which may arise out of this MOU. The City shall indemnify and hold harmless the Society and its officers, boards, commissions, employees, agents, attorneys, and contractors from and against any and all liability, damages, and claims, (including, without limitation, reasonable fees and expenses of attorneys, expert witnesses and consultants), which may be asserted by reason of any act or omission of the City, its employees, agents, or contractors, which may arise out of this MOU. 5. Governing Law. This MOU shall be governed by and construed in accordance with the laws of the State of Washington (excepting any conflict of laws provisions which would serve to defeat application of Washington substantive law). My commission expires Qfn.0 21, 2019 MEMORANDUM OF UNDERSTANDING BETWEEN Historical Society of Federal Way AND THE CITY OF FEDERAL WAY Exhibit A 2[Page Dear Mayor Ferrell, Deputy Mayor Burbidge, and fellow council members, The Historical Society of Federal Way has provided important services to the community since 1988. Those services have included publication of a Federal Way book, restoration of the Denny and Barker cabins, collections of historical items, display boards, and much more. This year the Historical Society of Federal Way has taken steps to expand on those services to the community. One of those steps is to create more exhibits at the Steel Lake Annex to bring a museum type feel to the annex. We have completed one exhibit that highlights the book publication and currently in progress in creating a Celebration Park exhibit. The second step we have taken is creating a Development & Activities Coordinator position for the Society. This team member will help connect our organization to the community, boost our membership, sponsorship, and volunteers. Finally, we have started to revaluate our organization hours to the public, so we can be open on Saturdays moving into 2016. In 2016, we are continuing our efforts to expand our services to the community. Those efforts include expanding the hours open at the Denny and Baker cabins, continuing to bring in new exhibits at the annex, improvement to the Historical Society's website, expanding our programs to the public on local history, and hiring for the Development & Activities Coordinator. The Historical Society of Federal Way would not be able to do these services in part without the financial support of the City of Federal Way. This year we received financial support from the Lodging Tax Advisory Committee along with a donation through the city. We also appreciate the support through the use of the annex and the help of the parks department at the cabins and annex. This year's support from the City of Federal Way has allowed the Historical Society to break -even for the 2015 fiscal year after years of being in the red. To continue our services and 2016 planned activities, we are asking the City of Federal Way for $10,000 in 2016 and ask for consideration of continue support for upcoming years. The Historical Society is taking steps as well to bring in additional dollars by doing more fundraisers in 2016. Again, we appreciate the support of the City of Federal Way and hope to continue to grow together. Capture Federal Way History: Collect, document, preserve, conserve and interpret artifacts, oral histories, documents, photographs, ephemera and historic structures relative to cultural history of the Greater Federal Way area. 2. Educate the Greater Federal Way Community: Interpret the history of Greater Federal Way through visual, oral and interactive means, both within the setting of the Society office, cabins and throughout the Greater Federal Way area. 3. Optimize Facilities to Support Our Mission: Concentrate mission - related services within facilities that meet professionally established criteria for collections care and conservation, security, and accessibility, and are of sufficient size to allow for growth and a diversity of activities. 4. Expand our Membership: Attract a more comprehensive representation of the Greater Federal Way Community, including age, gender, ethnicity, etc., within all areas and functions of the Society. 5. Follow Professional Standards: Maintain a responsible Board of Directors comprised of dedicated Society members with a wide range of talents who will provide leadership, set policies, monitor operations and provide a vision for future plans and growth. 6. Long Range Plan Action Items • Identify areas in which collections are underdeveloped and publicize the Society's collecting priorities • Update the Collections Policy, as the need arises, to guide collecting and documenting activities • Ensure that all collections are properly housed and catalogued • Advocate historic preservation and serve as a resource for preservation activities Goal #2: Educate the Greater Federal Way Community: Interpret the history of Greater Federal Way through visual, oral and interactive means, both within the setting of the Society office, cabins and throughout the Greater Federal Way area. Long Range Plan Action Items • Tell Greater Federal Way stories out in the community, undertaking projects such as historic markers, traveling exhibits, public programs and publications • Develop interactive exhibits • Use technology to broaden timely access to the collections • Encourage research by making resources accessible and providing professional assistance • Provide ongoing docent training Goal #3: Optimize Facilities to Support Our Mission: Concentrate mission- related services within facilities that meet professionally established criteria for collections care and conservation, security, and accessibility, and are of sufficient size to allow for growth and a diversity of activities. Long Range Plan Action Items • Connect the Board and Staff to allow efforts of both to support the Society's mission and goals • Collaborate with the City of Federal Way to maintain a positive working relationship • Promote professionalism and continuity in the Society's operations • Develop a Tong -range business plan aligned to the Historical Society Museum Master Plan • Expand the relationship with the business community of Greater Federal Way, the Federal Way School District, the City of Federal Way Parks Commission, the City of Federal Way Arts Commission, and King County • Develop a turn -over plan for acquiring, training and retaining Board members • Begin the process recommended by the American Association for State & Local History organizations (AASLH) for improvements to the Society's management and oversight.
