This Agreement sets forth in writing the understanding that Car Wash Enterprises, Inc. d/b /a Brown Bear Car Wash will provide exterior car wash services to Fleet Organization under the terms and conditions set forth below. 3. Wash Service Provided. CWE agrees to provide the `Geary Clean" car wash package available at all Brown Bear Car Wash exterior -only, conveyorized tunnel car wash locations during regular business hours for the cost of three - dollars and sixty -five cents per wash ($3.65) plus applicable sales tax. 4. RFID /BARCODE Tag Management. CWE will provide logoed RFID tags to the Fleet Organization to be installed in participating vehicles. Fleet Organization will ensure that one RFID tag is properly installed on the inside, top, center of the windshield and that a corresponding BARCODE tag is installed on the inner part of the driver's side door (facing the door jamb). Each vehicle must have both tags with matching tracking numbers to be eligible for car wash services. The security and distribution of the tags is the responsibility of the Fleet Organization. 5. Tag Activation. Fleet Manager will communicate to CWE, via email, the Tag number and associated vehicle information, (i.e. vehicle #, license plate #, etc.) when enrolling a vehicle in the Fleet Program. The Fleet Manager will communicate to CWE the type of wash allowed for the associated Tag and the frequency with which the vehicle can receive a car wash at a CWE facility. This email will constitute authorization for CWE to wash the vehicle and bill Fleet Organization for wash services provided each month. 6. Tag Deactivation. Fleet Manager will notify CWE, via email, if a Tag number is to be deactivated. Within 72 hours of email notification, the Tag number will be deactivated and Fleet Organization will not be billed for services provided after this time period. 7. Billing. CWE will provide a monthly wash history report that will detail the date, time, and type of wash services provided to each vehicle enrolled in the program. Fleet Organization agrees to provide payment to CWE for invoiced charges within 10 days of the receipt of the monthly invoice /report. 8. Termination. Either party may terminate the agreement at any time by providing a written letter of termination. Car Wash services will end at the end of the month in which the Agreement is terminated. 9. Post Termination. Fleet Organization will surrender all undistributed inventory of RFIDBARCODE Tags upon termination of the Agreement. Fleet Organization agrees to pay for all wash services provided during the final month of participation (the month in which the program is terminated). 10. Dispute. In the event of any court-filed action concerning the terms of this Agreement, the prevailing party shall be entitled to an award of its attorney fees and costs. CarWash Fleet Program Tag Placement Instructions To enjoy the benefits of the Fleet Program every vehicle must have a small RFID tag installed on both the windshield and on the driver's side door (facing the door jamb). This will allow the vehicle to be washed at any Brown Bear Car Wash tunnel location. As the Fleet Manager, you will ensure that the tags are properly installed on each vehicle you wish to enroll in the program. The tags you receive are a 3 -part tag and resemble those shown below. rim ( The top tag is installed in the center of the windshield behind or just below the rear view mirror. The middle tag is installed on the inside of the driver's side door facing the door jamb. The bottom tag is kept by your fleet administrator for tracking purposes. The top tag contains an RFID antenna so exercise caution when installing it on the windshield. Avoid bending the tag as much as possible as the internal RFID antenna can break if the tag is bent too much. The RFID tag should be installed in the center 12 -18" of the vehicle's windshield at least 3" below the top of the windshield. Generally if the tag is installed behind the rear view mirror (on the windshield) it will be properly positioned and hidden from the driver's direct view. If there is a WSDOT Good to Go pass, there needs to be 3 -4" of separation between the Brown Bear tag and the Good to Go tag. See the images below for tag placement. The second tag has a barcode and Brown Bear logo that matches the RFID tag, but this tag does not have an RFID antenna inside of the tag. This tag must be installed on the driver's side door on the part of the door that faces the door jamb. The tag should be positioned above the door latch with the barcode at the top of the tag. See the images below for tag placement and positioning. The third tag is for your internal control purposes. Once both the windshield and door tag have been installed on a vehicle, send an email with the Brown Bear tag # and any fleet vehicle information you would like tracked and associated with the tag #, i.e. license plate #, vehicle # etc. to Fleet @BrownBear.com. The email will be the authorization that activates the tag and allows your drivers to wash at any tunnel wash location. You can find a complete list of all tunnel wash locations at www.BrownBear.com /locations. ** *NOTE * * *Do not transfer tags from one vehicle to another, install new tags if ever a windshield is replaced or a vehicle is sold or transferred to another department. The RFID antennas are designed to break when a tag is removed from a windshield so they will likely not work if they are reinstalled.
