WHEREAS, the City and the Historical Society of Federal Way have had a lease agreement for the Steel Lake Annex"House"Building in good standing for several years. WHEREAS, the City is supportive of the Historical Society of Federal Way's desire to make improvements to the electrical,plumbing and insulation to the building at their cost. WAEREAS,this MOU will help the Historical Society of Federal Way secure grant funding to pay for these improvements. WHEREAS,these improvements will help ensure the building is in good repair and condition going forward. WHEREAS, all improvements made will be permitted with the community development department and all work will be performed by licensed contractors and all City laws and codes will be followed according to the lease agreement in place. NOW, THEREFORE, in consideration of the mutual agreements and covenants contained herein and for other good and valuable consideration, the receipt and sufficiency of which hereby are acknowledged; it is mutually agreed and covenanted, by and between the parties to this Agreement, as follows: 1. Scope of Work for Improvements. The improvements to be undertaken by the Society under this Agreement shall be limited to the following items of work: a. Install new water supply piping with new material meeting current plumbing codes to replace the existing galvanized steel piping system. The existing galvanized steel piping system will he abandoned in place. The new piping will supply hot and cold water(with new angle stops and supply lines) to the lavatory basin and toilet in each of the three bathrooms, the sink in the kitchen, the laundry tub in the basement utility room, the make-up water supply for the hot water furnace, the domestic hot water heater, and the two exterior hose bibbs. The locations of these supply points are shown in the schematic plans entitled "Plumbing Facilities"(one plan for each floor)that are attached hereto and incorporated herein. Water supply to the neighboring "barn" structure will be reconnected inside the subject "house" building. To the extent possible, existing plumbing fixtures shall be reused, including lavatory basins, toilets, sinks, and faucets. The water supply to the shower in the 2"`j floor bathroom and to the clothes washing machine facilities in the basement will be discontinued. The original plumbing drain system (consisting of cast iron soil pipe and galvanized steel pipe) is excluded from this 1 scope of work. The low-pressure pipe network for the hot water heating system (consisting of steel pipe)is excluded from this scope of work. b. Install new wiring with new material meeting c nt electrical code to supply electrical service to the lighting Fixtures and convenience .11 outlets throughout the building. The locations of these service points are shown in he schematic plans entitled "Electrical Lighting"(one plan for each floor)and"Electri Outlets"(one plan for each floor) that are attached hereto and incorporated herein. N• electrical circuits will originate at the electrical circuit-breaker panels that exist in the Robinson Room in the basement. The electrical connection to the neighboring "barn" cture will be reconnected inside the subject "house" building. To the extent practi able, new wire will be routed within ceilings and walls; otherwise,new wire will he .closed within races or conduit mounted to the exposed surfaces of ceilings and walls. Ne wiring will not be installed for the hot water furnace, the domestic hot water heater,or .r the electrical kitchen range space. To the extent possible, existing fluorescent and ins. descent light fixtures will be reused. Switches and duplex wall outlets and covers w 11 be replaced and upgraded to current standards. c. Remove the existing contaminated insulation • terial in the attic space, decontaminate the attic space, and install new material after the specified plumbing and electrical improvements are completed within the attic sp• e. Potential points of entry by rodents into the attic space will be closed to the extent practicable. The new insulation material will meet or exceed the insulation value of the c sting material in the attic. d. Repair openings, or"windows," that are cut int. the ceilings and walls in order to route new piping and wire within the affected ceilin;s and walls. The repairs will include installation of shcctrock material,mudding and t. .ing,and repainting as necessary. 2. Conditions. All alterations to the Scope of Work must b. approved by the City in writing. All alterations or improvements to the premises undertaken by the Society shall be constructed at the Society's expense, and the Society agrees to bear full respo sibility for insuring all construction on the premises is undertaken and conducted in a safe and pro sessional manner, and all alterations and improvements shall be of high quality construction. The S.•iety agrees it will not allow any liens to attach to the premises as a result of any construction perfo ed on the premises. The Society further agrees to hold the City harmless from any and all clai , including costs, attorney's fees and expenses arising in any way from any construction on the premises, unless specifically agreed to otherwise in writing signed by the City prior to constru'tion or addition of any alterations or improvements to the premises. All alterations and improv .ts shall become property of the City upon termination or expiration of the agreement. 3. City's Responsibility.The City will waive all permitting fees for these improvements. 4. Historical Society of Federal Way Responsibilities. The Society is solely responsible for obtaining bids, hiring contractors and obtaining applicable City permits. The Society is responsible for costs associated with any improvements. 5. Term. Duties of Owner.The Owner shall furnish all surveys and a legal description of the Project site as may be requested by Contractor.The Owner shall provide unobstructed access to the Project site and shall timely make all payments of the Contract Sum(and,if applicable,permit and inspection costs)as provided in this Agreement.The Owner shall timely respond to Contractor's inquiries and change order requests.The Contractor may suspend or terminate the Work after prior written notice to Owner in the event Owner fails to fulfill its payment or other obligations under this Agreement and/or at law. B. Duties of Contractor.The Contractor shall perform the Work in accordance with(a)any drawings,plans and/or specifications identified in the Proposal,(b)the standard of care applicable to Contractor; and(c)applicable state and local building codes and regulations.The Contractor shall supervise and direct the Work,shall be responsible for the construction,means and methods of the Work and shall maintain all business licenses and comply with all insurance and bonding requirements as required by law. C. Changes.The Owner may order changes in the Work consisting of additions,deletions or other revisions and,in such case,the Contract Sum and Contract Time shall be adjusted accordingly. If the Owner and Contractor do not agree to a change in the Contract Sum,the Owner shall pay the Contractor its actual costs plus reasonable overhead and profit. If the Contractor encounters concealed or unknown physical conditions at the site or is otherwise prevented from performing the Work for reasons not caused by the Contractor,the Contract Sum and Contract Time shall be equitably adjusted via change order. D.Warranty.The Contractor shall,for a period of one year after substantial completion of the Work,correct work not materially conforming with the express requirements of this Agreement,provided that Owner shall(a)report to Contractor any defective Work in a timely manner and(b)permit Contractor a reasonable opportunity to investigate the claim and,if appropriate,correct the same. Excluded from this warranty are(i)all Owner-provided or Owner- purchased materials,including any services related to the repair,removal,reinstallation or part procurement for material defects thereof;(ii)defects caused by Owner's failure to properly conduct maintenance;(iii)problems caused by Owner abuse or neglect;(iv)Owner misuse,vandalism,modification,or alteration;(v)ordinary wear and tear; and (vi)any damages resulting from mold,fungus,and other organic pathogens(unless caused by the sole and active negligence of Contractor as a direct result of a construction defect). Further,Owner acknowledges and agrees that certain deviations that arise,including without limitation,minor cracking of concrete,stucco,and plaster;minor stress fractures in drywall due to the curing of lumber;warping and deflection of wood;shrinking/cracking of grouts and caulking;and fading of paints and finishes exposed to sunlight,are all deemed typical(and not material)defects in construction,and are strictly excluded from the foregoing warranty. F.Termination for Cause and for Convenience.This Agreement may be terminated by either party for cause in the event of a material breach of this Agreement upon prior written notice to the other party,provided the defaulting party shall have a reasonable opportunity to cure any such default.The Owner may,upon at least 7 days prior written notice to Contractor,terminate this Agreement for its convenience,provided that Contractor shall be entitled to receive payment for Work executed and costs incurred by reason of such termination,along with reasonable overhead and profit on Work not executed.The Contractor may terminate for convenience prior to any Work starting at the Project site,or upon at least 7 days prior written notice to Owner,in which case Contractor shall be entitled to receive payment for Work executed and costs incurred up until the point of termination. G. Law,Dispute Resolution and Attorneys Fees,This Agreement shall be governed by the laws of the state of Washington without reference to its conflict of laws analysis.Any dispute arising from or relating to this Agreement shall be subject to arbitration in the place where the Project is located which shall,unless otherwise agreed by the parties,be administered by the American Arbitration Association.The parties agree to mediate any such dispute as a condition precedent to arbitration. In the event of any arbitration or litigation,the prevailing party shall be entitled to its reasonable attorneys fees,costs and expenses. H. Informational Notice to Owner.The Contractor is registered with the state of Washington,registration No. PROCOCS851 RN,and has posted with the state a bond or deposit for the purpose of satisfying claims against the Contractor for breach of contract including negligent or improper work in the conduct of the Contractor's business.The expiration date of this contractor's registration is 15 Dec,2017.THIS BOND OR DEPOSIT MIGHT NOT BE SUFFICIENT TO COVER A CLAIM THAT MIGHT ARISE FROM THE WORK DONE UNDER THIS AGREEMENT.This bond or deposit is not for Owner's exclusive use because it covers all work performed by the Contractor.The bond or deposit is intended to pay valid claims that you and other customers,suppliers,subcontractors,or taxing authorities may have. FOR GREATER PROTECTION THE OWNER MAY WITHHOLD A PERCENTAGE OF PAYMENTS UNDER THIS AGREEMENT.The Owner may withhold a contractually defined percentage of the construction contract as retainage for a stated period of time to provide protection to you and help insure that the Project will be completed as required by this Agreement. I. Preliminary Mechanics Lien Notice. EVEN THOUGH YOU HAVE PAID YOUR CONTRACTOR IN FULL,if the person or firm that has given you this notice is not paid in full for labor,service,equipment,or material provided or to be provided to your construction project,a lien may be placed on your property. FOR ADDITIONAL PROTECTION,THE OWNER MAY REQUEST THE CONTRACTOR TO PROVIDE ORIGINAL"LIEN RELEASE" DOCUMENTS FROM EACH SUPPLIER OR SUBCONTRACTOR ON THIS PROJECT.The Contractor is required to provide the Owner with further information about lien release documents if the Owner requests it. Owner's signature on this Agreement shall constitute Owner's confirmation that it has received a copy of this disclosure statement. J. Entire Agreement,Severability and Modification.This Agreement represents and contains the entire agreement and understanding between the parties. Prior discussions or verbal representations by Contractor or Owner that are not contained in this Agreement are not a part of this Agreement. In the event that any provision of this Agreement is at any time held by a court or arbitrator to be invalid or unenforceable,the parties agree that all other provisions of this Agreement will remain in full force and effect.Any future modification of this Agreement should be made in writing and executed by Owner and Contractor. K.Indemnification.To the fullest extent permitted by law,Owner agrees to defend,indemnify and hold harmless Contractor,and its respective agents,affiliates,and employees,from and against any claims,damages,losses and expenses,including but not limited to reasonable attorneys'fees,arising out of or relating to Owner's breach of this Agreement,but only to the extent such claim,damage,loss or expense is not caused by the sole and exclusive negligence of Contractor. L.Assignment.Neither party shall assign this Agreement,or any portion thereof,without the written consent of the other party,except that Contractor may assign this Agreement without consent in connection with a merger or sale of all or substantially all of Contractor's assets or business.This AGREEMENT is entered into as of the day and year first written above. M.California Three Day Right To Cancel. In the state of California,you,the buyer,have the right to cancel this contract within three business days.You may cancel by e-mailing,mailing,faxing,or delivering a written notice to the contractor at the contractor's place of business by midnight of the third business day after you received a signed and dated copy of the contract that includes this notice. Include your name,your address,and the date you received the signed copy of the contract and this notice. If you cancel,the contractor must return to you anything you paid within 10 days of receiving the notice of cancellation. For your part,you must make available to the contractor at your residence, in substantially as good condition as you received it,any goods delivered to you under this contract or sale.Or,you may,if you wish,comply with the contractor's instructions on how to return the goods at the contractor's expense and risk. If you do make the goods available to the contractor and the contractor does not pick them up within 20 days of the date of your notice of cancellation,you may keep them without any further obligation. If you fail to make the goods available to the contractor,or if you agree to return the goods to the contractor and fail to do so,then you remain liable for performance of all obligations under the contract The law requires that the contractor give you a notice explaining your right to cancel.
