WOOD VETERANS HOUSE, MULTI -SERVICE CENTER, AND THE CITY OF FEDERAL WAY, WASHINGTON THIS MEMORANDUM OF UNDERSTANDING ("MOU") is made this qday of LTA ANA /LI 2018 by and between the undersigned representatives of the City of Federal Way, a Washington Municipal Corporation ("City"), Multi -Service Center, a 501(c)(3) Washington state public benefit corporation ("MSC"), and MSC Veterans Federal Way, LLC (dba William J. Wood Veterans House (WJW). RECITALS: WHEREAS, in 2016, MSC completed construction of the William J. Wood Veterans House (WJW), which provides affordable housing in the form of 44 units of 1, 2, and 3 bedroom apartments for low- income, homeless veterans and their families and provides services on-site for case management, employment assistance, and child advocacy; and WHEREAS, the parties agree that providing office space for Federal Way Police Department (FWPD) officers to use in the WJW facility would be mutually beneficial for all involved parties and enhance the police department's community presence; NOW, THEREFORE, in consideration of the mutual agreements and covenants contained herein and for other good and valuable consideration, the receipt and sufficiency of which hereby are acknowledged, it is mutually agreed and covenanted, by and between the parties to this Agreement, as follows: I. MSC, in collaboration with WJW, will: a. Provide one secure office space at WJW for FWPD officers at no cost to the City. This space will be located on the ground floor and will have features such as keyless entry and internet and phone capability. b. Provide a reserved parking space for FWPD in the front of the building, adjacent to the parking garage. This reserved spot will have appropriate signage noting that it is reserved for FWPD. c. Provide a parking space in front of the building for an additional FWPD car as needed to help slow traffic on main thoroughfare. d. Work directly with FWPD on any questions, concerns or needs that they have within the scope of this MOU. 1 - 3/2017 CITY OF Federal Way II. Encourage FWPD law enforcement officers to utilize designated secure office at William J. Wood Veterans House to complete administrative and other tasks as it relates to their shift work at the officer's discretion. b. Utilize the reserved parking space for an official FWPD vehicle when an officer is on site. c. When on site, provide assistance with law enforcement issues arising at the WJW site subject to officer availability. d. Communicate directly with MSC should concerns or issues arise. This may include making MSC staff aware of any on-site law enforcement issues that the on-site officer happens to respond to, particularly during hours that MSC staff are not available. III. Term and Termination. The term of this MOU shall commence on the date written above and shall continue until December 31st, 2018. Any party to this agreement may terminate it with 30 -days written notice to the other parties. Any renewal or extension of the term of this MOU will be through written amendment to this agreement. IV. Modifications in writing. All changes to this agreement will be agreed to in writing by the parties. V. Indemnification. a. MSC William J. Wood Veterans House agree to release indemnify, defend, and hold the City, its elected officials, officers, employees, agents, representatives, insurers, attorneys, and volunteers harmless from any and all claims, demands, actions, suits, causes of action, arbitrations, mediations, proceedings, judgments, awards, injuries, damages, liabilities, taxes, losses, fines, fees, penalties expenses, attorney's fees, costs, and/or litigation expenses to or by any and all persons or entities, including, without limitation, their respective agents, licensees, or representatives, arising from, resulting from, or in connection with this Agreement or the performance of this Agreement, except for that portion of the claims caused by the City's sole negligence. Should a court of competent jurisdiction determine that this Agreement is subject to RCW 4.24.115, then, in the event of liability for damages arising out of bodily injury to persons or damages to property caused by or resulting from the concurrent negligence of MSC, William J. Wood Veterans House, and the City, MSC and William J. Wood Veterans House's liability hereunder shall be only to the extent of MSC or William J. Wood Veterans House's negligence. b. The City agrees to release, indemnify, defend and hold MSC and William J. Each party agrees that it will notify the other parties immediately both orally and in writing of any events, complaints or occurrences of any kind arising from the activities and/or content of this MOU, which would likely give rise to a claim or action against the other party. The provisions of this section shall survive the expiration or terminations of this MOU with respect to any event or damage or injury occurring prior to such expiration or termination.
