For and in consideration of the covenants and agreements hereinafter set forth, the Grantee and County hereby agree as follows: 1. AUTHORITY. Grantee warrants that it has the authority to enter into this Agreement for the City of Federal Way Commercial Food Rescue Grant Program. 2. TERM OF AGREEMENT. This Agreement shall be in force from January 15, 2018 through December 31, 2018. Project reporting activities will continue into 2019 as per the Scope of Work. However, payment will be provided only through 2018, per Section 7. 3. DEFINITIONS. ACCEPTANCE OR ACCEPTED A written determination by the County that the Grantee has completed the Work in accordance with the Agreement. GRANTEE The individual, association, partnership, firm, company, corporation, or combination thereof, including joint ventures, contracting with the County for the performance of Work under the Agreement. PERSON - Includes individuals, associations, firms, companies, corporations, partnerships, and joint ventures. PROJECT MANAGER The individual designated by the County to manage the project on a daily basis and who may represent the County for Agreement administration. RCW - The Revised Code of Washington. SCOPE OF WORK (SOW) - An exhibit to the Agreement consisting of a written description of the Work to be performed. SUBGRANTEE - The individual, association, partnership, firm, company, corporation, or joint venture entering into an agreement with the Grantee to perform any portion of the Work covered by this Agreement. WORK - Everything to be provided and done for the fulfillment of the Agreement and shall include labor, services, goods and supplies specified under this Agreement, including Agreement Amendments. 4. AGREEMENT DOCUMENTS. The Grantee shall provide all Work described in this Agreement, which consists of the following attached exhibits and documents which are made a part hereof by reference and in the following order of precedence: a. AGREEMENT AMENDMENT. All changes to the Agreement shall be made in writing. No oral statement or other conduct by the County shall change or modify the Agreement. 6. COMPLIANCE WITH CODES AND GRANT REQUIREMENTS. a. Grantee shall comply with all applicable Federal, State and local codes and requirements in the design and implementation of the Project. b. Upon receiving 14 -day advance notice, Grantee shall comply with County's request to conduct on site monitoring to ensure that grant funds are being used in accordance with approved grant activities. c. If grant funds are used in the purchase of equipment that cost over $5,000, Grantee shall provide County with a copy of its Capital Asset Policy and Procedure statement within 30 days of Agreement execution. 7. PAYMENT. The maximum to be paid by County to Grantee for carrying out the Project shall be $24,500. a. County shall provide the first payment at the beginning of the grant contract and quarterly thereafter comprising of five payments. Subsequent payments will be provided after receipt and review of quarterly and final reports. b. Payment will be made in accordance with Exhibit D - Project Budget. There are no other costs allowable. 8. OWNERSHIP. Any patentable or copyrightable materials arising out of the Project may be owned and retained by the County. The County in its sole discretion shall determine whether it is in the public's interest to release or make available any patent or copyright. 9. LEGAL AND ADMINISTRATIVE RELATIONS. a. Retention of Records. The Grantee and its SubGrantees shall maintain books, records and documents of its performance under this Agreement in accordance with generally accepted 2of10 accounting principles. The Grantee shall retain for six (6) years after the date of fmal payment under the Contract all financial information, data and records for all Work. b. Public Records Requests. This Agreement shall be considered a public document and will be available for inspection and copying by the public in accordance with the Public Records Act, chapter 42.56 RCW (the "Act"). If the Grantee considers any portion of any record provided to the County under this Contract, whether in electronic or hard copy form, to be protected under law, the Grantee shall clearly identify each such portion with words such as "CONFIDENTIAL," "PROPRIETARY" or "BUSINESS SECRET." If a request is made for disclosure of such portion, the County will determine whether the material should be made available under the Act. If the County determines that the material is subject to disclosure, the County will notify the Grantee of the request and allow the Grantee ten (10) business days to take whatever action it deems necessary to protect its interests. If the Grantee fails or neglects to take such action within said period, the County will release the portions of record(s) deemed by the County to be subject to disclosure. The County shall not be liable to the Grantee for inadvertently releasing records pursuant to a disclosure request not clearly identified by the Grantee as "CONFIDENTIAL," "PROPRIETARY" or "BUSINESS SECRET." c. Independent Status of Grantee. In the performance of this Agreement, the parties shall be acting in their individual, corporate or governmental capacities and not as agents, employees, partners, joint ventures, or associates of one another. The parties intend that an independent Grantee relationship shall be created by this Agreement. The Grantee shall be responsible for all federal and/or state tax, industrial insurance, wages, benefits, or other compensation by or on behalf of the Grantee and its employees. The Grantee shall not make any claim of right, privilege or benefit which would accrue to an employee under chapter 41.06 RCW or Title 51 RCW. d. Indemnification and Hold Harmless. To the maximum extent permitted by law and except to the extent caused by the sole negligence of the County, the Grantee shall indemnify and hold harmless the County, its officers, agents and employees, from and against any and all suits, claims, actions, losses, costs, penalties and damages of whatsoever kind or nature arising out of, in connection with, or incident to the Work provided by or on behalf of the Grantee. This indemnification obligation shall include, but is not limited to, all claims against the County by an employee or former employee of the Grantee or its SubGrantees, and the Grantee, by mutual negotiation, expressly waives all immunity and limitation on liability, as respects the County only, under any industrial insurance act, including Title 51 RCW, other Worker's Compensation act, disability benefit act, or other employee benefit act of any jurisdiction which would otherwise be applicable in the case of such claim. In addition, the Grantee shall protect and assume the defense of the County and its officers, agents and employees in all legal or claim proceedings arising out of, in connection with, or incidental to the Grantee's performance of such Work, including, but not limited to assertions that the use, operation, or transfer of equipment, software, book, document, report, film, tape, or sound production or material of any kind, delivered hereunder, constitutes an infringement of any copyright, patent, trademark, tradename, and/or otherwise results in unfair trade practice; and shall pay all defense expenses, including reasonable attorney's fees, expert fees and costs incurred by the County on account of such litigation or claims. In the event that the County incurs any judgment, award and/or expense or cost, including attorney fees, arising from the provisions of this Section 9.d., or to enforce the provisions of this Section 9.d., any such judgment, award, fees, expenses and costs shall be recoverable from the Grantee. 3 of 10 The indemnification, hold harmless, protection and defense obligations contained herein shall survive the expiration, abandonment or termination of this Agreement. Nothing contained within this Section 9.d. shall affect and/or alter the application of any other section contained within this Agreement. 10. TERMINATION FOR DEFAULT/NON-APPROPRIATION. a. Termination for Default. If the Grantee does not perform the Work, or the Grantee fails to perform in the manner called for in the Agreement, or if the Grantee fails to comply with any material provisions of the Agreement, the County may terminate this Agreement, in whole or in part, for default as follows: i. A "notice to cure" shall be served on the Grantee by certified or registered first class mail in accordance with Section 19. Notice. The Grantee shall have ten (10) Days from the date of receipt to cure the default or provide the County with a detailed written plan for review and Acceptance, which indicates the time and methods needed to bring the Work into compliance and cure the default. ii. If the Grantee has not cured the default or the plan to cure the default is not acceptable to the County, the County may terminate the Agreement by serving a "notice of termination" in accordance with Section 19. Notice setting forth the manner in which the Grantee is in default, the manner and method in which reimbursement of grant fund payments from the grantee is required, and the effective date of termination. iii. The Grantee shall only be compensated for Work performed and Accepted less any damages to the County caused by or arising from such default. All termination payment requests are subject to an analysis of cost or price by the County to verify compliance with the Agreement, applicable laws and regulations. iv. The termination of this Agreement shall in no way relieve the Grantee from any of its obligations under this Agreement nor limit the rights and remedies of the County hereunder in any manner. v. The County may request and the Grantee shall pay partial or full reimbursement of payments the County made to the Grantee should the Grantee fail to perform according to the terms and conditions of this Agreement, whether or not the failure to perform is within the Grantee's control. b. Termination for Non -Appropriation. If expected or actual funding is withdrawn, reduced or limited in any way, the County may, upon written notice to the Grantee, terminate this Agreement in whole or in part for lack of appropriation. Such termination shall be in addition to the County's rights to terminate for convenience or default. In the event of termination under this section the following shall apply: i. The County will be liable only for payment in accordance with the terms of this Agreement for Work performed prior to the effective date of termination; ii. Payment, if any, associated with such termination shall not exceed the appropriation for the biennium in which termination occurs; and 4of10 iii. The Grantee shall be released from any obligation to provide further Work under the Agreement affected by the termination. 11. INSURANCE. Upon execution of this Agreement, the Grantee, at its own cost, shall have procured and will maintain for the duration of this Agreement, insurance as specified in the Minimum Scope and Limits of Insurance. The Grantee shall furnish the County with certificates of insurance and endorsements required by this Agreement. The County reserves the right to require complete, certified copies of all required insurance policies at any time. Each insurance policy shall be written on an "occurrence" form; except that professional liability, errors and omissions, will be acceptable on a "claims made" form. If coverage is approved and purchased on a "claims made" basis, the Grantee warrants continuation of coverage, either through policy renewals or the purchase of an extended discovery period, if such extended coverage is available, for not less than three years from the date of completion of the Work which is the subject of this Agreement. By requiring such minimum insurance coverage, the County shall not be deemed or construed to have assessed the risks that may be applicable to the Grantee under this Agreement. The Grantee shall assess its own risks and, if it deems appropriate and/or prudent, maintain greater limits and/or broader coverage. Nothing contained within these insurance requirements shall be deemed to limit the scope, application and/or limits of the coverage afforded, which coverage will apply to each insured to the full extent provided by the terms and conditions of the policy(s). Nothing contained within this provision shall affect and/or alter the application of any other provision contained within this Agreement. a. Minimum Scope and Limits of Insurance The City, at its own cost, shall procure by the date of execution of this Agreement and maintain for the duration of the Agreement, insurance against claims for injuries to persons or damages to property which may arise from or in connection with performance of work pursuant to this Agreement by the City, its agents, representatives, employees, and/ or subcontractors. The minimum limits of this insurance shall be $1,000,000 general liability insurance combined single limit per occurrence for bodily injury, personal injury, and property damage. If the policy has an aggregate limit, a $2,000,000 aggregate shall apply. Any deductible or self -insured retentions shall be the sole responsibility of the City. Such insurance shall cover the County, its officers, officials, employees, and agents as additional insureds against liability arising out of activities performed by or on behalf of the City pursuant to this agreement. A valid Certificate of Insurance and additional insured endorsement is attached to this Agreement as Exhibit C, unless Section VII.B applies. ii. If the Agency is a Municipal Corporation or an agency of the State of Washington and is self—insured for any of the above insurance requirements, a written acknowledgement of self-insurance is attached to this Agreement as Exhibit C. iii. If the Agency is a Municipal Corporation or an agency of the State of Washington and is a member of the Washington Cities Insurance Authority 5 of 10 (WCIA), a written acknowledgement/certification of current membership is attached to this Agreement as Exhibit C. b. Other Insurance Provisions and Requirements The insurance coverage(s) required in this Agreement are to contain, or be endorsed to contain the following provisions: All Liability Policies except Workers Compensation and Professional Liability: i. The County, its officers, employees and agents are to be covered as additional insureds as respects liability arising out of activities performed by or on behalf of the Grantee in connection with this Agreement. Such coverage shall be primary and non-contributory insurance as respects the County, its officers, officials, employees and agents. Additional Insured Endorsement shall be included with the certificate of insurance, "CG 2010 11/85" or its equivalent is required. The County requires this Endorsement to complete the Agreement. All Policies: The Grantee's insurance coverage shall apply separately to each insured against whom a claim is made and/or lawsuit is brought, except with respect to the limits of the insurer's liability. ii. Any deductibles or self-insured retentions must be declared to, and approved by, the County. The deductible and/or self-insured retention of the policies shall not limit or apply to the Grantee's liability to the County and shall be the sole responsibility of the Grantee iii. Coverage shall not be suspended, voided, canceled, reduced in coverage or in limits, until after forty-five (45) Days prior written notice, has been given to the County. iv. Insurance coverage is to be placed with insurers with a Bests' rating of no less than A: VIII, or, if not rated with Bests', with minimum surpluses the equivalent of Bests' surplus size VIII. Professional Liability, Errors and Omissions insurance coverage may be placed with insurers with a Bests' rating of B+:VII. Any exception must be approved by the County. If at any time any of the foregoing policies fail to meet minimum requirements, the Grantee shall, upon notice to that effect from the County, promptly obtain a new policy, and shall submit the same to the County, with the appropriate certificates and endorsements, for approval. c. SubGrantees The Grantee shall include all SubGrantees as insureds under its policies, or shall furnish separate certificates of insurance and policy endorsements for each SubGrantee. Insurance coverages provided by SubGrantees as evidence of compliance with the insurance requirements of this Agreement not provided by the Grantee, shall be subject to all of the requirements stated herein. 6of10 12. REPORTING. The Grantee shall provide King County the following: a. Quarterly reports are due within 15 days from the end of each quarter (March 31, 2018, June 30, 2018, September 30, 2018 and December 31, 2018). Quarterly reports shall include project development and implementation activities; quantities of food waste prevented or diverted as a result of project activities; if applicable, system inputs and outputs, laboratory testing results; qualitative and quantitative results of any Equity and Social Justice element; itemized budget expenditures; problems and any reason for delay; and other information and data relevant to the project. All quarterly reports should use the Quarterly Reporting Form, which will be provided by County, and are due no later than 15 days from the last day of the quarter. b. A Final Report using the Final Reporting Form, which will be provided by County, should include qualitative and quantitative assessments of the impacts of the project. The Final Report is due no later than 30 days from the fourth quarter (December 31, 2018). 13. NO PARTNERSHIP. The relationship between the Grantee and County is one of independent agency. Nothing in this Agreement shall be construed as creating a partnership, joint venture or other relationship. 14. NO ASSIGNMENT. Neither party shall assign any interest, obligation or benefit under or in this Agreement or transfer any interest in the same, whether by assignment or novation, without prior written consent of the other party. If assignment is approved, this Agreement shall be binding upon and inure to the benefit of the successors of the assigning party. 15. BINDING EFFECT. This Agreement shall bind and inure to the benefit of the Grantee and County and their permitted successors and assigns. 16. CHOICE OF LAW AND VENUE. This Agreement shall be interpreted and enforced in accordance with the laws of the State of Washington and the venue for any dispute arising out this agreement shall be King County Superior Court, King County, Washington. 17. NO THIRD PARTY BENEFICIARIES. This Agreement is intended solely for the benefit of the Grantee and King County. Nothing in this Agreement shall be construed to create any duty to, or standard of care with reference to, or any liability to, any person or business entity not a party to this Agreement. 18. NONWAIVER. Neither the Grantee's, nor King County's failure to enforce any right or obligation with respect to any matter arising in connection with this Agreement shall constitute a waiver as to that matter or any other matter. If a party at any time waives its rights with respect to a default under this Agreement or any other matters arising in connection with this Agreement, the waiver shall not be effective unless it is set forth in a written notice signed by the waiving party. A waiver with respect to one default or matter shall not be a waiver of any other default or matter. 19. NOTICE. INTERPRETATION. Every term and provision of this Agreement shall be construed simply according to its fair meaning and not strictly for or against either party. 21. SEVERABILITY. Whenever possible, each provision of this Agreement shall be interpreted to be effective and valid under applicable law. If any provision is found to be invalid, illegal or unenforceable, then such provision or portion thereof shall be modified to the extent necessary to render it legal, valid and enforceable and have the intent and economic effect as close as possible to the invalid, illegal, and unenforceable provision. 22. NON DISCRIMINATION AND PAYMENT OF LIVING WAGE a. Nondiscrimination and Equal Employment Opportunity i. Nondiscrimination in Employment. During performance of this Agreement, the Grantee agrees that it will not discriminate against any employee or applicant for employment because of the employee or applicant's sex, race, color, marital status, national origin, religious affiliation, disability, sexual orientation, gender identity or expression or age except by minimum age and retirement provisions, unless based upon a bona fide occupational qualification. ii. Equal Employment Opportunity Efforts. The Grantee will undertake, and require all SubGrantees to undertake equal employment opportunity efforts to ensure that applicants and employees are treated, without regard to their sex, race, color, marital status, national origin, religious affiliation, disability, sexual orientation, gender identity or expression or age. Equal employment opportunity efforts shall include, but not be limited to, the following: employment, upgrading, demotion or transfer; recruitment or recruitment advertising; layoff or termination; rates of pay or other forms of compensation; and selection for training, including apprenticeships. The Grantee agrees to post, and to require SubGrantees to post in conspicuous places available to employees and applicants for employment notices setting forth this nondiscrimination clause. In accordance with KCC 12.16.010.J, "equal employment opportunity efforts" shall mean active efforts to ensure equal opportunity in employment that is free from all forms of discrimination. Ref: KCC 12.16.020. iii. Equal Benefits to Employees with Domestic Partners. In accordance with King County Ordinance 14823, as a condition of award of a grant valued at $25,000 or more, the Grantee agrees that it shall not discriminate in the provision of employee benefits between employees with spouses and employees with domestic partners during the performance of this Agreement. Absent authorization for delayed or alternative compliance, failure to comply with this provision shall be considered a material breach of this Agreement, and may subject the Grantee to 8of10 administrative sanctions and remedies for breach. When the Agreement is valued at $25,000 or more, by signing the Agreement the Grantee is indicating compliance with this requirement or with the terms of an authorization for delayed or alternative compliance. iv. Nondiscrimination in Subcontracting Practices. During the term of this Agreement, the Grantee shall not create barriers to open and fair opportunities to participate in County contracts or to obtain or compete for contracts and subcontracts as sources of supplies, equipment, construction and services. In considering offers from and doing business with subcontractors and suppliers, the Grantee shall not discriminate against any person because of their sex, race, color, marital status, national origin, religious affiliation, disability, sexual orientation, gender identity or expression or age except by minimum age and retirement provisions, unless based upon a bona fide occupational qualification. v. Compliance with Laws and Regulations. The Grantee and all Sub Grantees shall comply fully with all applicable federal, state and local laws, ordinances, executive orders and regulations that prohibit discrimination. These laws include, but are not limited to, Chapter 49.60 RCW, Titles VI and VII of the Civil Rights Act of 1964, the American with Disabilities Act, and the Restoration Act of 1987. KCC chapters 12.16, 12.17 and 12.18 are incorporated herein by reference and the requirements in these code sections shall specifically apply to this Grant. The Grantee and all SubGrantees shall further comply fully with any equal opportunity requirements set forth in any federal regulations, statutes or rules included or referenced in the contract documents. vi. Compliance with Section 504 of the Rehabilitation Act of 1973, as amended (Section 504) and the American with Disabilities Act of 1990 as amended (ADA). Pursuant to Title II of the ADA, and Section 504, King County must not discriminate against people with disabilities in providing services, programs or activities even if those services, programs or activities are carried out by Grantees. The Grantee agrees that it shall provide all programs, services, and activities to County employees or members of the public under this Agreement in the same manner as King County is obligated under Title II of the ADA, and Section 504 and shall not deny participation of the benefits of such services, programs, or activities to people with disabilities on the basis of such disability. Failure to comply with this Section 21.a.vi shall be in a material breach of, and grounds for the immediate termination of, this Agreement. The Grantee agrees to provide to persons with disabilities access to programs, activities and services provided under the Agreement, as required by the disability access laws as defined by KCC 12.16. b. Nondiscrimination and Payment of a Living Wage In accordance with King County Ordinance 17909, as a condition of award for grant funds with an initial or amended value of $100,000 or more, the Grantee agrees that it shall pay and require all SubGrantee(s) to pay a living wage as described in the ordinance, to employees for each hour the employee performs a Measurable Amount of Work on this Agreement. The requirements of the ordinance, including payment schedules, are detailed at http://www.kingcounty.gov/depts/finance- business-operations/procurement/about-us/Living-Wage.aspx. FORCE MAJEURE. The Division is committed to the recycling of organic materials and the development of processing infrastructure that diverts non -edible food waste. The Division funds innovative strategies that prevent the wasting of food across the food supply chain. Through a request for proposal process, the City of Federal Way is awarded $24,500 to implement its Commercial Food Rescue Grant Program in calendar year 2018. Program Summary The goal of the City of Federal Way's Commercial Food Rescue Grant program is to decrease the amount of food waste generated by food service establishments, including but not limited to restaurants, grocery stores, school districts and food distributors. County -wide, these establishments send 85,000 tons of food waste to the Cedar Hills landfill each year, with approximately half of this tonnage considered edible food. The City of Federal Way (hereafter City) will use this grant to encourage diversion to the highest use according to the EPA food recovery hierarchy, including donation/rescue of edible food. The City will also encourage diversion of inedible food wastes as compost feedstock. This scope of work summarizes how King County's grant will increase the City's capacity to initiate and support food waste reduction practices at local food service establishments. Food Waste Reduction Federal Way is home to approximately 230 food service establishments. Of these, less than 20 divert their food waste to composting or digestion. This grant program will provide resources and training to encourage those food service establishments that are currently composting to move up the Food Recovery hierarchy and start donating any edible food. The grant program will provide resources and training to encourage those food service establishments that are currently not composting to begin composting, and if possible, later move up the Food Recovery hierarchy and start donating any edible food. The grant program goal is that at least 15 food service establishments will start food diversion programs; with the first group focusing on rescue of edible food, and the second focusing on composting inedible food and later, rescue of edible food, if possible. City staff will develop and distribute promotional materials such as individualized "tool kits", flyers, posters, and focused multi -media campaigns to engage targeted food service Page 1 of 4 establishments. City staff will also create and give presentations to targeted food service establishments to increase awareness about how to participate in local food rescue programs. Materials and presentations will address the common barriers and questions such as liability concerns, tax deductions, space constraints and reliability of pickup. The City's Commercial Food Rescue Grant Program will provide reusable containers for restaurants and food service establishments to store edible food to be collected by hunger -relief organizations. The Grant Program will also provide labeled interior collection containers to food service establishments starting or expanding composting programs for inedible food. Increasing Capacity to Repurpose Food This Grant Program will also focus on building more capacity for hunger -relief organisations to accept edible food donations. City staff will work with local not-for-profit food recovery organizations to help them overcome barriers for accepting perishable food donations and build their long-term capacity to support food waste reduction. City staff will create and distribute flyers and recruitment materials to attract new volunteers for hunger relief organizations in order to increase the capacity to pick up and serve donated food. City staff has identified eleven hunger -relief organizations in Federal Way which can be classified into three main types: food bank/pantry, soup kitchens, and sack lunch distribution. There are similarities between these three types, but each organization faces unique barriers for increasing their capacity to manage more food rescue donations. All local hunger -relief organizations interested in receiving additional donated food will be provided with assistance deemed eligible under this Grant Program. Specific training, resources and supplies may vary to suit the needs of each agency. The Grant Program will also help hunger -relief organizations to divert any inedible food from the landfill and instead send it to a composting facility. City staff will provide volunteer training, interior collection containers, signage and assistance with setting up collection services. By increasing efficiency with recruitment and program setup, this Grant Program will also provide City staff with long-term capacity to support food rescue and diversion efforts as part of the City's recycling waste reduction and recycling program. Program Outcomes The City of Federal Way expects that implementation of the grant tasks will increase diversion of edible food by at least 10 tons during the grant period. Identify solutions to barriers based on input from these organizations as well as food service establishments. Implement grant -eligible solutions. c. Recruit volunteers for food collection and hunger -relief organizations through Federal Way's volunteer recruitment system. d. Procure containers and other durable supplies to provide capacity to transport and store edible food donations. e.
