1. These Terms and Conditions, the Statement of Work (SOW) attached as Exhibit A, the SeeClickFix Operational
Overview attached as Exhibit B, and the SeeClickFix Data Retention Policy attached as Exhibit C, consMLite the entire
agreemeit ("Agreement") of GivicPlus and the City of Federal Way ("Parties").
2. The subscription described herein shall have an initial term beginning with mutual execution of this forn-, `she "Effective
Date") and ending August 28, 2021. In the event that neither Darty gives 60 days' notice to terminate prior to the end of the
initial or any subsequent Renewal Term, this Agreement will automatically renew for an additional one-year renewal term
("Renewal Term"), for up to lour Renewal Terms total, 1-,nding on August 28, 2025. The Initial Term Fee of $44,000 (sum of
One Time Costs, and Annual Recurring Costs) for the initial terrn shall be invoices, at signing. Renewal Term Recurring Costs
as defined in Exhibit A for any renewal terms shall be invoiced an the first clay of su,;h Renewal Term beginning August 29,
2021.
3. All prices for software or services billed under this Agreement are reflected on the SOW attached as Exhibit A to this
Agreement, which is incorporated by reference.
4. The Recurring Costs herein are for a maximum of 120 user licenses for CP Connect. Client may purchase additional
licenses for individual users ("User Licenses") at the annual rate of $1,000 per User License. Upon purchase of additional
User Licenses, Clients Annual Services fee shall be increased from the time of purchase, reflecting the additional User
Licenses and prorated to align with the Client's billing cycle.
5. The Phone Services (Voice/SMS) with unlimited lines, unlimited recordings (as further described herein), and up to
3000 minutes per user license per month and 500 SMS per user license per month. If phone usage (voice/SMS)
exceeds the set usage amounts included herein, additional minutes and additional SMS will be invoiced in arrears to the
client at $0.01 per minute and $0.01 perSMS.
6. The number of phone recordings and file size of phone recordings through CP Connect are unlimited. CivicPlus will
store the phone recordings for up to 3 years and purge all recordings over 3 years old. Client understands it is Client's sole
responsibility to download and store recordings prior to the third year.
7. Client understands that CP Connect does not collect, and discourages Client from collecting, any personally
identifiable information ("PII") of the requesting citizens. In the event Client does collect PII, Client, and not CivicPlus, shall
be solely responsible for the collection of such PI I.
8. Client allows CivicPlus to display a "Government Websites by CivicPlus" insignia, and web link at the bottom of their
web pages. Client understands that the pricing and any related discount structure provided under this SOW #1 assumes
such perpetual permission.
9. The Client will be invoiced electronically through email. Upon request CivicPlus will mail invoices and the Client will
be charged a $5.00 convenience fee.
10. Client agrees to use CP Connect service (the "Service") in ways that conform to all applicable laws and regulations.
Client agrees not to make any attempt to gain unauthorized access to any of CivicPlus' systems or networks. Client agrees
that CivicPlus shall not be responsible or liable for the content of messages created by Client, or by those who access
Service, or otherwise delivered by Service on behalf ofClient.Client Data is hereby defined as any data, information or
material that Client submits to the Service in the course of using the Service. User Data" or "User Content" is hereby
defined as any content including words, photos and videos by members of the public that access the Service.
11. CivicPlus does not own any Client Data. Client, not CivicPlus, shall have sole responsibility for the accuracy,
quality, integrity, legality, reliability, appropriateness, and intellectual property ownership or right to use of all Client Data,
and CivicPlus shall not be responsible or liable for the deletion, correction, destruction, damage, loss or failure to store any
Client Data, unless it fails to follow data retention and security policies described in Exhibits B and C. CivicPlus will not

intentionally withhold, remove and/or discard Client Data for breach of contract without first giving Client 30 days' notice and
an opportunity to cure. In addition, Client shall, at all times during the life of this SOW have the right to export any existing
data which qualifies as a public record under Washington state law. In accordance with Exhibit B, upon termination for
cause, Client's right to access Client Data shall be maintained for 90 days, after which it immediately ceases, and CivicPlus
shall have no obligation to maintain or forward any Client Data. CivicPlus shall use commercially -reasonable methods and
practice to safeguard Client data stored on any CivicPlus system.
12. CivicPlus will provide unlimited telephone support Monday -Friday, 7:00 am — 7:00 pm (Central Time) excluding
holidays, for authorized callers. Client is responsible for providing CivicPlus with authorized caller contact updates.
13. Support includes providing technical support and technical maintenance of the CP Connect software. Following initial
setup, additional setup support may be contracted separately for an additional fee.
14. During the period of this Agreement and subsequent Renewal Periods, CivicPlus warrants that it will, without additional
charge to the Client, take action to correct any problems or defects discovered in the CP Connect software and reported to
CivicPlus by the Client, such warranty to include ongoing maintenance upgrades and technical error correction.
15. TO THE MAXIMUM EXTENT PERMITTED BY LAW, NEITHER CIVICPLUS NOR CLIENT SHALL BE LIABLE FOR
SPECIAL, INCIDENTAL, OR CONSEQUENTIAL DAMAGES OF ANY KIND INCLUDING, BUT NOT LIMITED TO, LOST
PROFITS, OR LOST DATA, REGARDLESS OF THE FORESEEABILITY OF THOSE DAMAGES, ARISING OUT OF OR IN
CONNECTION WITH CLIENT'S USE OF CP CONNECT. IN NO EVENT SHALL EITHER PARTY'S AGGREGATE LIABILITY
FOR DIRECT DAMAGES ARISING OUT OF A BREACH OF CONTRACT OR WARRANTY EXCEED THE AMOUNTS
ACTUALLY PAID BY CLIENT IN THE 12 MONTH PERIOD IMMEDIATELY PRECEDING THE EVENT GIVING RISE TO THIS
CLAIM.
16. Each party represents and warrants that it has the legal power and authority to enter into this Agreement. CivicPlus
warrants that all Service provided in accordance with this SOW is free from material defects, performs in accordance with its
end-user documentation when used as designed, does not infringe on the intellectual property rights of third parties, and that
any software included in the Service does not contain viruses or malware. CivicPlus will use commercially reasonable efforts
to maintain continuous access but will not be responsible for events beyond CivicPlus' control.
17. The Parties agree that any dispute or controversy arising out of or in connection with this Agreement shall be referred
to arbitration for final and binding resolution to the maximum extent allowable by law. Either Party to this Agreement may
initiate arbitration of the dispute by the filing of an application for resolution by one arbitrator appointed by and in accordance
with the rules of the American Arbitration Association. The arbitration shall be conducted in the city and state in which the non -
filing Party is located, but the Parties agree that counsel and witnesses for all Parties may appear remotely, by live video feed
(Zoom, Skype, or a similar service). The award in the arbitration shall be final, binding and non -appealable. The award may
be entered as a final, non -appealable judgment in any court having jurisdiction in Washington state or Kansas. Each Party will
bear their own costs and attorneys' fees arising out of the dispute and will split the cost of the arbitrator's fees.
18. The laws of the United States and the State of Washington shall govern this Agreement, without regard to conflicts of
laws principles.
19. The parties agree that CivicPlus shall be the sole and exclusive owner of any and all software, materials or other
original works created by or licensed to CivicPlus prior to the execution of this Agreement and that the City will refrain from
any actions which interfere with those ownership rights or exceed the scope of its license as defined by this Agreement.

sell, resell, reproduce, transfer, assign, distribute or otherwise commercially exploit or make available to any third party any
CivicPlus Property in any way; (ii) modify or make derivative works based upon any CivicPlus Property; (iii) create Internet
"links" to the CivicPlus Property software or "frame" or "mirror" any CivicPlus Property administrative access on any other
server or wireless or Internet -based device; or (iv) reverse engineer or access any CivicPlus Property in order to (a) build a
competitive product or service, (b) build a product using similar ideas, features, functions or graphics of any CivicPlus
Property, or (c) copy any ideas, features, functions or graphics of any CivicPlus Property. The CivicPlus name, the CivicPlus
logo, and the product and module names associated with any CivicPlus Property are trademarks of CivicPlus, and no right or
license is granted to use them.
21. Provided Client complies with the terms and conditions herein, the relevant SOW, and license restrictions set forth in
Section 21, CivicPlus hereby grants Client a limited, nontransferable, nonexclusive, license to access and use the CivicPlus
Property associated with any valid and effective SOW associated with this Agreement, for the term of the respective SOW.
22. CivicPlus will not be liable for any act, omission of act, negligence or defect in the quality of service of any underlying
carrier, licensor or other third -party service provider whose facilities or services are used in furnishing any portion of the
service received by the Client.
23. CivicPlus will not be liable for any failure of performance that is caused by or the result of any act or omission by
Client or any entity employed/contracted on the Client's behalf.
24. CivicPlus will provide, on a hosted, software -as -a -service basis, access to the Services described in the SOW, via
mobile applications, internet, and an embeddable interactive widget for public reporting, alerts on discussing non -emergency
issues ("the Software"). Users will be able to interact with the Software and post User Content as defined above. CivicPlus
may not be able to control the nature of the User Content. CivicPlus reserves the right, not the obligation, to edit User
Content.
25. The parties agree that scanned, copied, or electronic signatures shall have the same legal effect as originals.
26. If any provision of this Agreement shall be determined to be invalid or unenforceable, such invalidity or unenforceability
shall not affect the remainder of this Agreement, which shall be construed as if such invalid or unenforceable provision had
never been a part of this Agreement but in a manner so as to carry out as nearly as possible the Parties' original intent.

the provision of services outlined in this Agreement.

Exhibit B — SeeClickFix Data Retention Policy
SeeClickFix Data Retention Policy
This policy documents how SeeClickFix stores and maintains data associated with organizations and their
members (Members). The Data Categories section defines the categories of data covered by this policy
statement. The Data Storage section provides an overview of our data storage practices associated with
disaster recovery. The Data Retention section outlines how long we maintain data on oursystems and when
we purge data. The Data Export section describes how an organization may obtain copies of their data.
Data Categories
Public Data: Content uploaded to the service and accessible without authentication or restriction. This includes
access via mobile apps, web pages, or API access. Examples include issues, public comments, and
organizational notices. Public data can be created by Users and Members.
Protected Data: Content uploaded to the service and accessible only to authenticated users with proper
authorization. This includes authenticated access via mobile apps, web pages, or API access. Examples
include: private issues, internal comments, work orders, and user profiles. Protected data can be created by
Users and Members.
System Data: Contentthat is generated internally through the regular operation of the service. Examples include
logs and analytics. System data is only available to authorized SeeClickFix staff.
User Data: Public or protected data that is created by a particular User.
Organizational Data: Public or protected content that is associated with a particular organizational account. This
includes data created by Users as well as data created by Members. This category would include all issues
reported to the organization (public and private), comments, internal comments, work orders, organizational
notices, and soon.
Data Storage
Public and protected data as well as some system data is stored in a primary database and replicated
continuously to a secondary database. A full backup of this data is made every four hours to a geographically
separate data center. The secondary database and backups exist for operational and disaster recovery
purposes and are not intended to be part of the general data retention policy. When data is purged from our
production systems, it is not commercially feasible to purge it from backups stored for disaster recovery
purposes. In the event that the backups are required to restore data to our production systems, SeeClickFix
will make all reasonable efforts to exclude data that was previously purged (e.g., accounts that are inactive).

Data Retention
Active Accounts: User and Organizational Data is retained indefinitely while the accounts are active.
User AccountTermination: Public user data associated with a terminated useraccount is retained for at least 90
days, but may be retained indefinitely as per the rights granted to SeeClickFix in the Terms of Service.
Public and protected data that is associated with an organizational account is considered part of the
Organizational Data and retained according to the organization policy below irrespective of the status of the user
account.
Organizational Data Purge Requests: Upon request, SeeClickFix will purge Protected Organizational Data
that exceeds the data retention lifetime as defined by the organization. SeeClickFix may retain Public Data
associated with the purged Organizational Data and may exclude data that is required for the service to
operate (e.g., data associated with open issues or open work orders).
Organization AccountTermination: Organizational data associated with a terminated organizational account
is retained for at least 90 days. Public data may be retained indefinitely as per the rights granted to SeeClickFix
in the Terms of Service. Protected data may be purged by SeeClickFix after 90 days. SeeClickFix will make
reasonable efforts to ensure the data has been exported and stored by the organization before purging the
data from our systems.
Data Export
Organizations may exporttheir Organizational Data via the product export features orAPI at any time priorto
account termination. Some Organizational Data is not currently available through the product export
mechanisms and can only be accessed via the API services (API -only data). This currently includes comments
and images associated with issues and work orders.

Upon request and when an account termination is planned or has already occurred, SeeClickFix will make
available a complete export of Organizational Data including data that is not included in the product export

days, organizational data may be purged by SeeClickFix and may not be recoverable. The data will be
provided in one or more files and in a non-proprietary format (e.g. zip files, CSV files, open -source database
dumps).
