Because of the widening of Pacific Highway, the Soundview Apartment signs at approximately Pacific Highway
and 284th will be impacted. You have proposed to replaced two of the signs on Pacific Highway with a V-shaped
sign in a raised planter area. The sign cannot meet the required setbacks of 5 feet.
Under section 22-335 Nonconforming Signs (i) Government acquisition of property for right-of-way, the sign can
be within the required setback. In this case the sign will be set back 3 feet and can meet all the criteria under
Section 22-335 (i) a-d.

This is to summarize our agreement regarding the above -referenced property. Payment for your
property and/or property rights is contingent upon. final approval by the Federal Way City
Council.
The City of Federal Way and Owner(s), agree to the following:
I. purchase price is $45,800.00. This price includes the purchase of 3,702 SF of land in fee
($24,100.00); a permanent right of way and utilities easement of 1,306 SF ($1,700.00); the
purchase of landscaping ($9,750.00) and asphalt paving ($1,350.00) which are in the right of
way acquisition area; damages ($8,900.00) to move two signs out of the right of way
acquisition area.
2. The Grantor will not be required to pay for any transaction costs, excise fees or recording
fees.
3. The Grantor will relocate the signs and all related equipment and/or fixtures, and
acknowledges payment of $8,900.00 as part of the award of Just Compensation for this
purpose.
4. The Grantor has signed a Fixture Removal Agreement in reference to signs and agrees to its
terms.
5. The City agrees to give notification to the Grantor two weeks before start date of retaining
wall construction. Grantor shall have two weeks following the notification to remove the
fixtures, which are the subject of the Fixture Removal Agreement.
6. The Grantor and the City agreed that the two sets of meeting notes, dated 4/22l05 and
5/26/05 and attached hereto as Exhibit A, are accurate as to details discussed in those
meetings
7. The Grantor and the City agree that the planned improvements attached hereto as Exhibit B,
are accurate as to details discussed and agreed upon.
8. Any design changes to Exhibit B are to be agreed upon by both parties in writing.
9. No provision of this Agreement, including this provision, may be amended or modified
except by written agreement signed by the Parties.

It is understood and agreed that upon opening escrow and depositing the full amount of the
above -referenced Property Voucher into an interest bearing account, the deed and easements will
be immediately recorded at the King County Auditor's office. Payment to the Owner(s),
including any interest accrued, will not be made until clearance of all liens and encumbrances on
the property to be conveyed to the City of Federal Way. Clearance of all liens and encumbrances
shall be at the sole expense of the City of Federal Way. Grantor will cooperate in clearing liens
and encumbrances at no cost to Grantor.

Meeting Notes
4/22/05
The following are meeting notes from the April 22, 2005 meeting at Federal Way City
Hall at 11:00 AM. Attending the meeting were the following:

The purpose of the meeting was to discuss the City of Federal Way's design of the
proposed improvements to Highway 99 adjacent to the existing Soundview Apartments,
located at 28405 18'h Avenue S., Federal Way, Washington.
- Crystal and Doug ( SV ) expressed concern about new street lights shining into
apartments at Soundview apartments at night. Marwan and Brian ( FW ) indicated
that standard City street lights would be installed that shine downward and do not
cast light to the side, thus eliminating the concern.
SV asked about new power line design in connection with the proposed street
improvements. FW indicated that all but high voltage lines would be
undergrounded.
SV expressed concern about the new retaining wall along highway 99, which will
take the place of the existing grass bank and hedge. FW indicated that it will be
installing a shoring way at the new property line, which will consist of soldier piles
spaced every ten feet or so, wood lagging between the piles, all of which will be
faced with concrete with a fractured fin concrete finish. Above the wall be a 42 "
high traffic barrier parapet wall. The wall will be installed quickly with a minimum
of disruption to the existing Soundview parking lot. The traffic barrier wall will
serve to reduce sound from highway 99. SV appreciated this design approach and
realized the expense the City was incurring to minimize disruption to Soundview
Apartments.
SV asked how the existing parking lot asphalt would be left at completion of the
new shoring wall. FW indicated that its contractor would saw cut the asphalt prior
to construction, and then replace the disturbed section of asphalt, perhaps ten feet
wide all along the new wall, at completion. In addition, the contractor would fill in
the abandoned north entry to the parking lot with suitable soil and pave that section
as well. The resloped south access would also be repaved.

SV asked how its existing signage would be treated. PW indicated that the two
existing signs would have to be relocated behind the new parapet wall; that Public
Works would coordinate with the FW Sign Department to facilitate raising the signs
above the new parapet wall so that visibility from highway 99 would be maintained.
SV, in a telecom on April 28, indicated that it would like to maintain the two
existing landscape islands where the signs are currently located, and simply relocate
and raise the signs. FW agreed. FW indicated that SV should bring to the
appraiser's attention the cost of moving and raising the two signs, and that SV
should be compensated for this expense.
In connection with the construction of the new shoring wall, which is scheduled in
2006, SV asked for two weeks notice in order to alert tenants and minimize
disruption. FW agreed.
FW indicated that it will request right of entry from SV for shoring wall construction
and that SV should bring this to the attention of the appraiser. SV agreed.
The meeting adjourned at 12: 15 PM with pledges of mutual cooperation between FW
and SV.
5/26/05
The following are meeting notes from the May 26, 2005 meeting at Federal Way City
Hall at 10:00 AM. Attending the meeting were the following:

The purpose of the meeting was to follow up on the initial meeting of April 22, 2005
regarding the City of Federal Way's design of improvements to Highway 99 adjacent to
the existing Soundview Apartments located at 28405 18'h Avenue S., Federal Way,
Washington.
Having further reviewed the existing four entrances to Soundview Apartments,
Marwan suggested that both entrances on 18'h Avenue S. remain. The south
entrance can be improved with a sliding gate if desired, to deter neighbors from
dropping off used appliances and furniture
As the north entrance to Soundview along Highway 99 will be eliminated as part
of the City, s improvements, a total of three entrances to Soundview will remain.
A Soundview sign already exists at the north entrance on 1 S Avenue S. The City
Sign Department allows one sign per entrance. Thus, the Sign Department will
allow a two sided sign to be placed at the south entrance to Soundview along
Highway 99. Brian produced a drawing depicting the two sided sign.

The Sign Department will not allow the existing Soundview signs to be raised up
above the new parapet wall, once it is constructed by the City. However, Brian
indicated that the City will raise the existing planter island adjacent to the south
entrance to Soundview along Highway 99 three and one half feet to be level with
the new parapet wall. The raised planter will be retained by landscape concrete
blocks similar to those that currently exist at the entry steps to the Soundview
rental office. The two sided Soundview sign can then be placed at ground level on
top of the raised landscape planter. This location will provide good visibility for
northbound and southbound traffic on Highway 99.
Marwan requested that Soundview/Kirkland Associates place the two sided sign.
He indicated that S/K will be paid for that expense as part of the purchase of the
ten foot strip of land the City desires to purchase from S/K along Highway 99
adjacent to the Soundview Apartments. Doug agreed to this approach.
In a telecom between Brian and Doug on June 1, 2005, Brian agreed that the City
will relocate the existing planter island at the north entrance to Soundview along
Highway 99. pace the existing entrance is replaced by a shoring wall
improvement, the planter island will be reestablished at the north property line of
Soundview. Additionally, Doug agreed that Soundview/Kirkland Associates will
take responsibility for re stripping the existing parking lot along Highway 99 in a
manner consistent with the current parking configuration, perpendicular to
Highway 99, once improvements are completed by the City.
Brian agreed to provide Doug with updated drawings that reflect the design
decisions that are indicated above in both sets of meeting notes. The drawings are
anticipated in 30 to 60 days.

Soundview/Kirkland Associates, LLC. The two set of meeting notes will also be
attached. Appraisals and the offer are scheduled for August/September, 2005.
Doug indicated that he would have an attorney review the offer before signing.
Brian added that he recommended that we agree to have the City widen our south
entrance to Soundview along Highway 99 as part of the improvements. Brian
indicated that the existing entrance is 22 feet wide and that a 30 foot entrance
would be more safe. Doug agreed to a 30 foot wide entrance.
Marwan closed the meeting by stating that all issues between the City of Federal
Way and Soundview/Kirkland Associates, LLC. had now been resolved with
respect to the widening of Highway 99 adjacent to the Soundview Apartments -
