[R.V 11111111 Parcel # 092104-9164-05 ~ ~-~~\ LICENSE AGREEMENT FOR TEST BORING This License is made on the - day of , 2000 between Chevron USA, Inc., whose address is CREMCO, 575 Market St, Suite 3106, San Francisco, Califomia, 94105, hereinafter referred to as "Licensor" and, CITY OF FEDERAL WAY, 33530 1st Way South, Federal Way, Washington 98003, hereinafter referred to as "Licensee", 1, 2. RECITALS 1.1- Licensor owns a leasehold estate in and to that certain property (the .Property") located at 31202 Pacific Highway South, Federal Way, Washington, 98003. The Fee owner of the Property is Chevron USA, Inc., whose address is CREMCO, 575 Market St. Suite 3106, San Francisco, Califomia, 94105, hereinafter referred to as "Fee Owner. ft Licensee desires to drill three son borings and/of groundwater monitoring wells (the "wells") on portions of the property depicted on Exhibit "Aft attached hereto and made a part hereof. The parties desire to enter into this License Agreement to allow Licensee to install the said wells on the Property. 1.2- 1.3- AGREEMENT Now, therefore, in consideration of the mutual covenants and agreements herein contained, the parties hereto do hereby covenant and agree to and with each other as follows: 3. TERMS 3.1 3.2 3.3 3.4 3,5 Licensee may enter the Property to install, use, and abandon at its sole cost and expense the wells, provided, however, that the installation of the wells shall be completed prior to AM/PM on the date of commencement of installation or at such other times as may be designated by the Licensor so as to least disrupt Licensor's business operation; and Licensee shall notify Licensor at least 48 hours in advance of the date of such installation. The wells shall be installed and completed at the specifIC location shown in Exhibit "Aft, The wells shall be constructed and maintained in accordance with all regulations and requirements set forth by appropriate Federal, State and Local agencies, and all applicable laws, and shall incorporate a locking well cap. Licensor agrees that immediately following completion of the wells, soil, water and other materials resulting from well construction will be removed from the Property at Licensee's sole cost and expense, and shall be disposed of In accordance with all laws, regulations and requirements applicable thereto, Following installation of the well, Licensee may, upon 24 hour prior notifICation to Licensor, enter the Property to sample and test the groundwater at the well locations, Licensee agrees not to permit any liens of Licensee's agents or contractors to stand against the Property for work done or for material fumished to Licensee, and Licensee agrees to indemnify and hold Licensor and Fee Owner harmless from any liens of Licensee's agents or contractors. Licensee agrees to take all appropriate actions to identify utility lines or other subsurface structures prior to commencement of dnlling operations. Any damage to utility lines or other subsurface structures as a result of well installation shall be the sole responsibility of the Licensee, including costs for necessary repair or replacement. Page 1 of 2 ORIGINAL Parcel # 092104-9164-05 3.6 3.7 3.8 3.9 3.10 3.11 3.12 3.13 If the surface of the licensed area and/or the surface of Licensor's adjacent real property and/or improvements thereto shall be disturbed by the installation or use of the wells, then said surface and/or improvements shall be promptly restored by Licensee to their condition just prior to such disturbance. After the wells are no longer useful to the investigation (or upon termination of this License Agreement, whichever occurs first), Licensee shall abandon and/or destroy the wells in compliance with all laws, regulation and requirements applicable thereto. Licensee agrees that any waste, hazardous or otherwise, resulting from Licensee's installation, operation or destruction/abandonment of the wells shall be immediately removed from the Property by Licensee. Licensee agrees to indemnify, defend and hold harmless Licensor and Fee Owner from all liability, damage, e~nse, causes of action, suits, claims or judgments resulting from injuries to persons or damage to property which arise out of or in connection with any act or omission of Licensee, its agents, independent contractors, and employees pursuant to this License Agreement. Licensee agrees to furnish Licensor and Fee Owner with copies of all test results and reports pertaining to the wells within sbdy (60) days after completion of well installation, and promptly thereafter as additional results and reports are prepared. This License Agreement shall not constitute a deed or a grant of easement and shall not be deemed irrevocable or an easement by virtue of the work performed under or by reason of this license. This License Agreement shall be for a term of 90 days after execution of this agreement. This license Agreement may be e)dended for additional periods of time upon the mutual written agreement of the Licensor and Licensee. Licensor represents and warrants that it has full authority from Fee Owner to allow Licensee to conduct the activities set forth in this License Agreement, and agrees to indemnify and hold Licensee harmless from and against any claims or suits by Fee Owner against Licensee alleging that Licensee did not have the authority to conduct such activities.
