O"'G'NATING 8TA"" LO492 (Rcv 6/951 ~ ~- \~ AGREEMENT BETWEEN THE CITY OF FEDERAL WAY, THE HISTORICAL SOCIETY OF FEDERAL WAY, AND THE FRIENDS OF THE WEST HYLEBOS WETLANDS FOR DESIGN, DEVELOPMENT AND CONSTRUCTION OF HISTORIC CABINS PARK This Agreement ("Agreement") is dated effective this ~ day of August, 2000. The parties ("Parties") to this Agreement are the City of Federal Way (hereinafter "City"), a Washington municipal corporation, the Historical Society of Federal Way ("Society"), a Washington nonprofit corporation, and the Friends of the West Hylebos Wetlands ("Friends"), a Washington nonprofit corporation. 1. The Society's principal function is to research, record, preserve and educate the public regarding the history of greater Federal Way. 2. The Society is owner of two historical cabins commonly known as the Denny Cabin and the Barker Cabin ("Cabins"). 3. The City is the owner of certain real property commonly known the Historical Cabin Park, located at 411 South 348th Street, Federal Way, Washington, 98003, and legally described in Exhibit A attached hereto and incorporated by this reference ("Park"). 4. Pursuant to an Agreement entered into December 6, 1993, the Society placed and is presently restoring the Cabins in the Park. 5. The City desires to improve access and to have an interpretive center at the Park, incorporating the Cabins' historical features and the State Hylebos Wetlands adjoining the Park. 6. The Friends is a non-profit volunteer support organization supporting the West Hylebos State Park and an advocate organization for wetlands and other ecological features of the Hylebos watershed. 7. The development of the Park provides the unique opportunity to combine the resources of the City, the Society, the Friends, and the State Parks to develop the historical site and also secure a suitable entry to the West Hylebos State Park and improved parking, interpretive, and restroom facilities at a level, quality and cost efficiency greater than if either entity individually developed its projects. NOW, THEREFORE, the Parties agree as follows: - 1 - ORIGINAL 1.1 1.2 1.3 1.4 1.5 1.6 1.7 1.8 2.1 2.2 I. DEFINITIONS The following definitions shall apply to this Agreement: City - The City of Federal Way. Society - The Historical Society of Federal Way. Friends - The Friends of the West Hylebos Wetlands. Cabins - The Denny Cabin and the Barker Cabin. Park - Certain real property located at 411 South 348th Street, Federal Way, Washington, 98003, and legally described in Exhibit A attached hereto and incorporated by this reference. Contractors - Any contractor contracted by the City to carry out the purposes of this Agreement. Parties - Shall indicate joint reference to the City of Federal Way, the Historical Society of Federal Way, and the Friends of the West Hylebos Wetlands. Project - The project involves phases of construction ofthe Park including planning, permit acquisition, design, landscaping, renovation of the cabins, and construction of the link to the current State Park trail system which will be completed as funds become available. The construction of an accessible trail ITom the City Park site to the State Park wetlands is an essential element. The trail must be completed before reimbursement under Section 7.2. II. OBJECTIVE The objective ofthis Agreement is to design and construct a City park that will also serve as the entrance to the Hylebos State Park. The Park will include two or more historic Cabins installed and maintained by the Society, and be designed, landscaped and maintained to illustrate and explain pioneer life of the era represented by the Cabins. The Park will contain an interpretive center designed and maintained by the Society relating to the pioneer exhibits in the Park and other Society activities, and another interpretive center designed and maintained by the Friends that contains exhibits and information relating to the Hylebos State Park and other Friends activities. The Park will be used for passive recreation and education, and to provide a suitable setting for classes and demonstrations of activities typical of pioneer life and of natural sciences and studies suitable to the site. - 2 - 3.1 3.2 3.3 4.1 4.2 4.3 4.4 4.5 4.6 5.1 III. DESIGN PHASE The Friends shall be responsible for supervision of the design and permitting phase ofthe project [in consultation with the other Parties]. The City shall be responsible for the preparation of any bidding documents, the bidding process and shall award any bid for the Project. The City shall execute any and all contracts for the construction phase of the Project. IV. APPLICATION PROCESS The Project shall be developed pursuant to all applicable federal, state and City laws, codes, regulations, and ordinances ofthe City of Federal Way. Specifically, the development of this site is subject to the provisions of Process III, Chapter 155 ofthe Federal Way Zoning Code, which shall address the development of the Park. This Project is subject to review under the State Environmental Protection Act (SEP A). Pursuant to WAC 197-11-926, if two (2) or more agencies share in the implementation of a proposal, the agencies shall by agreement determine which agency shall be the lead agency. Pursuant to WAC 197-11-944, the Parties hereby designate the City as the nominal lead agency, whereby the City shall be responsible for complying with the duties of the lead agency under all applicable SEPA rules. The City shall be responsible for preparing the SEP A checklist and associated documents. The Parties shall share costs associated with SEP A compliance. The Society and the Friends agree to provide any necessary assistance to the City in connection with the application process. The Parties agree to cooperate and enter into all necessary agreements to carry out any mitigation conditions imposed as a result of the SEP A review process, which are not contemplated within the terms ofthis Agreement. Plan approval for the Project shall be complete upon the conclusion of the SEP A process and approval of Plan, including any required mitigation and upon completion of State Parks reVIew. V. PRE-CONSTRUCTION PHASE Following all approvals described in Section 4.6 herein, the Friends in consultation with the other Parties will prepare the final construction plans and specifications. - 3 - 5.2 5.3 5.4 6.1 6.2 7.1 7.2 7.3 The City shall be responsible for overseeing and coordinating the bidding phase. This coordination shall include being named as the party to whom the bids will be submitted. The City shall attend the bid opening and review bid proposals. The City shall review the Contractor qualifications regarding award of contract. Bid awards shall be made to the lowest responsible, responsive bidder for the total Project, subject to applicable laws and regulations. Ifno bids are received for the Project, which in the estimate ofthe City are acceptable to the City, all bids may be rejected and the City may elect to rebid. VI. CONTRACT ADMINISTRATION The City shall provide and bear the cost incurred for the necessary administrative inspection and clerical services necessary for the execution of the Project, except for the restoration of the Cabins. The Society shall provide and bear the cost incurred for the necessary administrative inspection and clerical services necessary for the restoration of the Cabins. VII. PROJECT PAYMENT The Friends have received a grant from King County in the amount of forty-nine thousand dollars ($49,000) toward this Project. The Friends have assigned ten thousand dollars ($10,000) of the grant amount to the Society. The Friends will use the remaining thirty-nine thousand dollars ($39,000) to fund the design ofthis Project. The capital budget for the Washington State Parks and Recreation Commission, as described in Chapter 379, Laws of 1999, Section 325 (3), states: Fifty thousand dollars ($50,000) of the State building construction account is provided solely for parking and trails system improvements at West Hylebos State Park. The Commission will provide the money to the City of Federal Way through a separate agreement between the Commission and the City. The funding will be available on a reimbursement basis, based on mutually satisfactory completion of the Project scope. The Society has received ten thousand dollars ($10,000) from the Friends for restoration of the two Cabins. The Society will contract, supervise and fund the restoration improvements. - 4 - 8.1 8.2 8.3 8.4 8.5 8.6 9.1 9.2 VIII. OPERATIONS AND MAINTENANCE Upon final completion and acceptance of the construction of the Project, the City shall continue to operate and maintain the Park. The Society shall continue to maintain and repair the exterior and the interior ofthe Cabins in accordance with all applicable laws and as necessary to maintain the Cabins in good condition and repair, and maintain their suitability for public use. The Society shall be responsible for all janitorial services supplied to the Cabins, which services shall be at the election of the Society. The Society shall develop and maintain an historical interpretive center in the Denny and Barker cabins, when funds and resources are available. The Society agrees that it will not charge a fee to the public to enter the Cabins. In the event that the City agrees in writing to the charge of a fee, the City shall be entitled to retain an agreed upon percentage from any such approved fee; provided, however, that the Society shall be entitled to one hundred percent (100%) of all donations clearly directed to the Society. The Friends agree to maintain an interpretive center in the Park. No fee shall be charged, the Friends shall be entitled to receive one hundred percent (100%) of all donations clearly directed to the Friends. IX. INSURANCE Amount. It is hereby understood and agreed that the Parties shall obtain and maintain general liability insurance in an amount not less than ONE MILLION AND NOll 00 DOLLARS ($1,000,000) single limit liability. Certificate. The City shall provide the Society and the Friends with a certificate of general liability insurance naming the Society and Friends as an additional insured and showing proof of the required insurance coverage. Insurance coverage shall be maintained at all times. GENERAL PROVISIONS This Agreement shall be for a term often (10) years, commencing upon the effective date of this Agreement and terminating ten (10) years thereafter ("Term"). This Agreement may be extended for additional periods of time upon the mutual written consent of the Parties. Each Party agrees to indemnify and hold the other Party, its elected officials, officers, employees, agents, and volunteers harmless ITom any and all claims, demands, losses, actions and liabilities (including costs and all attorney fees) to or by any and all persons or entities, including, without limitation, their respective agents, licensees, or representatives, arising ITom, resulting ITom, or connected with this Agreement to the extent caused by the negligent acts, errors or omissions of the responsible Party, its partners, shareholders, agents, employees, or by the responsible Party's breach ofthis Agreement. The provisions of this paragraph shall survive the expiration or termination of this Agreement with respect to any event occurring prior to such expiration or termination. This Agreement contains all of the agreements of the Parties with respect to any matter covered or mentioned in this Agreement and no prior agreements or understandings pertaining to any such matters shall be effective for any purpose. No provision of this Agreement may be amended or added to except by agreement in writing signed by the Parties or their respective successors in interest. Any provision ofthis Agreement which is declared invalid, void or illegal shall in no way affect, impair, or invalidate any other provision hereof and such other provisions shall remain in full force and effect. Neither Party shall have the right to transfer or assign, in whole or in part, any or all of its obligations and rights hereunder without the prior written consent of all other Parties. Subject to the foregoing subsection, the rights and obligations of the Parties shall inure to the benefit of and be binding upon their respective successors in interest, heirs and assigns. In the event a Party defaults on the performance of any terms in this Agreement, and any Party places the enforcement of the Agreement or any part thereof, or the collection of any monies due, or to become due hereunder, or recovery of possession of any belongings, in the hands of an attorney, or file suit upon the same, each Party shall pay all its own attorney's fees, costs and expenses. The venue for any dispute related to this Agreement shall be King County, Washington. Failure of any Party to declare any breach or default immediately upon occurrence thereof, or delay in taking any action in connection with, shall not waive such breach or default, but either Party shall have the right to declare any such breach or default at any time and take such actions that might be lawful or authorized hereunder either at law or in equity. Failure - 6 - of the either Party to declare one breach or default does not act as a of either Party's right to declare another breach or default. 10.10 10.11 10.12 10.13 10.14 10.15 The parties have participated and had an equal opportunity to participate in the drafting of this Agreement, and the Exhibits, if any, attached. No ambiguity shall be construed against any party upon a claim that party drafted the ambiguous language. Each individual executing this Agreement on behalf of each Party represents and warrants that such individuals are duly authorized to execute and deliver this Agreement on behalf of the Party. Any notices required to be given by the Parties shall be delivered at the addresses set forth below. Any notices may be delivered personally to the addresses ofthe notice or may be deposited in the United States mail, postage prepaid, to the address set forth below. Any notice so posted in the United States mail shall be deemed received three (3) days after the date of mailing. Time is of the essence of this Agreement and each and all of its provisions in which performance is a factor. Any remedies provided for under the terms of this Agreement are not intended to be exclusive, but shall be cumulative with all other remedies available at law, in equity or by statute.
